since we are talking of the result of "illegittima comunicazione", "liable" seems appropriate here. Have to disagree with Thomas on "latter" - it has to be clear exactly which of the two parties we are talking about. In normal English I'd say "it" too, but in a contract, I'd rather sacrifice style to avoid ambiguity

I would avoid things like "by the latter" which isn't really used in legal English.

"latter" is used in English in the banal sense of "former/latter", but shouldn't be used to translate "ultimo" which would be rendered merely as "it" in English (there is no "former" in this sentence to contrast with this "latter").

: Mr Murray is right "latter" may be used, but, in UK English, at least, the preference seems to be for "by it" as confirmed by the google search, site:.co.uk "incurred by it" "contract", which gets 9k+ hits vs only 1 hit for same search with "the latter"
