escape clause sometimes written into firm commitment underwriting agreements which essentially allows the underwriters to be released from their purchase commitment if material adverse developments affect the securities markets generally. It is not common practice for the larger investment banking houses to write "outs" into their agreements, since the value of their commitment is a matter of paramount concern.
