The thing is, and practice, too, that both seller and buyer have to be present to lodge the contract for registration with the authority. It then takes up to a month (from what I remember) before they get the registered contract back. And only then the Buyer pays to Seller. Technically, they put money (in CASH) into a bank safe deposit box at the time of signing, and then the seller can access it to withdraw if they present a registered contract to the bank. I know it sounds like medieval times, but that's one of the ways to ensure the transaction is legit. Also, since the contract of sale is already signed, but payment not made - the seller would have the mortgage/pledge/lien rights under Russian law. But this would have its own implications as must also be registered. Hence this clause in the contract with which they override the law.

All of this sounds a little strange to me, at least from my American perch.This "pravo zaloga" is essentially the lender's right to foreclose on the property,i.e. take possession in case of non-payment.Furthermore, with us,it is the bank that issued the mortgage loan that will foreclose rather than the seller who gets paid by the bank anyway and is out of the transaction once such a payment is made and documents are signed and exchanged at closing.So, technically, it is the bank that has these "mortgage rights" rather than the seller. Even if no bank or mortgage loan is involved (which is rare,because how many people can afford to buy property for cash?),everything is resolved at closing - that's why it's called that. If no payment is made, there is no transaction, period. After closing, filing paperwork with state authorities for a property title is totally the buyer's responsibility that has nothing to do with the seller. In any case, if your target audience is American, I wouldn't mention any "mortgage rights" to avoid any confusion.The right to foreclose, yes, but even then this may well require an additional explanation in the form of a translator's note if such is warranted.

Квартира оценена Сторонами в сумме n рублей РФ и продана за указанную сумму, которую Продавец получит от Покупателя после государственной регистрации Управлением Федеральной службы государственной регистрации, кадастра и картографии перехода права собственности на Квартиру к Покупателю. При этом Стороны договорились, что в соответствии с п. 5 ст. 488 ГК РФ право залога у Продавца на Квартиру не возникает.

Спасибо, The Misha. Да, договор купли-продажи. Смысл в том, что продавец получит оплату только после регистрации права собственности. Но при этом на период с момента подписания до момента регистрации права залога у продавца не возникает.
