will bind to his duties must record Explanation: This phrase will depend on the wider meaning of the context. The director may "want to save his seat" in case that someone wants to remove him or simply "bind to his director's duties". I do not agree with the literal translation of save his responsibility or maintain his responsibility as it does not convey the right meaning in english when there can be a more accurate version. -------------------------------------------------- Note added at 34 mins (2008-08-21 20:39:27 GMT) -------------------------------------------------- deberá hacer constar en el Acta su oposición - he will have to record / state his position in the minutes / act / report and refer to it / raise it at the general shareholders meeting |

(any Director) wishing to avoid being held accountable, ......(cont'd below) Explanation: shall have his contrary position/opposition recorded in the Minutes. Así lo veo, Robert. "salvar su responsabilidad" es ponerse a salvo de ser hecho responsable, o sea, no ser llamado a responder por algo a lo cual se opone, y para ello, deberá dejar asentada su oposición en actas. |
