Jetzt mehr Kontext: Immediately following the notarisation of this Agreement and as part of the same frame- work deed of the Acting Notary (as defined in Section 1.6), the Company as the seller and xy as the acquirer shall enter into that certain share sale and transfer agree- ment attached hereto in draft form as Annex jM) (“Secondary SPA”), by which the Company shall sell an aggregate of 1,737 Pre-Series A Preferred Shares with the con- secutive share numbers 43,592 through and including 45,328 (“Secondary Shares”), which are currently held by the Company as treasury shares (eigene Anteile) within the meaning of section 33 German Limited Liability Companies Act (GmbH-Gesetz — GmbHG).
As a consequence of the xy Default and in accordance with section 2.7 of the Pre-Series A-III Shareholders' Agreement, the Current Shareholders, by way of a shareholder resolution attached hereto in copy as Annex (E), have resolved on the redemption of the pro-rata number of Pre- Series A Preferred Shares subscribed by Convergence for which no additional payment into the Company's capital reserves had been made, i.e. a total of 2,384 Pre-Series A Preferred Shares with the serial numbers 42,945 up to and including 45.328. Following such redemption, the redeemed 2,384 Pre-Series A Preferred Shares (“Secondary Shares”) are currently held by the Company as treasury shares (eigene Anteile) in ac- cordance with section 33 German Limited Liability Companies Act (GmbH-Gesetz - GmbHG) and section 10.8 of the current articles of association of the Company, it being understood that the Company intends to sell and transfer such Secondary Shares to abc in accordance with the provisions of Preamble (M) below.

Notes to answerer
Asker: Vielen Dank!
Asker: Ich habe jetzt oben etwas Kontext geliefert.
