This is part of an engagement letter sent from one company to another.

Further to our recent discussions, I write to set out the terms of engagement of ou law firm to act on behalf of Company in connection with the acquisition of the Block leading to the indirect acquisition of a twenty per cent (20%) participating interest in the Block in Angola.

Termination of Engagement

We also have the right to withdraw from representing you in certain circumstances, upon giving you reasonable notice to secure other counsel if, for example, you fail to co-operate in the work necessary to protect your interests or otherwise breach this letter agreement or if we cannot proceed with our representation for professional or ethical reasons .

Infrações tipificadas no art. 34, incisos IX, XI e XXV do Estatuto da OAB. Medida punitiva de suspensão pelo prazo de 08 (oito) meses prevista no art. 37, inciso I e § 1º da Lei nº 8.906/94. Aplicação cumulativa de pena de multa equivalente a 02 (duas) anuidades na forma do art. 39 do Estatuto da OAB. Agravantes na forma do art. 40 do mesmo diploma legal. Por unanimidade de votos. (PROCESSO 47.795-00, 3º Turma, relator Dr. SANDRO PERUCHI CAMPAGNARO, julgado em 24/11/2005)
