It is a fixed expression but it is also very generic and I don't understand what it means in this specific context of this service agreement between a company (XXX) and the service provider (Agency):
"1. Transfer of Intellectual Property Rights

1.1 The Agency, upon payment of the respective fees, shall assign and transfer, in favour of XXX, any and all titles, rights and interests in and to any Services and Work Products.
XXX and the XXX Affiliate Companies, through the aforementioned assignment and transference, shall acquire universal, perpetual and unlimited titles, rights and interests in and to the Services and Work Products free of any claims from the Agency and/or any employee, Subcontractor or any other third party provided by the Agency. For the avoidance of doubt, XXX shall acquire such universal, perpetual and unlimited titles, rights and interests with regard to means, time and place and in every other way, including without limitation, all rights to reproduce, distribute, publicly communicate and transform the Work Products as XXX determines in its sole discretion."
