Constitute a sale here means that the protected health information, such as disclosures for psychotherapy notes, disclosures for marketing purposes and disclosures which compose or form a selling requires your authorization. This means that one cannot sell protected health information which would be subject to selling needs authorization.

any deal / arrangement that has the same final result as an open/undisguised sale

i.e. it may not be labelled a "sale" (of information) but amounts to it / has all the characteristics of a sale contract
