English to German Bus/Financial Law: Contract(s)

The strength of the board of directors of XX shall comprise of 4 (four) directors. XX and XX , both shall be entitled to nominate 2 directors each on the board of XX. The Chairman of the board shall be appointed by XX. In the event of a tie vote or deadlock the Chairman shall have a casting vote on all resolutions before the Board other than the Affirmative Vote Items. Consent of XX shall be required on Affirmative Vote Items as set out in Annexure 4 hereto for the matter at the board and the shareholders’ meetings.
