In order to settle the ongoing disputes and to be able to move forward with the xx technology, yy and zz commenced discussions regarding yy's potential purchase of zz's Patent Rights. This alternative was soon abandoned since the parties were not able to agree on the purchase price. Instead the negotiations that eventually lead to the signing of the NASA started during the spring of 2011.

Furthermore, it follows from the rationale behind the NASA that, during yy's exclusivity period, zz shall transfer all license fees and other remuneration also from licensees that were not existing licensees when the NASA was entered into.

zz, by not transferring all royalties and other remuneration from the pp Group, has committed a material breach of major obligation(s) of the NASA;

TIA, must be some agreement but I simply cannot find it in the web.
