English to Russian Law/Patents Law: Contract(s)

Notwithstanding any provision in this Article IX to the contrary, with respect to any claims for indemnification related to the matters identified on Section... of the Seller Disclosure Schedules, the Purchaser Indemnified Parties shall have the right at their sole discretion (but not the obligation) to retain or assume the defense or control of any response relating to such matters (but the Indemnifying Party may nonetheless participate in such defense with its own counsel and at its own expense), including the disclosure, investigation, negotiation, performance and settlement thereof (provided, that the Purchaser Indemnified Parties shall not consent to a settlement or compromise of, or the entry of any judgment arising from, such matters without the Indemnifying Party’s prior written consent unless such settlement or judgment does not involve any injunctive or other equitable relief or finding or admission of any violation of Law or admission of any wrongdoing by any Indemnifying Party or any of its Affiliates and expressly unconditionally releases the Indemnifying Party and its Affiliates from all Liabilities with respect to such matter).
