In a recent Consultation Document on conflict of laws rules for third party effects of transactions in securities and claims (the “Article 14 Consultation”), the European Commission proposed to close this gap and asked consultees to consider three choice of law rules for the proprietary effects of an assignment of a claim or claims. The first of these is the applicable law of the assignment.

Article 14 - Voluntary assignment and contractual subrogation

1. The relationship between assignor and assignee under avoluntary assignment or contractual subrogation of a claimagainst another person (the debtor) shall be governed by the lawthat applies to the contract between the assignor and assigneeunder this Regulation.

2. The law governing the assigned or subrogated claim shalldetermine its assignability, the relationship between the assigneeand the debtor, the conditions under which the assignment orsubrogation can be invoked against the debtor and whether thedebtor's obligations have been discharged.

3. The concept of assignment in this Article includes outrighttransfers of claims, transfers of claims by way of security andpledges or other security rights over claims.

Adamhans, Article 14 - Cession de créances et subrogation conventionnelle

1. Les relations entre le cédant et le cessionnaire ou entre lesubrogeant et le subrogé se rapportant à une créance détenueenvers un tiers («le débiteur») sont régies par la loi qui, en vertudu présent règlement, s'applique au contrat qui les lie.

2. La loi qui régit la créance faisant l'objet de la cession ou de lasubrogation détermine le caractère cessible de celle-ci, lesrapports entre cessionnaire ou subrogé et débiteur, les conditionsd'opposabilité de la cession ou subrogation au débiteur et lecaractère libératoire de la prestation faite par le débiteur.

3. La notion de cession au sens du présent article inclut lestransferts de créances purs et simples ou à titre de garantie, ainsique les nantissements ou autres sûretés sur les créances.
