Chodzi o to, że jeśli "the nature and extent of any material interest of his" zostało ujawnione zarządowi, to nie ma zakazu uczestniczenia w tego typu transakcji lub umowie - i tak też można tłumaczyć:
nie ma [brak jest] zakazu uczestnictwa w takiej transakcji lub umowie, nie ma [brak jest] zakazu uczestniczenia w takiej transakcji lub zawierania takiej umowy itp.

Chodzi o to, że jeśli "the nature and extent of any material interest of his" zostało ujawnione zarządowi, to nie ma zakazu uczestniczenia w tego typu transakcji lub umowie - i tak też można tłumaczyć:
nie ma [brak jest] zakazu uczestnictwa w takiej transakcji lub umowie, nie ma [brak jest] zakazu uczestniczenia w takiej transakcji lub zawierania takiej umowy itp.

: Pochwała za oddanie sensu - muszę jednak skrytykować styl/rejestr: zbyt potoczny jak na tekst ustawy. Poza tym "on the ground of" najlepiej chyba przełożyć jako "z powodu" ("z tytułu" niezbyt pasuje), byłoby więc powtórzenie słowa.
