Estoy traduciendo los estatutos de una compañía y aparece la siguiente cláusula:

"Voting in Other Companies

All shares or debentures carrying voting rights in any other body corporate that are held from time to time by the Company may be voted at any and all meetings of shareholders, debenture holders (as the case may be) of such other body corporate and in such manner and by such person or persons as the directors of the Company shall from time to time determine. The officers of the Company may for and on behalf of the Company from time to time:-

(a) execute and deliver proxies; and
(b) arrange for the issuance of voting certificates or other evidence of the right to vote;
