When Mr X and Mr Y were asked to sign the Deed of Settlement they asked to review it and considered that the wording was very wide. Mr X and Mr Y both considered that they would be in breach of their fiduciary duties if they approved the document.

3. Mr X sought external legal advice at the time and he was advised that he would be likely to be in breach of his fiduciary duties if he voted in favour without full knowledge of what was being settled.

4. Mr X considered that there were potentially a number of claims that might arise on a commercial level but also in relation to past mismanagement and possible breaches of fiduciary duties.
