"NON-SOLICITATION

Each Signatory hereto individually affirms and declares that the Signatory has freely, willingly and knowingly, without solicitation in any way, made request for the Valuable Contacts to serve the interests and purposes of the requesting Signatory only. Provision of such Valuable Contacts is in direct response to the requesting Signatory and is not in any way considered or intended to be a solicitation of funds in any manner or to be any type of offering, and is intended for the general knowledge only of the requesting Signatory. The provision of these Valuable Contacts is strictly private in nature and is in no way relying upon or related to the United States Securities Act of 1933 as amended, or related regulations or the securities regulations of any other country and thus does not involve the sale of securities, unless otherwise and specifically indicated by the **introducing Signatory** in writing. FURTHER, each Signatory hereto individually affirms and declares that the Signatory is not a licensed broker or financial planner and, in requesting this information, is not now nor ever will be acting in the capacity of an informant nor as an agent or employee of any entity for the purpose the gathering of information for defamatory or prosecutorial purposes and that the Valuable Contacts received and accepted by each Signatory from the other is exempt from the aforementioned Securities Act and is not intended for the general public and is for private use only, unless otherwise and specifically indicated by the **introducing Signatory** in writing."

In this type of agreement, one party signing the contract (the "requesting signatory"--"signatorio solicitante??") is asking another party signing the contract (the "introducing party") to introduce the requesting party to "Valuable Contacts." (I have seen contracts of this type in which the "requesting party" is also called the "introduced party", i.e., the party introduced to the "valuable contacts" by the "introducing party".) I do not know whether there are standard Spanish translations for the parties in this type of contractual relationship, but perhaps "signatario presentador" will work, but only after that term has been defined as such in the "Definitions" clause or elsewhere in the document. (I am assuming there is another section in the contract where this relationship between the parties is defined.)


Whereas, the signatories are mutually desirous of doing business with respect to the arranging, selling and buying and in cooperation with one another and with third parties for their mutual benefit. And whereas, the signatories anticipate that they will from time to time introduce one another to various third parties and agree that all persons, companies, firms, partnerships, corporations, co-ventures, joint ventures, trust and any concern with which they or any associate, agent, employee, representative, or any other person with whom they are, or may be, in any way concerned shall not knowingly make contact with, deal with or otherwise become involved with any transaction whatsoever nature and howsoever arising from any introduction by any party to this agreement in the course of arranging or attempting to arrange transaction to buy or to sell certain products or services. And in consideration of the mutual benefit to be derived by participation in transactions; now therefore, the parties agree to abide by the following terms and conditions:

ARTICLE 1 - DEFINITIONS
The signatory introducing one other signatory to the third party is hereafter referred to as the introducing signatory, and the signatory introduced is hereafter referred to as the introduced signatory. Any third party introduced by an introducing signatory or by any associate of an introducing signatory is hereafter referred to as the introduced third party. This definition shall specifically include third parties who only finance, sales or purchases of products or services covered by this agreement or who only provide sources of such financing.
