Para os fins do presente Contrato, os termos a seguir terão os significados que lhes são atribuídos abaixo:
1.1 “Afiliada” de uma Pessoa significa e inclui qualquer entidade ou associação controlada, controladora ou sob controle comum dessa Pessoa. Para os fins da presente definição, o termo “controle” significará a propriedade direta ou indireta de mais de cinqüenta por cento (50%) das ações com direito a voto de qualquer entidade ou associação.
1.2 “Informações Confidenciais” significa e inclui todos e quaisquer dados e informações que não sejam de domínio público, inclusive conhecimento técnico e segredos de negócios relacionados, contidos ou representados pelos Produtos, Direitos de Propriedade Intelectual e/ou negócios ou assuntos da Sociedade. As Informações Confidenciais poderão ser comunicadas eletronicamente, oralmente, visualmente, por escrito ou de qualquer outra forma gravada ou tangível. Todos os dados e informações serão considerados como sendo Informações Confidenciais por força do presente Contrato (a) se a Sociedade os determinar como tal, (b) se a Sociedade avisar o Distribuidor de sua natureza confidencial, eletronicamente, oralmente ou por escrito, ou (c) se uma pessoa razoável em cargo igualmente razoável e sob circunstâncias também razoáveis tratá-los como confidenciais devido à sua natureza ou caráter.

Translation - English 1. DEFINITIONS
For purposes of this Agreement, the following terms shall have the meanings described below:
1.1 "Affiliate" of a Person means and includes any entity or association controlled by, controlling or under common control with such Person. For the purposes of this definition, the term "control" shall mean the ownership of more than fifty percent (50%) directly or indirectly of the voting shares in any entity or association.
1.2 "Confidential Information" means and includes any and all data and information not in the public domain, including know-how and trade secrets, relating to, or contained or embodied in, the Products, Intellectual Property Rights and/or the business or affairs of Company. Confidential Information may be communicated electronically, orally, visually, in writing or in any other recorded or tangible form. All data and information shall be considered to be Confidential Information hereunder (a) if Company has marked them as such, (b) if Company, electronically, orally or in writing, has advised Distributor of their confidential nature, or (c) if, due to their character or nature, a reasonable person in a like position and under like circumstances would treat them as confidential.

In 1995, a shipment of peas left the United States on the way to Brazil, where someone would buy it for US$ 117.82/kg. Over the same year, a batch of 24 thousand windshield wipers went along the opposite course, from Brazil to the U.S., at a unit cost of US$ 0.19. The numbers are recorded in the files of the U.S. Trade Department, where, as expected, there is a massive amount of foreign trade data. They are basic data, stating that a certain quantity of the “X” product has left the United States, coming from or going to that country, and listing the corresponding price. However, two researchers of the Florida International University have decided to analyze these numbers more thoughtfully, concluding that the international trade of goods conceals a movement of capital, carried out by means of manipulating the price of the product.
