I would like to provide you an update on the GOSOL patent buyout. As you know we had reached an agreement for a patent buyout by XXX November XX during the SOFCOT. We were committed to follow up on our agreement and to initiate the payment.
Unfortunately, we had to temporarily halt this process due to the situation surrounding the Deffered Prosecution Agreement (DPA) XXX entered into in the USA. The DPA is a complex legal agreement between the Department of Justice of the US. It has led, among other actions, to the assignment of an outside monitor who is supervising the relationships and communication with healthcare professionals. In particular all transactions involving payments to healthcare professionals are being reviewed and separately approved by the monitor.
This does not affect the regular business activities related to the selling and supplying of medical implants. However, the monitor approval is required for payments such as the GOSOL patent buyout. We have been advised to assign an outside company to assess the value of the patent of the GOSOL. This is an attempt to eliminate any potential conflict of interest by XXX and its employees and to guarantee a fair price. This assessment process shall be undertaken by a reputable and specialized company to ensure a transparent and fair market valuation of the patent.
This engagement is also the first of its kind in XXX and we have made the GOSOL the first priority of our endeavor. We will do the utmost to limit the time necessary to conduct this valuation and will happy to keep you updated on the progress as well as of course on the valuation approach. Of course we remain committed to the GOSOL itself and to the objective of acquiring the totality of the patent rights.
I deeply regret to therefore have to come back on our agreement. As you can imagine this was neither anticipated from the European nor the French management and I would like to pesonally apologize for the inconveniencies caused.

Je souhaiterais vous faire part des dernières informations concernant l’acquisition du brevet GOSOL. Comme vous le savez, nous nous étions mis d’accord sur l’acquisition d’un brevet par XXX à l’occasion du congrès SOFCOT en novembre XX. Nous nous étions engagés à concrétiser cet accord et à procéder au paiement.
Malheureusement, le contexte actuel – XXX a passé un accord de renvoi des poursuites (Deffered Prosecution Agreement - DPA) aux Etats-Unis – nous a contraints à suspendre momentanément le processus d’acquisition. Le DPA est un dispositif légal particulièrement complexe mis en place par le ministère de la Justice américain. Plus précisément, toute transaction générant un paiement à des professionnels de santé doit être examinée et validée de façon indépendante par ce contrôleur.
Cela n’affecte en rien les activités commerciales courantes liées à la vente et à la fourniture d’implants médicaux. Cependant, les paiements tels que ceux générés par l’achat du brevet GOSOL doivent être validés par le contrôleur. Dans cette optique, iI nous a été conseillé de faire appel à une entreprise externe pour estimer la valeur du brevet GOSOL. L’objectif est d’éliminer tout risque de conflit d’intérêts impliquant XXX et ses employés et de garantir un prix juste. Le recours à une entreprise spécialisée et réputée permettra donc d’estimer le brevet à sa juste valeur marchande et garantira une réelle transparence.
Ce type d’opération est une première pour XXX qui a choisi de concentrer ses efforts sur le brevet GOSOL. Nous ferons tout notre possible pour limiter le temps nécessaire à cette évaluation et nous restons bien entendu à votre disposition pour de plus amples informations concernant l’avancement du processus et la méthode d’évaluation utilisée. Nous maintenons fermement notre engagement, notre objectif restant par conséquent d’acquitter l’ensemble des droits pour le brevet GOSOL.
Je regrette sincèrement d’avoir à revenir sur les termes de notre accord. Comme vous pouvez vous en douter, ni le management français ni le management européen n’avaient anticipé ce problème, je souhaite par conséquent m’excuser personnellement pour les désagréments occasionnés.
