powers to perform or execute i.e. empowering someone to act on the company's behalf so as to implement the resolution. Hope it helps.

the term occurs in the context of a proposed resolution seeking authorization:
"Autorisation de l'acquisition par la Société de 22.000 actions (100 %) de la société Horwell SAS et décision de dissoudre par anticipation ladite société Horwell SAS ; pouvoirs"
Proxies doesn't seem to fit he context.
I am leaning toward power of attorney, or simply "empowerment to proceed", but that doesn't sound quite right.proceed.

without the next sentence I'd simply go for powers.
