Se trata de un contrato de distribución.
Primeramente dice así:
Both parties shall not, for any purpose, be deemed to be an AGENT of the other party and the relationship between the parties shall be that of independent contractors.
Más tarde sigue:
Distributor, carrying out its activities without any subordination to XXX, bears alone the cost of its ***AGENCY*** and related social and fiscal charges...
Mi duda es cómo traducir "agency" aquí teniendo en cuenta que previamente se ha dicho que las partes no son "agents" entre sí... Es decir, cómo diferenciar entre "agent" y "agency".

En el Diccionario Jurídico de Alcaraz-Hughes hay varias alternativas que podrían ser válidas: gestión, mediación, intermediación, intervención. A mí personalmente me parece que la primera es la que mejor encaja en este caso.

Es lo que se me ocurre para diferenciar los dos términos. Espero que sirva.

Yo creo que puedes usar agencia (pues los distribuidores generalmente se conocen como agencias de distribución). El primer párrafo solo indica que una agencia de distribución no actuará como agente de la otra y más adelante mencionan que cada una se hará cargo de los gastos de su propia agencia.

Si bien estoy de acuerdo con lo que dice Tomás, me gustaría ofrecer una traducción sobre este término. Eso no quita que comente al cliente la ambigüedad que exite en esta parte del contrato.
