A director may enter into or be* interested in * contracts or arrangements with the Company and may have or be *interested in dealings of any nature whatsoever with the Company and shall not be disqualified from office thereby.
No such contract, arrangement or dealing shall be liable to be avoided, nor shall any director so contracting, dealing or being so *interested* be liable to account to the Company for any profit arising out of any such contract, arrangement or dealing to which he is a party or in which he is* interested* by reason of his being a director of the Company.
A director who is in any way, whether directly or indirectly *interested in* a contract or proposed contract, which has been or is to be entered into by the Company, shall declare the nature and *extent of his interest* as provided by section 234 of the Act, and having done so may be counted in a quorum necessary for a meeting of directors and shall be entitled to vote in regard to any matter relating to that contract.
Je sais qu'il ne faut pas dire "intéressé par" et "avoir un intérêt dans" me semble lourd/gauche en français.
En outre je ne suis par sûre de ce que ce terme veut dire. Il ne s'agit pas d'une participation (intérêt dans le sens d'une participation dans la société). ou si peut-être?

Ces clauses sont courantes dans les statuts/règlements d'une société. Tu devrais pouvoir trouver des modèles en faisant une recherche sur des mots clés. Par ex.:

Another example: if that director of Company A is also a local councillor for YNotville and a member of its Planning Committee and Company A is bidding to build a major development for YNotville, then the director would be an interested party.
It's all about fraud and opportunities or motivation for fraud.
