"recruit or otherwise solicit or induce any person who is or becomes an employee or consultant of the Company and/or a subsidiary, to terminate his or her employment with, or otherwise cease his or her relationship with, the Company and/or a subsidiary, for any reason, or hire any such employee or consultant who has left the employ of the Company and/or a subsidiary, or accept business from the Company's clients or customers after the Member's disposition of bis Interest herein. The ownership of less than five percent (5%) of the securities of a publicly traded company engaged in a business which is competitive with the business of the Company or a subsidiary shall not be violative of this Section 11."
