Verwaltungsrat

German to English Bus/Financial Investment / Securities (of a fund)
Translation of German fund prospectus. The "Verwaltungsgesellschaft" is the fund management company, but the TM I'm using gives me supervisory board for Verwaltungsrat. Is that right? Two of the three names listed as being on the Verwaltungsrat appear just below in a list of the Geschäftsführer der Verwaltungsgesellschaft. If Verwaltungsrat in this case is the supervisory board, do funds not have a management board?

Closing Sorry, I'm waiting for confirmation from the client. Not entirely convinced by proposed answers. I appreciate Swiss / Luxembourg use of Verwaltungsrat for Board of Directors but in this case possibly different as an investment company.

More context The investment company in this case is based in Luxembourg. But if the Verwaltungsrat here is the board of directors, why is there a separate list of Geschäftsführer of the Verwaltungsgesellschaft (two of whom are the same as in the list of Verwaltungsrat members?

Country-specific terms If the company is a Luxembourg or Swiss company, the Verwaltungsrat is certainly the board of directors. However, some German companies also have a Verwaltungsrat (in addition to the Vorstand or Geschäftsführung), in which case it's an administrative board that has no fixed statutory status.

Verwaltungsgesellschaft of an investment fund is the Board of Directors, and each Verwaltungsrat or Verwaltungsratsmitglied is a Director.

Supervisory board is a totally different body and must not be confused.
