First of all, however, Chambers 21st Century English Dictionary has as a definition for "directory", the following: "a collection of rules or directions".
So, starting from that premise, I would offer the following:
"...shall (unless or except to the extent that a directory of the Seller agrees otherwise in writing) apply..." can also be written:
...shall, unless a guideline of the seller's agrees otherwise in writing, or except to the extent that a guideline of the seller's agrees otherwise in writing, apply...
The writer has rolled the whole thing together, to make it as incomprehensible as possible (that's how lawyers earn their bread), and I'm not at all sure myself ither that he hasn't thrown in a typo, in which case either of the other answers may be correct.
What I would do in your place is ask the customer, or possibly translate what you think the meaning is, and add a note to it.

und soll eigentlich "director" (Mitglied der Geschäftsleitung/heißen??
und als "Tipp" für unless or to the extent - sofern nicht ein 'director' des Verkäufers schriftlich etwas anderes vereinbart
