Ciao a tutti,
ho qualche difficoltà a capire quello che si sta dicendo in questo paragrafo: "Collateral", tratto da uno degli allegati di un contratto di finanziamento: "General Terms and Conditions for Investment Loans". Nell'allegato si stabiliscono le condizioni relative ai finanziamenti concessi dall'agenzia per il credito all'esportazione (Export Credit Agency). Il paragrafo nello specifico tratta le garanzie sui finanziamenti, ma dato che l'ordinamento in questo caso è quello tedesco, credo si faccia riferimento a garanzie specifiche di questo ordinamento...tipo non so come tradurre "security purpose".
Se qualcuno di voi riuscisse a darmi qualche suggerimento gliene sarei davvero grata!

Testo del paragrafo

The house bank transfers to xxx the claims against the ultimate borrower arising from the granting of the loan upon their accrual. The house bank is entitled to collect the claims assigned to xxx until xxx sends a notice to the ultimate borrower that this entitlement of the house bank has been revoked. Furthermore the house bank is entitled to transfer the security granted for the loan to the xxx. Following the security assignment to xxx, the relevant claims shall still be covered by the security purpose agreed between the house bank and the ultimate borrower. To the extent that a **wide security purpose** has been or will be validly agreed, the securities that have been or will be granted to the house bank by the ultimate borrower as security for any loan refinanced by xxx shall serve as security for any loan claims of the house bank against the ultimate borrower that have been or will be assigned to xxx. The same shall apply if the security has been granted by any third party.

"Security purpose" si ripete anche qui:

"All securities agreed in relation to this loan shall not be preferentially taken as security for any other loans granted by the house bank. To the extent that a **wide security purpose** has been or will be validly agreed, other securities which have been or will be granted to the house bank by the ultimate borrower or any third party as security for loans granted to the ultimate borrower which are not refinanced by xxx shall serve as subordinate security for any loan claims of the house bank against the ultimate borrower that have been or will be assigned to xxx.

Il "security purpose" in questo caso si riferisce alla finalità specifica per poter procedere all'escussione.

Nel seguito poi, "To the extent that a **wide security purpose** has been... ", riprende questo concetto: nel caso in cui un ampio spettro di finalità (della garanzia) siano state concordate...

In buona sostanza, un eventuale claim potrà essere soddisfatto (e sarà legittimo) nel caso in cui il collateral preveda tale modalità (finalità) tra quelle elencate.
