The performance of demerger and spin-off-merger operations provided for under this restructuring project will give rise to a corporate group comprising companies specialized in each of the currently existing stand-alone spheres of operations.

This restructuring will comprise the modality of a demerger, pursuant to article 118, paragraph a) of the Commercial Companies Code, and of a spin-off-merger, pursuant to paragraph c) under the same article.
