In other words, one company will be cut "in two pieces". Each and every element of the "actif" and "passif" of the existing company has to be divided between the two new companies.
That includes the financials results from previous years (i.e. the money in the piggy-bank), the corporate structure etc..,
A bit like a divorce.

: Possible. Juste pour préciser, toutefois, un spin-off ne veut pas toujours dire "couper en deux". Parfois, on se sépare d'une entité (filiale ou autre) ou d'un actif particulier.
