This is talking about the possiblity of bringing legal action against branches of a company when they are the main branch. The document in this case is a court judgement from the Congo and this "theory" means that a specific court has jurisdication to order the liquidation of a company.

Is there an equivalent term in English? I don't mean a literal translation, I mean a term that already exists.
