The Parties will coordinate their patenting activities by giving the other Party prior notice of their intention to file a priority patent application covering Foreground IP in due time before filing. In the event that for the purpose of filing a patent application an invention cannot be clearly classified as Hearing System Foreground IP or Non-Hearing System Foreground IP, then, after coordinating with UNIVERSITY, XXX shall have the right to file respective patent applications covering all relevant applications and shall pay all costs related to filing, maintaining and defending such patent, and the invention described in such patent shall be deemed Foreground IP belonging to XXX.
