All employees and contractors are expected to comply with all applicable laws, including this Global Anti-Corruption Policy.
The consequences of failing to comply with applicable U.S. and foreign laws, and with this Policy, are potentially serious.
If you have any questions at all about what this Policy or the applicable domestic and international laws and regulations require—or if you have any suspicion that a possible violation has occurred or may occur—you should consult your manager.
I. No Bribery
Bribes can be anything of value given for an improper purpose or to improperly influence the performance of a specific activity, including entertainment and gifts.
You may not offer, promise, or accept bribes or kickbacks, and must not participate in or facilitate corrupt activities of any kind.
This prohibition on offering, paying, or receiving bribes also applies to third parties acting on your behalf, such as contractors, vendors, or consultants.
II.
No Facilitation Payments
Facilitation payments (or “grease payments”) are small payments made to low-level government employees as a personal benefit to them to obtain performance of a routine non-discretionary action to which the payer is entitled.
Many countries consider facilitation payments to be illegal bribes.
Accordingly, employees and third parties acting on your behalf should not make any facilitation payment to any government employee in any country, unless specifically approved in writing.
III.
Personal Safety Exception
The only exception to our no bribery policy is where personal safety or liberty is threatened.
In such a case, you are not prohibited from making a payment, but you must immediately report any such payment to your manager.
You must also follow instructions on how to report the payment in any expense report or other documentation.
IV.
Accurate Recordkeeping
All transactions must be fairly and accurately recorded.
This requirement applies not only to the Company’s reported financial statements and general ledger, but also to other records kept in the ordinary course of business, such as purchase orders, invoices, expense reports, and receipts used to support requests for reimbursements.
Errors or omissions in the company’s records, regardless of their relationship to a claim of bribery, can violate the books and records provisions of the FCPA and lead to civil and criminal liability.
V. Gifts, Entertainment and Travel
Gifts, entertainment, and travel must not violate local laws or regulations, and should be reasonable and appropriate to the recipient’s position, location, and circumstances so that an appearance of impropriety is not created or perceived by the recipient or others.
Before offering gifts, entertainment or travel to anybody, especially government officials, political party officials or political candidates, you should consult your manager to obtain further guidance.
VI.
Retaining Third Parties
Your company and its employees can be liable for corrupt payments made by third parties who perform services on your behalf, including, contractors, brokers, consultants, suppliers, vendors, or agents, even if your company or the employee did not direct or have knowledge of the corrupt payment.
As such, when engaging third parties, especially those that may be dealing with governmental authorities, you should exercise due care in assessing the experience, competence, and integrity of such parties prior to engagement and should consider including anti-corruption provisions within formal engagement contracts as well as sharing this policy with such parties.
VII.
Questions and Reporting
Violations of U.S. and foreign anti-bribery laws are serious matters that may result in significant criminal and/or civil penalties for the Company, as well as for those individuals involved.
If you have questions or concerns, do not hesitate to seek advice and clarification by contacting your manager and emailing.
If you suspect corrupt activity, you should report it immediately by contacting your manager, emailing, or using the Company’s confidential and anonymous reporting system, called XXXXX.

Source text - English Anti-corruption Clauses
1. The following Anti-corruption Clauses form an integral part of the [XXX] Agreement dated XXXXX. XXXXX himself shall be responsible for compliance with these rules and with the legal regulations exceeding these rules. XXXX shall commit any Representatives it engages to perform its contractual obligations for XXXXX to undertake a written obligation to the Anti-Corruption Clauses.
2. In the event of any violation, XXXX has the right to terminate the contract unilaterally without prior notice.
3. XXXX is and will remain in compliance with all the laws applicable to the services it will perform under this Agreement. XXXX will not, and nor will any of its officers, employees, shareholders, representatives or other persons acting for him ("Associated Parties"), directly or indirectly, either in private business dealings or in dealings with the public sector, offer, give or agree to offer or give (either itself or in agreement with others) any payment, gift or other advantage which would violate (i) any anti-corruption laws or regulations applicable to XXXX or XXXX; (ii) the US Foreign Corrupt Practices Act, (iii) the UK Bribery Act 2010 or (iv) which a reasonable person would otherwise consider to be unethical, illegal or improper ("Corrupt Act".
4. XXXX represents and warrants to its best knowledge that it and its Associated Parties have not engaged in any Corrupt Act prior to the date of XXXX Agreement.
5. TO the best of its knowledge and belief, neither XXX nor any of its directors, or other officers, employees, partners, shareholders, AGENTS, principals, consultants or representatives (i) has at any time been found by a court in any jurisdiction to have engaged in any Corrupt Act (or similar conduct) or (ii) has at any time admitted to having been engaged in any Corrupt Act or (iii) has at any time been investigated or been suspected in any jurisdiction of having engaged in any Corrupt Act.
6. XXXX further agrees and undertakes (i) not to seek, directly or indirectly, improperly, or corruptly to influence or attempt to influence a Public Official, or an Associated Party of a Customer or a potential Customer to act to the advantage of either of the Parties or otherwise to perform their duties improperly, and not to use any of the proceeds of any payments made under the XXXX Agreeement, directly or indirectly, for this purpose or otherwise for the puprose of or in connection with any Corrupt Act; (ii) to provide any such information as XXXX may reasonably require and (iii) to notify XXXX immediately in writing if, at any time, it becomes aware that any of the representations set out above are no longer correct.

7. In the event XXXX considers that there may have been a breach of the above mentioned principles, XXXX may notify XXX of the suspected breach and where permitted by law investigate the suspected breach ("Investigation". XXXX shall provide any information assistance reasonably requested by XXXX in connection such Investigation.
8. In the event that XXX violates the law and/or the above mentioned principles, and fails to provide evidence that the violation has been cured and that appropriate precautions have been taken to avoid violations in future, XXXX reserves the right to terminate the existing contract without prior notice.
Translation - Turkish Yolsuzlukla Mücadele Maddeleri
1. Aşağıda belirtilmiş olan Yolsuzlukla Mücadele Maddeleri XXXX tarihli XXXX Sözleşmesinin ayrılmaz bir parçasıdır. The wrestling they watched on their black-and-white television sets on Saturday afternoons represented a brief intrusion of life and colour in their otherwise monochrome lives. Their work overalls were faded, the sofa cover—unchanged for years—was faded, their memories of the people they had been before coming to England were fading too. My parents, their whole generation, treadmilled away the best years of their lives toiling in factories for shoddy paypackets. A life of drudgery, of deformed spines, of chronic arthritis, of severed hands. They bit their lips and put up with the pain. They had no option but to. In their minds they tried to switch off—to ignore the slights of co-workers, not to bridle against the glib cackling of foremen, and, in the case of Indian women, not to fret when they were slapped about by their husbands. Put up with the pain, they told themselves, deal with the pain—the shooting pains up the arms, the corroded hip joints, the back seizures from leaning over sewing machines for too many years, the callused knuckles from handwashing clothes, the rheumy knees from scrubbing the kitchen floor with their husbands' used underpants.
When my parents sat down to watch the wrestling on Saturday afternoons, milky cardamon tea in hand, they wanted to be entertained, they wanted a laugh. But they also wanted the good guy, just for once, to triumph over the bad guy. They wanted the swaggering, braying bully to get his come-uppance. They prayed for the nice guy, lying there on the canvas, trapped in a double-finger interlock or clutching his kidneys in agony, not to submit. If only he could hold out just a bit longer, bear the pain, last the course. If only he did these things, chances were, wrestling being what it was, that he would triumph. It was only a qualified victory, however. You'd see the winner, exhausted, barely able to wave to the crowd. The triumph was mainly one of survival.

Madde 3- Fiil ehliyetine sahip bulunan ve derneğin amaç ve ilkelerini benimseyerek bu doğrultuda çalışmayı kabul eden ve Mevzuatın öngördüğü koşullarını taşıyan her gerçek ve tüzel kişi bu derneğe üye olma hakkına sahiptir. Ancak, yabancı gerçek kişilerin üye olabilmesi için Türkiye'de yerleşme hakkına sahip olması da gerekir. Onursal üyelik için bu koşul aranmaz.
Dernek başkanlığına yazılı olarak yapılacak üyelik başvurusu, dernek yönetim kurulunca en çok otuz gün içinde üyeliğe kabul veya isteğin reddi şeklinde karara bağlanır ve sonuç yazıyla başvuru sahibine bildirilir. Başvurusu kabul edilen üye, bu amaçla tutulacak deftere kaydedilir.

Translation - English Right to Membership and Membership Transactions
Section 3- Every natural and legal person who holds a capacity to act and who agrees to adopt the purposes and principles of the association and to exercise efforts to that end and who meets the conditions prescribed by the Legislation shall be entitled to become a member of the association. However, membership for natural person foreigners shall require the right to residence in Turkey. The foregoing requirements need not to be met for honorary membership.
Written applications to be lodged to the Chair of Association shall be finalized either as an acceptance or rejection of the application by the board of directors of the association and the result shall be notified to the applicant in writing. A member whose application has been found acceptable shall be registered to a ledger or a book to be maintained for such purpose.
Original members of the association shall be the founders of the association as well as the persons whose membership is found acceptable by the board of directors upon their due applications.
The people who have provided significant material and moral support and contributions to the association may be accepted as honorary members subject to the resolution by the board of directors.

ISTANBUL DECLARATION
We, the Environment Ministers and Heads of Delegations of the Contracting Parties to the Barcelona Convention for the Protection of the Marine Environment and the Coastal Region of the Mediterranean (the Barcelona Convention) and its Protocols, meeting in Istanbul, Turkey, on 5 December, 2013,
Recalling the conclusions of the United Nations Conference on Sustainable Development (Rio 20), which was unanimously adopted by the General Assembly of the United Nations in June 2013,
Acknowledging the significance of the regional cooperation framework established in the Mediterranean since 1975 and the fundamental contribution of the Barcelona Convention and its Protocols to the definition of a shared legal, regulatory and innovative framework of cooperation for the protection and sustainable management of marine and coastal resources in the Mediterranean as well as the progress carried out to jointly implement the Barcelona Convention, its Protocols and Strategies as well as to achieve the Good Environmental Status of the Mediterranean through the application of the Ecosystem Approach to human activities,
Recognizing the important contributions by representatives of international, regional, non-governmental organizations and other stakeholders through their well-established and diverse experience, expertise and capacity in support to the implementation of Barcelona Convention and its protocols,
Reaffirming the fundamental value of biological diversity and natural resources, as well as its critical role in maintaining marine and coastal ecosystems that provide goods and services essential for the sustainable development of the Mediterranean population, and,
Deeply concerned by the continued threats from land and sea based sources of pollution which are toxic, persistent and liable to accumulate such as marine litter including waste, persistent organic pollutants, heavy metals, and nitrogen-based compounds, as well as those originating from off-shore exploration and exploitation activities, shipping, over-use of natural resources, over-fishing and soil and coastal degradation,
Being aware of degradation of marine and coastal environment posed by urban sprawl and continuous unplanned growth of coastal settlements for last couple of decades.
Today we commit to take all the necessary measures to make the Mediterranean a clean, healthy and productive sea with conserved ecosystems and resolve to:
Achieve the targets adopted under the Ecosystem Approach to human activities which will be periodically reviewed through a Barcelona Convention/MAP integrated monitoring and assessment system based on a strengthened capacity by the UNEP/MAP to collect, manage, analyse and share reliable data,
• Develop, a coherent, representative and well-managed network of coastal and marine protected areas in the Mediterranean by 2020 in line with the Strategic Plan for Biodiversity 2011-2020 and the Aichi Biodiversity Targets adopted under the Convention on Biological Diversity (CBD), and we underline the need for sustainable financing mechanisms in support of marine protected areas and commit to raise the number and visibility of the Specially Protected Areas of Mediterranean Importance (SPAMI),
Continue and strengthen the process of regional cooperation to scientifically evaluate Ecologically or Biologically Significant Areas (EBSAs) in Mediterranean deep seas in collaboration with the Convention on Biological Diversity (CBD) with a view to finalize the description of areas that meet the criteria for EBSA, before CBD CoP XII in October 2014,
• Take all necessary legal, administrative, financial and other measures to ensure implementation of the Marine Litter Regional Plan [adopted at this COP], which is the first regional effort to follow up on the global commitment to reduce marine debris adopted at Rio 20 and engage with industry, intergovernmental organizations, donor agencies, non-governmental organizations and academic institutions to support its implementation so as to reduce knowledge gaps, develop and provide capacities for sound technical solutions and provide sufficient financial resources to prevent, reduce and remove litter in the Mediterranean,
• Put in place necessary measures to prevent pollution from Offshore and Shipping based activities in the Mediterranean including by the adoption or revision of corresponding Action Plans by COP 19,
• Make all efforts to accelerate implementation of the Action Plan on Integrated Coastal Zone Management (ICZM) as adopted by the Parties in COP17 and in particular define set back zones and develop plans that protect coastal populations against rising seas and permit the integrated planning and the resolution of conflicts among the increasing multiple economic and social uses of the coastal and marine space,
• Strengthen our commitment to accelerate the shift towards Sustainable Consumption and Production (SCP) patterns by adopting an Action Plan on SCP, which is in line with the commitments adopted at Rio 20 and which aims to reduce the impacts of human activities in the marine and coastal ecosystems,
And reaffirm our commitment to strengthen our cooperation under the Barcelona Convention/MAP system by enhancing its implementation and its articulation at local, national, sub-regional and global level in full cooperation and synergy with our partners and stakeholders and by extending cooperation to local authorities and priority sectors, and in this context we,
• Encourage the Contracting Parties that have not yet done so to sign or ratify the Protocols to the Barcelona Convention and to make particular efforts to ensure the entry into force of the revised Dumping Protocol by COP 19 and thus achieve that all revised Protocols are in force by the 40th Anniversary of the Convention in 2016,
• Recognize the importance of coastal cities as key actors for the implementation of the Barcelona Convention, its Protocols and relevant Strategies and Action Plans and resolve to engage with them in addressing pressures to the marine and coastal environment associated with urban development such as urban sprawl,
• Commit to promote an integrated approach to planning and building Environment Friendly Cities and urban settlements, including through working with local authorities in finding solutions that improve the sustainable management of waste including through the application of the waste hierarchy (reduce, reuse, recycle and recover) and call to international and regional Financial Institutions and Cooperation Organizations to devote financial and technical resources to support countries and local authorities in this important task,
• Enhance cooperation with local governments of coastal cities by acknowledging and promoting their precious efforts on applying integrated coastal zone management principles on their urban planning, introduction of green technologies on their struggle to reduce environment pollution and their adherence to ecosystem based management policy of human activities.
• Establish the “Environment Friendly City” award to be conferred to coastal cities by setting out nomination and selection principles and criteria for such award till COP19.
• Welcome the cooperation established between the Barcelona Convention/MAP and relevant international and regional Organizations such as the GFCM, the Secretariat of the Union for the Mediterranean (UfM) and the IUCN and ask the Secretariat to extend cooperation with the Convention on Biological Diversity, the ACCOBAMS and other relevant Organizations with whom synergy is needed for reaching the objectives of the Barcelona Convention/MAP,
• Acknowledge the efforts carried out and decisions taken in COP17 to enhance the effectiveness of the MAP governance system and improve its financial sustainability and fully commit to implement the agreed institutional reforms in order to achieve; effective fund allocation following stepwise approach, coherence between MAP Components based on thematic focusing and sound cooperation and coordination between and among MAP Components towards common goals throughout a collective planning.
• Strengthen the coordination of MAP activities at national level, particularly between MAP national and thematic focal points as well as with other relevant national institutions, including NGOs, with a view to exchanging information and achieving coherence and integration for the sustainable use of resources, reinforcing the impact and visibility of national activities implementing the Barcelona Convention/MAP.
Thus preserve the wealth and sustainability of Mediterranean ecosystems, goods and services to serve as an example for other regions of the world and thus contribute to the adoption at the worldwide level of global measures for the protection and sustainable development and management of the marine and coastal environment

UNEP/MAP tarafından güvenilir verilerin toplanması, yönetilmesi, analiz edilmesi ve paylaşılması için daha güçlü bir kapasiteye dayalı olarak Barselona Sözleşmesi/MAP entegreli izleme ve değerlendirme sistemi ile periyodik olarak gözden geçirilecek olan, insan faaliyetlerine Eko-sistem yaklaşımı çerçevesinde benimsenmiş hedefleri başarmaya,
• 2011-2020 yılları Biyolojik Çeşitlilik Stratejik Planı ve Biyolojik Çeşitlilik Sözleşmesi (CBD) çerçevesinde benimsenmiş olan Aichi Biyolojik Çeşitlilik Hedefleri ile tutarlı bir şekilde 2020 yılına kadar Akdeniz'de tutarlı, örnek ve iyi yönetilen bir kıyı ve deniz koruma alanları ağı geliştirmeye karar veriyoruz; ve deniz koruma alanlarını desteklemek amacıyla sürdürülebilir finansman mekanizmaları ihtiyacının altını çizerek, Akdeniz'in Önemli Özel Korumalı Bölgelerinin (SPAMI) sayısını ve görünürlüğünü artırmayı taahhüt ediyor,
Ekim 2014 tarihindeki CBD Cop XII'den önce EBSA kriterlerini karşılayan alanların tarifini tamamlamak amacıyla Biyolojik Çeşitlilik Sözleşmesi (CBD) ile birlikte Akdeniz derin denizlerindeki Ekolojik veya Biyolojik Olarak Önemli Bölgelerin (EBSA) bilimsel olarak değerlendirilmesine yönelik bölgesel işbirliği sürecine devam etmeye ve bu süreci güçlendirmeye,
• Rio 20'de benimsenmiş olan deniz çöplerinin azaltılmasına yönelik küresel taahhüdü sürdürmeye yönelik ilk bölgesel çalışma olan, [bu COP'da benimsenmiş olan] Deniz Çöpü Bölgesel Planının uygulanmasını temin etmek amacıyla gerekli tüm yasal, idarî, finansal ve diğer tedbirleri almaya ve bilgi açıklarını azaltılması, sağlam teknik çözümlerin geliştirilmesi ve sunulması ve Akdeniz'deki çöpleri önlemek, azaltmak veya yok etmek için gerekli finansal kaynakların temini amacıyla, bunun uygulanmasını desteklemek üzere sektör, hükümetler arası kuruluşlar, bağış acenteleri, sivil toplum örgütleri ve akademik kuruluşları sürece dahil etmeye,

• COP17'de Taraflarca benimsenmiş olan Entegre Kıyı Alanı Yönetimi Eylem Planının (ICZM) uygulanması ve bilhassa girişe kapalı bölgelerin tanımlanması ve yükselen denizlere karşı kıyı nüfusunun korunmasını sağlayan planların geliştirilmesi ve entegre planlamaya izin verilmesi ve kıyı ve deniz alanlarının artan çoklu ekonomik ve sosyal kullanımları arasındaki ihtilafların çözülmesini hızlandırmak için tüm çabayı göstermeye,
• Rio 20'de benimsenmiş olan taahhütler ile tutarlı ve insan faaliyetlerinin deniz ve kıyı eko-sistemlerindeki etkilerini azaltmayı amaçlayan, SCP hakkında bir Eylem Planı benimseyerek Sürdürülebilir Tüketim ve Üretim (SCP) modellerine doğru geçişi hızlandırmak için taahhüt ve kararlığımızı güçlendirmeye karar veriyoruz,
Bununla beraber, yerel, ulusal ve alt-bölgesel ve küresel düzeyde, ortaklarımız ve paydaşlarımız ile tam bir işbirliği içerisinde uygulanmasını ve duyurulmasını artırmak suretiyle ve yerel makamlara ve öncelikli sektörlere işbirliği götürmek suretiyle Barselona Sözleşmesi/MAP sistemi çerçevesindeki işbirliğimizi güçlendirmeye yönelik taahhüt ve kararlılığımızı bir kez daha tasdik ediyor ve bu bağlamda,
• Henüz Barselona Sözleşmesi Protokollerini imzalamamış veya onaylamamış olan Sözleşme Taraflarını, bunları imzalamaya ve onaylamaya ve COP 19'un revize edilmiş Boşaltma Protokolünün yürürlüğe girmesini sağlamak için özel çaba göstermeye ve böylece 2016 yılında Sözleşmenin 40 ıncı yılına kadar revize edilmiş Protokollerin tamamının yürürlüğe girmesini sağlamaya teşvik ediyor,

Yukarıda açıkça izin verilmeyen ileri sürülmeyen temlikler geçersizdir.
İşbu Sözleşme, Taraflar’ın halefleri veya izin verilen temlikte bulundukları için bağlayıcı, bunları yararlandırıcı ve bunlar tarafından uygulanabilirdir.
11.3.Eğer işbu Sözleşme’nin herhangi bir hükmü, herhangi bir hususta yasa dışı, geçersiz veya uygulanamaz bulunursa; herhangi bir diğer hükmü etkilemez ve Sözleşme’nin geri kalanı, tam olarak yürürlükte ve geçerli kalır.
11.4.İşbu Sözleşme’nin Tarafları bağımsız yüklenicilerdir.
Hiçbir Taraf, diğer Taraf’ın bir acentesi, temsilcisi veya ortağı değildir.
Hiçbir Taraf, diğer Taraf adına herhangi bir sözleşme yapma veya ona herhangi bir yükümlülük veya sorumluluk yükleme veya onu başka şekilde ilzam etme hakkı, yetkisi veya gücüne sahip değildir.

11.5.Türk Ticaret Kanunu hükümleri uyarınca yapılacak olan işbu Sözleşme’nin feshine, Sözleşme'den dönmeye veya karşı Taraf'ın temerrüdüne ilişkin bildirimler dışında, Taraflar’ın herhangi birince işbu Sözleşme gereği olan veya burada öngörülen tüm bildirimler yazılı olacak ve aşağıdaki yöntemlerden herhangi biri yolu ile tebliğ olunacaktır: iadeli taahhütlü posta ile, faks ile, kurye postası ile, e-posta ile.
Ancak, faks veya e-posta ile gönderilen faturalar ve kabul sertifikalarının orijinalleri ayrıca kurye veya taahhütlü mektup ile gönderilecektir.
Tüm bildirimler işbu Sözleşme’nin Madde 12’sinde belirtilen Taraflar’ın adreslerine gönderilecektir.
Adresler zaman zaman işbu Madde 11.5 uyarınca tebliğ olunacak bildirimler ile değiştirilebilir.

Translation - English 11.MISCELLANEOUS PROVISIONS
11.1.Either Party shall be excused from performance and shall not be in default in respect of any obligation, duty or undertaking under this Agreement to the extent that the failure or delay to fulfill such duty or obligation is due to any reason or event beyond the reasonable control of that Party including, but not limited to, Acts of God, fire, flood, epidemic, quarantine restriction, war, strike, breakdown, power blackout, state regulations or actions or any ruling of a court or official authority. However, the strikes, lockouts, shortage of raw material, shut-down, worker problems and other industrial problems specific to that Party are expressly excluded, and that Party shall immediately inform the Other Party and must use its best efforts to correct the failure or delay caused by such event.
11.2.
Neither Party may, without prior written consent of the other Party, assign, nor transfer any of its rights or obligations hereunder to a third party.
Any assignment not explicitly permitted above shall be null and void.
This Agreement shall be binding upon the successors or permitted assignees of the Parties, and may be exercised and enforced by the same.
11.3.If any provision of this Agreement is held unenforceable, unlawful or invalid with respect to any matter, such provision shall not affect, nor have prejudice to, other provisions, and all remaining provisions of the Agreement shall remain in full force and effect.
11.4.The Parties hereto shall act as independent contractors.
Neither Party shall be an agency, representative or associate of the other Party.
Neither Party shall have the right or power to enter into an agreement on behalf of the Other Party or to assume any other obligation or liability or to bind the other Party in any other manner whatsoever.
This Agreement shall not be interpreted or construed as creating a union, agency business, joint venture or partnership or creating any liability on one Party for such relation.
11.5.Except for the notices to be served in respect of termination of, or withdrawal from, the Agreement or in respect of the default of the Other Party pursuant to the provisions of the Turkish Commercial Code, any and all notices provided for herein or notices to be given by one Party pursuant to this Agreement must be in writing and such notices shall be given by registered and reply paid letter, fax, courier mail or by e-mail.
However, the original copies of invoices and certificates of acceptance sent by fax or e-mail shall also be sent by courier or registered and reply paid letter.
All notices shall be served to the addresses of the Parties given in Article 12 hereof.
The addresses may from time to time be changed by service of notices under this Article 11.5.
Unless any changes of addresses are duly notified to the other Party as mentioned above, the notices served to the last known addresses of the Parties shall be deemed to have been served and to be valid even if it is not actually served.

[AGENT] shall commit any Representatives it engages to perform its contractual obligations for [SUPPLIER] to undertake a written obligation to the Anti-corruption Clauses.
2- In the event of any violation, [SUPPLIER] has the right to terminate the contract unilaterally without prior notice.
3- [AGENT] is and will remain in compliance with all the laws applicable to the services it will perform under this Agreement. [AGENT] will not, and nor will any of its officers, employees, shareholders, representatives or other persons acting for him ("Associated Parties"), directly or indirectly, either in private business dealings or in dealings with the public sector, offer, give or agree to offer or give (either itself or in agreement with others) any payment, gift or other advantage which would violate (i) any anti-corruption laws or regulations applicable to [AGENT] or [SUPPLIER], (ii) US Foreign Corrupt Practices Act, (iii) the UK Bribery Act 2010 or (iv) which a reasonable person would otherwise consider to be unethical, illegal or improper ("Corrupt Act").
4- [AGENT] represents and warrants to its best knowledge that it and its Associated Parties have not engaged in any Corrupt Act prior to the date of the [Commission Agreement].
5- [AGENT] further agrees and undertakes (i) not to seek, directly or indirectly, improperly or corruptly to influence or attempt to influence a Public Official, or an Associated Party of a Customer or a potential Customer to act to the advantage of either of the Parties or otherwise to perform their duties improperly, and not to use any of the proceeds of any payments made under the [Commission Agreement] directly or indirectly, for this purpose or otherwise for the purpose of or in connection with any Corrupt Act, (ii) to provide any such information as [SUPPLIER] may reasonably require and (iii) to notify [SUPPLIER] immediately in writing if, at any time, it becomes aware that any of the representations set out above are no longer correct.

8. Mücbir Sebebe maruz kalan Taraf derhal diğer Tarafa bu durumu, etkilerini ve tahmini süresini yazılı olarak bildirecek ve bir an önce Mücbir Sebebin olumsuz etkilerini bertaraf etmek, edimlerini eskisi gibi ifa etmek ve taahhütlerine uymak için öngörülen işlemleri yerine getirecektir.
9. İşbu Sözleşmenin koşullarından veya maddelerinden birinin, tamamının veya bir bölümünün, herhangi bir kanun veya uygulama açısından mevzuata aykırı, geçersiz veya etkisiz hale gelmesi halinde, bu koşu veya madde veya bölüm Sözleşmenin kapsamı dışında kabul edilecek fakat Sözleşmenin geri kalan kısmının geçerliliği bu durumdan etkilenmeyecektir.
10. Danışman, işbu Sözleşmeden doğan hak ve yükümlülüklerini Şirketin yazılı ön izni olmaksızın doğrudan veya dolaylı olarak herhangi bir şekilde üçüncü kişilere devredemez.

Translation - English 1. Consultant shall, during the fulfillment of its duties hereunder, provide services to Company in a faithful manner and reasonably to the best of its capacity and skills, and use reasonable efforts to preserve the interest of Company at the highest level.
2. Under the frame of the services to be provided during the term of this Agreement, Consultant shall be exclusively responsible for the matters set out in Exhibit - 2 attached hereto.
3. Consultant agrees and undertakes to comply with all reasonable requests, instructions and arrangements given or made by Company, and to provide required explanations, information and assistance at any time reasonably requested by Company or at such times as the activities of Company may require.
4. Consultant agrees, represents and undertakes that it shall not make any false or misleading statements about Company or any of its affiliates during the term of this Agreement or at any time following the expiry of the term; that it shall not make any false or misleading representations or statements in such a way as to show itself as working, or has a business relation with, Company following the termination of his/her services hereunder and it shall avoid any acts which may result in the same.
5. If Consultant fails to serve any such notice via e-mail within the said duration, the relevant consultancy, program and dates shall be deemed to have been agreed to by Consultant.
6. Expiry of the term of service of Consultant under the provisions hereunder or termination of this Agreement in any manner whatsoever shall not affect the provisions which are specified to survive the termination hereof, nor shall it have prejudice to the accrued rights and obligations of the Parties.
7. No Party hereto shall be responsible for delays or failures to fulfill its obligations hereunder if such delay or failure is due to causes beyond the control of the relevant party such as Acts of God, fires, explosions, civil wars, wars, riots, civil commotions, declaration of mobilization, strikes, lockouts and epidemics (hereinafter referred to as "Force Majeure"), which directly makes it impossible for the relevant party to fulfill its contractual obligations and/or prevents the activities of the parties hereto, so long as such force majeure continues.
8. The party suffering such Force Majeure shall advise the other Party in writing of the force majeure, the effects and estimated duration thereof and use its best efforts and take anticipated actions in order to eliminate the effects of such force majeure and to perform its obligations like before as well as to comply with its undertakings, as soon as reasonably practicable.
9. If and where any provision or article, all or part of the provisions or articles of this Agreement shall be invalid or unenforceable, contrary to law, such provisions shall be severable from, and such invalidity or unenforceability shall not be construed to have any effect on, the remaining provisions of this Agreement.
10. Consultant may not, either directly or indirectly, assign, nor transfer any rights and obligations thereof arising out of this Agreement to any third party, without the prior written consent of Compay.

TO THE MAXIMUM EXTENT ALLOWED BY APPLICABLE LAW, UNDER NO CIRCUMSTANCES SHALL EITHER PARTY BE LIABLE TO THE OTHER PARTY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR EXEMPLARY DAMAGES (EVEN IF THAT PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), ARISING OUT OF OR RELATING TO THIS AGREEMENT, INCLUDING, BUT NOT LIMITED TO, LOSS OR DAMAGE OF DATA, LOSS OF REVENUE, ANTICIPATED PROFITS OR LOST BUSINESS.

EXCEPT FOR BREACHES OF SECTIONS 5, 6 AND/OR 7 AND TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EITHER PARTY’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT EXCEED USD 1,000 (ONE THOUSAND DOLLARS).
THE FOREGOING LIMITATIONS SHALL APPLY NOTWITHSTANDING THE FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY STATED HEREIN.
