1. How will my job be affected?
At this early stage of the transition process, we do not yet know the specific details about how individual positions will be affected. In the coming months, transition teams will conduct a review of positions and develop an integration plan.
2. Will there be staff reductions as part of this transition?
At this early stage of the transition process, no determinations have been made regarding specific staff reductions. However, customer-facing positions at XXXXX are not expected to be eliminated or reduced as part of this transition. Also, the new company will maintain current levels of employment in New England. Positions that will be changed or eliminated will be announced following the transaction's closing.
3. What will XXXXX provide for severance for employees whose position is eliminated?
XXXXX employees whose positions are eliminated as part of this transition will be eligible for the XXXXX Enhanced Severance Agreement, which was established as part of the larger transaction agreement with XXXXXXXXXX. The core elements of this program include:
o All employees will receive an additional 2 months of severance which will not count toward plan maximums
o For non-exempt employees and exempt employees earning less than $75,000:
o 2 weeks of severance per year of service to a maximum of 39 weeks
o For exempt employees earning at least $75,000
o 4 weeks of severance per year of service to a maximum of 52 weeks
o Minimum of 8 weeks of severance for all employees
4. What will happen to my salary/compensation plan and benefits?
Between now and the close of the transaction, your salary/compensation plan and benefits will not be affected by this transaction and will remain the same, barring any changes that occur due to the regular course of business at XXXXX. All XXXXX employees should participate in XXXXX's Annual Benefits Enrollment Process, underway now through November 5, 2003. During the coming months, details of the salary and benefits transition plan will be determined and communicated to affected employees. This will include information about XXXXXXXXX 's benefits program, which is comparable to, and in some cases, more favorable than XXXXX's.
5. What happens to my benefits if my job is eliminated?
Should your position be eliminated and you are eligible to receive severance, you will have two options related to your benefits:
o You may choose to receive severance in a lump sum, at which time your benefits coverage ends and you become eligible for COBRA benefits, OR
o You may choose to receive severance as a periodic payment, during which time your benefits will remain unchanged until the last payment, when you become immediately eligible for participation in COBRA.
6. What happens to XXXX stock options and restricted stock I currently hold - now and in the future, when I know more about the status of my position?
Unvested employee stock options and restricted stock will fully vest on the date the transaction closes. You will be able to exercise these options for as long as you remain an employee, provided you exercise them prior to their expiration date. If you are terminated after the transaction, any XXXXX options that you currently hold will remain exercisable during your severance period and for an additional twelve months after that. Options held by employees of the former XXXXX are exercisable in accordance with their terms.
7. What happens to my 401(k) and cash balance pension plans?
If you lose your job after the transaction closes and you are not 100% vested in these plans, you will become fully vested upon termination.
8. What happens to equity grant schedule for 2004?
XXXXX remains on schedule to deliver its annual equity grant in February 2004. Eligibility and the process for determining individual awards will be consistent with past practices.
9. What if my position is relocated to another part of the country?
At this early stage of the transition process, we do not yet know the specific details about how individual positions will be affected. In the coming months, transition teams will conduct a review of positions and develop an integration plan. Employees whose positions are relocated a significant distance away from their current location will be eligible for severance. The precise guidelines for this component of the transition plan have not yet been determined; when they are, they will be communicated to all affected employees.
10. XXXX is currently holding Annual Enrollment. Should I still enroll, and is there anything different I should do because this transaction has occurred?
Yes, XXXXX employees should participate in Open Enrollment according to the established guidelines and during the established time period, which ends on November 5, 2003. Your benefit elections will be valid throughout 2004.

Yes, XXXXXXXXX provides extended family and partner benefits and has done so for years as one demonstration of its strong commitment to diversity.
