Source text - English 1. MISCELLANEOUS
1.1 The Board of Directors of X is entitled to conduct talks regarding settling the scope of co-operation and to execute all preparatory activities to conclude the Articles of Association of the Company, also to gather from Y the documentation describing tangible benefits and the return from the investment in given time. On the basis of the gathered information, the final agreement to sign the Articles of Association of the new Company can be given solely by the X’s Shareholders’ Meeting, according to the decision of X’s Shareholders’ Meeting taken on _____.
1.2 Termination: This Agreement shall terminate upon the occurrence of any of the following events:
a) If any party shall file a voluntary petition in bankruptcy or shall be adjudicated as bankrupt or insolvent, or shall seek or consent to or acquiesce in the appointment of any trustee, receiver, or liquidated of said party, and such appointment is not discharged within 60 (sixty) days, then a non-defaulting party may terminate this Agreement.
b) If any party to this Agreement is in breach of any term or condition herein, and fails to cure such breach within 30 (thirty) days of receiving notice of the breach from the non-breaching party.
c) Upon the mutual agreement of the Parties herein.
1.3 Upon termination of this Agreement, the Company shall be liquidated as possible to the extent of which prudent business judgment permits. The assets of the Company shall be applied (I) first to the payment of all just debts and obligations of the company to creditors other than the Parties herein; (II) thereafter to the payment of all amounts, if any, due from the Company to the Parties other than in respect of capital and profits; and (III) thereafter, to the payment or distribution of all remaining assets of the Company to the Parties based on their then existing shareholding.
1.4 This Agreement is, and all documents, notices, and other communications delivered hereunder, will be in the English and the Polish language, which will be the official text of this Agreement. This Agreement is made in and will be governed by and construed in accordance with the laws of the Republic of Poland.
1.5 No party may assign this Agreement, in whole or in part, without the written consent of the other Parties.
1.6 All notices required to be given under this Agreement will be sent to the address first written above by mail or fax (with hard copy to be sent by registered mail, or by hand delivery with written receipt of delivery).
Notice given by fax will be deemed received by the Party being notified on the first business day, in the city of destination, following the date of dispatch of the notice, and notice given by registered mail shall be deemed received on the 5th (fifth) business day at its address by notice given to the other Party as described above.
1.7 This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes and cancels all prior agreements, whether express of implied, written or oral, except for the Polish Law, which supersedes them all in case of collision. If any one article of this agreement is in conflict with the law, the other articles keep valid and legal.
1.8 The Parties submit any and all disputes, which may arise out of this Agreement for settlement by the court having the proper jurisdiction over registered office of the new Company.
1.9 For the duration of this agreement, the Parties agree not to directly or indirectly participate in, invest in and/or manage to provide technical aid or licenses to any other company or entity that could directly or indirectly compete with the Company in Poland.
Hereby, the Parties have caused this Agreement to be executed by them or their duly authorized representatives as of the date first above written.
Translation - Polish 1. POSTANOWIENIA RÓŻNE
1.1 Zarząd X jest upoważniony do prowadzenia rozmów ustalających zakres współpracy oraz przeprowadzenia wszelkich czynności przygotowawczych do zawarcia umowy Spółki, jak również do pozyskania od Y dokumentacji opisującej konkretne korzyści i zwrot z inwestycji w danym czasie. Na podstawie zebranych informacji ostateczną zgodę na podpisanie umowy spółki wyrazić może wyłącznie Zgromadzenie Wspólników X, zgodnie z decyzją Zgromadzenia Wspólników X, podjętą w dniu ___ r.
1.2 Rozwiązanie – niniejsza Umowa ulegnie rozwiązaniu w przypadku wystąpienia jednej z poniższych sytuacji:
a) Jeżeli jedna ze stron złoży dobrowolny wniosek o upadłość bądź zostanie orzeczona wobec niej upadłość z tytułu niewypłacalności, bądź będzie poszukiwać lub wyrazi zgodę lub przyzwolenie na wskazanie zarządu komisarycznego lub syndyka bądź zostanie orzeczona jej likwidacja, a takie działanie nie zostanie zaprzestane w ciągu 60 (sześćdziesięciu) dni, wówczas strona nie zalegająca może rozwiązać niniejszą Umowę.
b) Jeżeli którakolwiek ze stron niniejszej Umowy naruszy jakikolwiek z określonych w niej warunków i postanowień, a nie naprawi tego naruszenia w ciągu 30 (trzydziestu) dni od otrzymania pisemnej informacji o naruszeniu od strony nie naruszającej.
c) Na zgodny wniosek obu Stron tej Umowy.
1.3 W razie rozwiązania niniejszej Umowy, Spółka zostanie zlikwidowana jak najszybciej w stopniu, na jaki pozwoli rozważna analiza gospodarcza. Aktywa Spółki zostaną zadysponowane następująco: (I) najpierw na spłatę zadłużenia i wszystkich zobowiązań wobec wierzycieli z wyjątkiem Stron tej Umowy; (II) następnie na pokrycie wszelkich płatności Spółki na rzecz Stron innych niż wynikających z kapitału lub zysku; oraz (III) na koniec na spłatę lub podział pozostałych aktywów w oparciu o wartość przysługujących stronom udziałów.
1.4 Niniejsza Umowa oraz wszelkie dokumenty, pisma informacyjne i pozostałe formy komunikacji z niej wynikające będą sporządzane w języku angielskim oraz w języku polskim, które będą oficjalnym tekstem tej Umowy. Umowa ta skonstruowana została w oparciu o przepisy prawa Rzeczypospolitej Polskiej i te przepisy mają do niej zastosowanie.
1.5 Żadna ze Stron nie może cedować części lub całości praw w niej zawartych bez pisemnej zgody drugiej Strony.
1.6 Wszelkie zawiadomienia, których wymaga niniejsza Umowa, będą przesyłane na podany w nagłówku adres za pośrednictwem listu poleconego przesłanego pocztą lub faksem (w ślad za którym zostanie wysłana kopia papierowa listem poleconym przesłanym pocztą lub doręczona osobiście za pisemnym potwierdzeniem odbioru).
Zawiadomienie przesłane faksem będzie uważane za doręczone Stronie, której jest wysyłane, pierwszego dnia roboczego dla miasta odbiorcy następującego po dacie wysyłki pisma, natomiast zawiadomienie wysłane pocztą poleconą będzie uważane za dostarczone 5 (piątego) dnia roboczego na adres odbiorcy, z jednoczesnym potwierdzeniem otrzymania wysłanym przez stronę powiadamianą w sposób opisany powyżej.
1.7 Niniejsza Umowa stanowi całość porozumienia pomiędzy Stronami w zakresie jej przedmiotu oraz ma znaczenie nadrzędne i anuluje wszelkie poprzednie uzgodnienia, wyrażone lub dorozumiane, pisemnie bądź ustnie, za wyjątkiem przepisów polskiego prawa, które są zawsze nadrzędne. Jeżeli jakiekolwiek postanowienie będzie niezgodne z aktualnie obowiązującym prawem, pozostałe postanowienia zachowują moc prawną.
1.8 Wszelkie spory mogące wynikać z niniejszej umowy Strony poddają rozstrzygnięciu w sądzie właściwym dla siedziby nowopowstałej Spółki.
1.9 W okresie obowiązywania niniejszej umowy, Strony wyrażają zgodę na nieuczestniczenie pośrednio ani bezpośrednio, nieinwestowanie w lub/ani zarządzanie mające na celu zapewnienie pomocy technicznej lub udzielanie licencji jakiejkolwiek innej spółce czy dowolnemu podmiotowi, który mógłby stanowić bezpośrednią lub pośrednią konkurencję w stosunku do Spółki w Polsce.
Na dowód powyższego, Strony lub ich prawidłowo umocowani przedstawiciele podpisali niniejszą Umowę, w dacie wskazanej na wstępie.

Source text - English There are four historical wine regions in Moldova, three of them are used for the production of wines with protected geographical indication: Codru, Stefan Voda, Valul lui Traian.
X vineyards grow within these wine growing regions and cover an area of around 720 ha.
Codru is a region that has a fragmented relief of valleys and small rivers. The oak and linden forests account for 25% of the territory, influencing the microclimate of the region. This is where we grow white grape varieties mostly, that can yield unique aromatic wines with distinctive personality.
Stefan Voda is a wine region at a low altitude with Black Sea influences. Chardonnay, Pinot Grigio, Cabernet Sauvignon, grow alongside vineyards planted with native grape varieties, such as Feteasca Neagra, Feteasca Alba and Feteasca Regala.
Valui lui Traian is a region that has a warm climate with influences from the Black Sea and the forests in the Tigheci Hill. Our best red matured Y wines come from this region to surprise you with ripe velvet tannins.
WINE A is produced from hand harvested Feteasca Alba Moldovan local grape variety. Feteasca Alba is a florid & fruity wine, which, through its flavour, reminds of dew bedight grape - vine scent. Fresh and balanced, its taste is denoted by vividness and fruit notes.
WINE B is produced from hand harvested Feteasca Neagra Moldovan local grape variety. Part of the wine is kept in tanks and the rest is aged in French oak barrique to add creaminess. Genuine ripe cherry and plum aromas fill the mouth and oak treatment adds a smooth, velvety texture.
WINE C. Deep red in color, this delicious combination of Feteasca Neagra & Syrah results in blackberry, black cherry and plum aromas with spice undertones. Dark berry flavors with hints of liquorice and touch of spice are supported by soft vanilla notes from the oak ageing.
WINE D is produced from hand harvested Chardonnay grape variety. The barrel fermentation of the wine helps to achieve a full, soft and creamy body. This Chardonnay is elegant and richly textured, bursting with flavors of white peach, apricot and citrus. A balanced acidity, bright fruit flavors and a creamy mouthful fills the palate, creating a lovely finish.
WINE E is made from hand harvested grapes using "Charmat" Method. The wine undergoes a secondary fermentation in tanks and is bottled under pressure to produce gentle sparkling bubbles and preserve its fresh and fruity character. Aromas of white peach and citrus fruits that lead to zingy citrus flavors. This is a refreshing soft sparkling wine with a velvety, sweet and smooth pleasant finish.

Winnice X zlokalizowane są na terenach upraw w tych regionach i pokrywają powierzchnię ok. 720 hektarów.
Codru to region, który cechuje fragmentaryczna płaskorzeźba dolin i potoków. 25% powierzchni porastają lasy dębowo-lipowe, wpływając tym samym na mikroklimat regionu. Jest to miejsce gdzie uprawiamy głównie odmiany białych winogron, z których powstają aromatyczne wina o wyróżniającej się osobowości.
Ştefan Vodă jest z kolei obszarem położonym na nizinach, na które duży wpływ ma Morze Czarne. Uprawiamy tu m.in. szczepy Chardonnay, Pinot Grigio i Cabernet Sauvignon, które rosną obok odmian lokalnych, takich jak Feteasca Neagra, Feteasca Alba czy Feteasca Regala.
Valui lui Traian to kraina o ciepłym klimacie z wpływami Morza Czarnego i puszczy Tigheci Hill. Nasze najlepsze czerwone dojrzałe wina Y pochodzą właśnie z tego regionu i zaskakują bogatymi, aksamitnymi taninami.
WINO A jest produkowane z ręcznie zbieranych winogron lokalnej mołdawskiej odmiany Feteasca Alba. Feteasca Alba to kwieciste i owocowe wino, które swoim aromatem przywodzi na myśl zapach przystrojonej poranną rosą winorośli. Jest świeże i zbalansowane, a wyróżnia go żywy smak z owocowymi nutami.

WINO D wytwarza się z ręcznie zbieranych winogron odmiany Chardonnay. Fermentacja wina odbywa się w beczkach, przez co staje się ono pełne, miękkie i jednocześnie kremowe. To Chardonnay charakteryzuje się elegancką i bogatą strukturą, z wybijającymi się aromatami białej brzoskwini, moreli i cytrusów. Zbalansowana kwasowość, żywy owocowy smak i kremowość wypełniają podniebienie, tworząc wyborny finisz.
WINO MUSUJĄCE E produkowane jest z ręcznie zbieranych winogron przy użyciu metody Charmata. Wino poddaje się w zbiornikach drugiej fermentacji, a następnie butelkuje się pod ciśnieniem w celu uzyskania delikatnych musujących bąbelków przy zachowaniu jego świeżego i owocowego charakteru. Połączenie aromatów białej brzoskwini oraz owoców cytrusowych daje pobudzający cytrusowy efekt. To odświeżające delikatne wino musujące posiada aksamitną, słodką, miękką i przyjemną końcówkę.

of the Extraordinary Shareholders’ Meeting of the limited liability company under the name of "X" Spółka z ograniczoną odpowiedzialnością with its seats in A dated 04 May ____.
-THE BEGINNING OF THE MEETING
1. The Extraordinary Shareholders’ Meeting of the limited liability company under the name of "X" with its seats in A was held in A. It was opened by the Chairman of the Management Board - Mr. F, who ordered the choice of the Chairman of today’s Meeting.-
2. Mr. G was unanimously elected for the Chairman of today’s Meeting in secret voting, whereas Mr. F was unanimously elected for the Keeper of the minutes of today’s Meeting also in secret voting. Both Gentlemen agreed to comply with the results of the voting. The Chairman ordered to prepare the attendance list of the Shareholders.-
3. The Chairman affirmed that:
1) there is 100,00% of share capital present at today’s Meeting,
2) all Shareholders agreed to the agenda and to summon the Meeting following an extraordinary procedure stipulated by point XV paragraph 4 sentence 2 of the Articles of Association of the Company, hence they were correctly notified by the Management Board as to the venue, date, and agenda of today’s Meeting,
3) today’s Meeting is valid and capable to adopt binding resolutions.-
4. As the next step, the Shareholders’ Meeting adopted the following agenda:-
1) opening the Extraordinary Shareholders’ Meeting of X with its seats in A,-
2) confirming the validity of the Meeting and the capability of the Shareholders’ Meeting to adopt resolutions,-
3) adopting a resolution on approving the directions and plan for the development of the Company adopted by the Supervisory Board,-
4) adopting a resolution on the raise of the share capital of X ,
5) adopting a resolution on the amount, procedure and date of additional equity contributions for the shares of X ,
6) closing the Extraordinary Shareholders’ Meeting.
5. In relation to point 3 of the agenda, the Chairman proposed to adopt the following resolution:-
„RESOLUTION no. 01/ZW/01/____
of the Extraordinary Shareholders’ Meeting of the limited liability company under the name of "X" Spółka z ograniczoną odpowiedzialnością with its seats in A dated 04 May ____ on the approval of the directions and plan for the development of the Company adopted by the Supervisory Board.
1. On the basis of point V(1a) of the Articles of Association of the Company, the Extraordinary Shareholders’ Meeting of the limited liability company under the name of "X" Spółka z ograniczoną odpowiedzialnością with its seats in A, entered into the Register of Entrepreneurs of the National Court Register (KRS) by the District Court for A- in A _ Commercial Division of the National Court Register under KRS number decides to approve of the directions and plan for development of the Company, adopted by the Supervisory Board in their resolution no. 1/RN/01/____ dated 04 May ____.
6. Having read this resolution, the Chairman ordered open voting. The Chairman affirmed that the afore-mentioned resolution was accepted unanimously by the Shareholders’ Meeting: in favor - 100 votes, against - 0 votes, abstain - 0 votes.
7. The Chairman began to fulfill point 4 of the agenda. The Chairman proposed to adopt the following resolution:
„RESOLUTION no. 02/ZW/01/____
of the Extraordinary Shareholders’ Meeting of the limited liability company under the name of "X" Spółka z ograniczoną odpowiedzialnością with its seats in A dated 04 May ____ on the raise of the share capital of the Company.
1. On the basis of Art. 257(1) and (3) of CCC with regard to Art. 260(2) of CCC and on the basis of point VII(1) of the Articles of Association of the Company and having in regard the recommendation of the Supervisory Board expressed in their resolution no. 02/RN/01/____ dated 04 May ____, the Extraordinary Shareholders’ Meeting of the limited liability company under the name of "X" Spółka z ograniczoną odpowiedzialnością with its seats in A, registered in the Register of Entrepreneurs of the National Court Register (KRS) by the District Court for A- in A _ Commercial Division of the National Court Register under KRS number _ decides to raise the share capital from 0 zł by 0 zł to 0 zł through emitting new 670 (six hundred seventy) unprivileged, equal and undividable shares at the nominal value of 50 zł (fifty zloties) each and of the issue value 50 zł (fifty zloties) each, which are taken up by present Shareholders proportionally to their current shares, in the following way:-
- 335 (three hundred thirty-five) newly emitted shares for the total value of 16.750 zł (sixteen thousand seven hundred and fifty zloties) in the raised share capital of the Company are taken up by W with its seats in O,
- 335 (three hundred thirty-five) newly emitted shares for the total value of 16.750 zł (sixteen thousand seven hundred and fifty zloties) in the raised share capital of the Company are taken up by Z with its seats in A.
2. The shares shall be covered fully with a financial contribution. The Shareholders asseverate that the contribution for the shares in the raised capital of the Company taken up by them is free from any encumbrance.
3. Taking up of the shares according to the Articles of Association of the Company, in this case, shall be null and void unless made in writing, and written declarations should be delivered to the Company’s seats by the Shareholders until 22 May ____ the latest.-
4. Contribution of the financial assets for coverage of the raise of share capital should be made not later than 22 May ____ and should be effected onto the Company’s bank account indicated by the Management Board.-
5. In case of not delivering to the Company the declaration of taking up the shares or not making the full contribution within given date, the raise of the capital as described in this resolution shall not be valid.-
6. Pursuant to the point VII(1) of the Articles of Association of the Company, this resolution is not an amendment to the Articles of Association and does not require a protocol in the form of a notary act.-
7. The Shareholders’ Meeting obliges the Management Board to pass on prompt information to each Shareholder once all stipulations of this resolution are fulfilled.
8. This resolution shall enter into force on the day of its signing.”-
8. Having read this resolution, the Chairman ordered open voting. The Chairman affirmed that the afore-mentioned resolution was accepted unanimously by the Shareholders’ Meeting: in favor - 100 votes, against - 0 votes, abstain - 0 votes.
9. The Chairman began to fulfill point 5 of the agenda. The Chairman proposed to adopt the following resolution:
„RESOLUTION no. 03/ZW/01/____
of the Extraordinary Shareholders’ Meeting of the limited liability company under the name of "X" Spółka z ograniczoną odpowiedzialnością with its seats in A dated 04 May ____ on additional equity contributions to the shares of the Company.
1. On the basis of Art. 177 of CCC with regard to Art.178 of CCC and on the basis of point VIII(1) and (2) of the Articles of Association of the Company and having in regard the recommendation of the Supervisory Board expressed in their resolution no. 02/RN/01/____ dated 04 May ____, the Extraordinary Shareholders’ Meeting of the limited liability company under the name of "X" Spółka z ograniczoną odpowiedzialnością with its seats in A, registered in the Register of Entrepreneurs of the National Court Register (KRS) by the District Court for A- in A _ Commercial Division of the National Court Register under number KRS decides to contribute additional equity to the shares in total amount of 0 zł (one hundred and fifteen thousand five hundred zloties), i.e. triple value of the Company’s share capital after its raise (which is 0 zł), resulting from adopting by Shareholders’ Meeting the resolution no. 1/ZW/01/____.
2. Additional equity contributions shall be made proportionally between current Shareholders in the following way:
- W with its seats in O is obliged to make a contribution to shares of the total amount of 0 zł (fifty-seven thousand seven hundred fifty zloties), while the amount of contribution regarding every single share is 150 zł (one hundred fifty zloties),
- Z with its seats in A is obliged to make a contribution to shares of the total amount of 0 zł (fifty-seven thousand seven hundred fifty zloties), while the amount of contribution regarding every single share is 150 zł (one hundred fifty zloties).
3. The deadline for contributions is 7 (seven) days from the moment of registering the raise of the Company’s share capital, resulting from the resolution no. 1/ZW/01/____.
4.These contributions are not coverage for the balance-sheet loss of the Company.-
5. The return of contributions shall be effected until 31 December __, but in justified circumstances, the Shareholders’ Meeting can decide about changing this date. The return of contributions must be preceded with a resolution of the Shareholders’ Meeting, which shall define its procedure as well.-
6. This resolution shall enter into force on the day of registering the raise of share capital by the appropriate register court.”
10. Having read this resolution, the Chairman ordered open voting. The Chairman affirmed that the afore-mentioned resolution was accepted unanimously by the Shareholders’ Meeting: in favor - 100 votes, against - 0 votes, abstain - 0 votes.-
11. Having completed the agenda and with regard to no further motions, the Chairman closed the Extraordinary Shareholders’ Meeting.
12. The attendance list of the Shareholders is attached to this Protocol.
13. The Protocol was drawn up in five identical copies, one for each Shareholder and three for the Company.-

Nadzwyczajnego Zgromadzenia Wspólników
spółki z ograniczoną odpowiedzialnością pod firmą "X" Spółka z ograniczoną odpowiedzialnością z siedzibą w A z dnia 04 maja ____ roku.
POCZĄTEK ZGROMADZENIA-
1. Nadzwyczajne Zgromadzenie Wspólników Spółki z ograniczoną odpowiedzialnością pod firmą "X" z siedzibą w A odbyło się w A. Otworzył je Prezes Zarządu Spółki Pan F, który zarządził wybór Przewodniczącego oraz Protokolanta dzisiejszego Zgromadzenia.
2. Na Przewodniczącego dzisiejszego Zgromadzenia wybrano jednogłośnie w głosowaniu tajnym Pana G, natomiast na Protokolanta Zgromadzenia wybrano jednogłośnie w głosowaniu tajnym Pana F. Obaj Panowie oświadczyli, iż wybór przyjmują. Przewodniczący zarządził sporządzenie listy obecności Wspólników.-
3. Przewodniczący stwierdził, iż:
1) na dzisiejszym Zgromadzeniu reprezentowane jest 100,00 % kapitału zakładowego,
2) wszyscy Wspólnicy wyrazili zgodę na porządek obrad i zwołanie Zgromadzenia Wspólników w trybie nadzwyczajnym przewidzianym przez pkt XV ust. 4 zd. 2 Umowy Spółki, wobec czego zostali prawidłowo zawiadomieni o miejscu, terminie i porządku obrad dzisiejszego Zgromadzenia przez Zarząd,
3) dzisiejsze Zgromadzenie jest ważne i zdolne do powzięcia wiążących uchwał.-
4. Następnie Zgromadzenie Wspólników przyjęło porządek obrad w poniższym brzmieniu:-
1) otwarcie Nadzwyczajnego Zgromadzenia Wspólników X z siedzibą w A,-
2) stwierdzenie ważności Zgromadzenia i zdolności do podejmowania przez Zgromadzenie Wspólników uchwał,-

2. Udziały zostaną pokryte w całości wkładami pieniężnymi. Wspólnicy zapewniają, iż wkłady na pokrycie objętych przez nich udziałów w podwyższanym kapitale zakładowym Spółki będą wolne od jakichkolwiek obciążeń.-
3. Objęcie udziałów zgodnie z Umową Spółki powinno nastąpić w niniejszym przypadku w formie pisemnej pod rygorem nieważności, które to oświadczenia Wspólnicy zobowiązani są dostarczyć do siedziby Spółki najpóźniej z dniem 22 maja ____ r.
4. Wniesienie całości wkładów pieniężnych na pokrycie podwyższenia kapitału zakładowego powinno nastąpić najpóźniej do dnia 22 maja ____ r. i powinno być dokonane na wskazany przez Zarząd rachunek Spółki.
5. W przypadku nie doręczenia Spółce w zakreślonym terminie oświadczenia o objęciu udziałów lub nie dokonania całości wpłaty w tym terminie, podwyższenie kapitału określone niniejszą uchwałą nie dochodzi do skutku.
6. Zgodnie z pkt. VII ust. 1 Umowy Spółki, niniejsza uchwała nie stanowi zmiany umowy Spółki i nie wymaga zaprotokołowania w formie aktu notarialnego. -
7. Zgromadzenie Wspólników zobowiązuje jednocześnie Zarząd Spółki do niezwłocznego przekazania wszystkim Wspólnikom informacji w momencie zrealizowania wszystkich postanowień niniejszej uchwały.-
8. Uchwała wchodzi w życie z dniem jej podjęcia.”-

4. Niniejsze dopłaty nie stanowią pokrycia straty bilansowej Spółki.
5. Zwrot dopłat nastąpi do 31 grudnia __ r., jednak w uzasadnionych okolicznościach Zgroma-dzenie Wspólników może postanowić o zmianie tego terminu. Zwrot dopłat musi być poprzedzony uchwałą Zgromadzenia Wspólników, która określi również jego tryb.
6. Uchwała wchodzi w życie z dniem zarejestrowania podwyższenia kapitału przez właściwy sąd rejestrowy.”

WHEREAS, X is engaged in the business of licensing proprietary marks for marketing and know how transfer in the business as well as the techniques as to how to successfully operate the Retail Chain Stores according to a distinctive system and plan utilizing and comprising certain proprietary marks, confidential information, standards, specifications, techniques, identifying schemes and materials, insignia, management methods and standard operational procedures and X have expended substantial time, effort and money in the development and implementation of the same,
WHEREAS, Y is desirous of entering into an agreement with Z to form a company under the laws of Poland to acquire the right to the proprietary marks and know how of Z by using such company as a licensee of Z to do business within the Republic of Poland and its Territories,
WHEREAS, Y desires to obtain the benefit of the knowledge, skill and experience of Z and the rights and licenses to further sublicense the proprietary marks and transfer know how in the system of Z to its customers upon the terms and subject to the conditions set out below,
The parties hereby agree to the terms and conditions as follows:
1. GENERAL DESCRIPTION AND PURPOSE
The Parties agree to jointly establish a company under the laws of Poland (hereinafter referred to as the “Company”).
The main purpose of the Company shall be to enter into a license agreement with X to develop and promote the concept of sales & a MODULE MARKETING related to it in the Republic of Poland.
2. STRUCTURE AND CAPITALIZATION OF THE COMPANY
2.1 Structure of the Company:
Within 60 days after entering into a memorandum of understanding (MOU), Y will register and legally establish the Company as a new corporation under the laws of the Republic of Poland. The standard “Articles of Association” under the laws of the Republic of Poland shall be adopted as the Company’s Articles of Association.
2.2 Capital
The capital of the Company will be ______ or its equivalent by issuing ______ equal shares with par value of ______ or its equivalent each share fully paid up. Therefore, the structure of shareholding of the Company shall be as follows:
All shares are of equal right and denomination.
3. AGREEMENTS
The parties agree to enter into a company and a licensing agreement (the “Agreements”) within 60 (sixty) days from the date of this MOU or any other date as agreed by the parties. The terms and conditions in this MOU shall be used as a basis for future discussion and finalization of the Agreements. The provisions of the Agreements shall be substantively consistent with MOU.
4. TERMINATION
This MOU shall be terminated by an occurrence of the following events:
(a) by entering into the Agreements of the parties; or by the expiry of 60 (sixty) days from the date of this MOU if there is no extension thereof, whichever comes first; or
(b) by any party, immediately upon written notice of termination to the other party.

Strony niniejszym uzgadniają następujące warunki i zasady:
1. OPIS OGÓLNY ORAZ CEL PRZEDSIĘWZIĘCIA
Strony wyrażają zgodę na wspólne utworzenie spółki w oparciu o prawo polskie (zwanej dalej „Spółką”).
Nadrzędnym celem Spółki będzie podpisanie umowy licencyjnej z X w celu rozwoju i promocji koncepcji sprzedaży oraz związanego z nią modułowego systemu marketingowego w Rzeczypospolitej Polskiej.
2. STRUKTURA I DOKAPITALIZOWANIE SPÓŁKI
2.1 Struktura Spółki:
W ciągu 60 dni od podpisania niniejszego porozumienia o współpracy i wymianie informacji (w skrócie PWWI) Y zarejestruje Spółkę jako nową firmę i dokona wszelkich czynności prawnych z tym związanych w oparciu o prawo Rzeczypospolitej Polskiej. Standardowa umowa spółki oparta o prawo Rzeczypospolitej Polskiej zostanie przekształcona w Umowę Spółki.
2.2 Kapitał
Kapitał Spółki wyniesie ______ lub ekwiwalent tej kwoty poprzez wydanie ______ w pełni opłaconych równych udziałów o nominalnej wartości ______ lub jej ekwiwalentowi. W związku z powyższym, struktura udziałów będzie następująca:
Wszystkie udziały będą miały te same prawa i wartość nominalną.
3. UMOWY
Strony uzgadniają zawiązanie spółki z kapitałem mieszanym oraz podpisanie umów licencyjnych (“Umów”) w ciągu 90 (dziewięćdziesięciu) dni od daty podpisania niniejszego PWWI lub innej daty uzgodnionej przez strony. Warunki i zasady przedstawione w niniejszym PWWI zostaną użyte jako podstawa do przyszłych dyskusji i finalizacji Umów. Postanowienia umów będą musiałby być zasadniczo spójne z PWWI.
4. WYGAŚNIĘCIE
Niniejsze PWWI wygaśnie w następujących przypadkach:
(a) w zależności od tego, które zdarzenie nastąpi wcześniej - poprzez podpisanie Umów przez strony lub po upływie 60 dni od daty podpisania niniejszego PWWI, jeśli nie zostanie on przedłużony; lub
(b) natychmiastowo poprzez złożenie pisemnej informacji o rozwiązaniu porozumienia drugiej stronie.

I have been dealing with all different types of translation and interpretation since 1998, having graduated from a high school with bilingual PL/EN classes. Since then, I have continued my education: Master's degree in International Relations (specialization: European Studies), and courses/classes in the UK as well as on my own. Having received the CPE Cambridge diploma in 2009, I became the chief person in the company - to effectively deal with all legal, contractual, economic and technical issues in English resulting from its business operations. For more than 10 years I have been doing also professional translations for several language service companies or direct customers as a freelancer.
The fields of interest and topics of translation were many and various - from law & contracts to business documents of all kind, from melee weapons and metal forging to winemaking and furniture, fantasy and thriller novels, from data protection to different areas in medicine, health care, and social care. I also did a few marketing transcreations and website/game localization projects. In 2018 I began preparation for the examination for sworn translators EN<>PL. In September 2019 I graduated from postgraduate studies for certified translation at Jagiellonian University in Krakow.
