3. Certainty as to the chosen court
70. In order to be valid a jurisdiction agreement must, too, designate the chosen court with sufficient certainty. According to Art. 23 (1) sent. 1 the agreement must enable the court seised to decide that the parties have agreed upon “a court or courts of a Member State”. The expression includes clauses that designate courts in more than one Member State. It is not necessary though advisable that the court is named in the jurisdiction clause as long as the competent court can be clearly gathered from the parties’ contract and intentions and from the circumstances as a whole. The clause must only clearly state the criteria according to which the competent court is to be determined. A jurisdiction clause stating that “(a)ny dispute arising under this Bill of Lading shall be decided in the country where the carrier has his principal place of business” is therefore sufficiently precise since when the clause is invoked the court seised can determine the place of business and hence the competent court. If the place of business has changed since the conclusion of the contract it is probably the place at the time when proceedings are instituted which counts unless this party has changed its place of business on purpose in order to change jurisdiction only.
71. Agreements which confer jurisdiction on the courts at the domicile of the respective defendant or even of the respective claimant designate the competent court with sufficient certainty since, again, at the time proceedings are instituted it is clear which party is the claimant or the defendant. Equally a clause which gives the claimant the right to choose between different courts – for instance between the court where the defendant is domiciled and the court at the place of performance – is sufficiently precise. However, a jurisdiction agreement lacks the necessary precision if the choice of the competent court is entirely left at the claimant’s option. The same is true for a clause that “the courts of the Ship’s Flag State” or “the court mutually agreed by the parties” should have jurisdiction since the competent court cannot be precisely determined. Also a clause: “jurisdiction: European courts” would be invalid for uncertainty since the ECJ and the Court of First Instance cannot be freely chosen by private persons and with respect to national courts in Europe the clause leaves it completely uncertain the courts of which European country should be competent. On the other hand, a clause “Internationales Handelsgericht in Brüssel” (“international commercial court in Brussels”) has been held to be sufficiently precise: though there is no international commercial court in Brussels but only a national commercial court the clause was construed to designate the latter court.
72. The certainty condition does not require the parties to nominate a specific local court. The wording of Art. 23 allows explicitly that they designate the courts of a certain country without specifying the locally competent court (for instance: “French courts alone shall have jurisdiction”). It is then for the national law of civil procedure to determine which local court is to have jurisdiction to decide the dispute. If it should happen that the national law does not provide an answer to this question it has been suggested that the claimant may choose where to sue in this country. The better view in such a case is to apply a uniform standard that follows the underlying policies of the Regulation: first to allow the parties to choose the local court; absent such choice, to seise the court where one of the parties is seated (in case both parties have their domicile in that state where the defendant is seated); lastly, to sue in the courts at the seat of the government of the chosen state.

3. Určitost volby soudu
70. Má-li být jurisdikční dohoda platná, musí v ní být zvolený soud označen s dostatečnou určitostí. Z čl. 23 odst. 1 věta prvá vyplývá, že jurisdikční dohoda musí umožňovat soudu, jemuž byl spor předložen, aby dospěl k závěru, že podle ujednání stran má příslušnost „soud nebo soudy některého členského státu“. Citované znění tak zahrnuje i doložky, které označují soudy ve více než jednom členském státě. Je vhodné, aby jurisdikční doložka jmenovala konkrétní soud, ale není to nezbytné, jestliže příslušnost soudu lze jednoznačně vyvodit ze smlouvy uzavřené mezi stranami, ze záměrů stran a z celkových okolností. Doložka musí pouze jasně stanovit kritéria, podle nichž se příslušný soud určí. Jurisdikční doložka stanovící, že „(v)šechny spory vyplývající z tohoto náložního listu budou předloženy k rozhodnutí soudům v zemi, kde má dopravce hlavní místo podnikání“, je tedy dostatečně přesná, jelikož pokud se některá ze stran na tuto doložku odvolá, soud, jemuž byl spor předložen, bude schopen určit místo podnikání, a tudíž také příslušný soud. Došlo-li od uzavření smlouvy ke změně místa podnikání, bude rozhodným místem pravděpodobně místo podnikání v okamžiku zahájení řízení, ledaže dotyčná strana změnila místo podnikání výhradně s úmyslem dosáhnout změny jurisdikce.
71. Dohody, které zakládají jurisdikci soudů podle bydliště žalovaného, nebo dokonce podle bydliště žalobce, určují příslušný soud s dostatečnou jistotou, protože, opět, v okamžiku zahájení řízení je zřejmé, která ze stran je žalovanou a která žalobkyní. Stejně tak doložka, která opravňuje žalobce, aby volil mezi různými soudy – například mezi soudem podle bydliště žalovaného a soudem podle místa plnění – je dostatečně určitá. Jurisdikční dohoda však nebude dostatečně určitá, pokud volba příslušného soudu bude ponechána zcela na rozhodnutí žalujícího. Totéž platí pro doložky určující, že příslušnými soudy budou „soudy státu, pod jehož vlajkou plavidlo pluje,“ nebo „soudy určené vzájemnou dohodou stran“, protože neumožňují přesné určení příslušného soudu. Také doložka ve znění „příslušný soud: evropské soudy“ by byla neplatná z důvodu neurčitosti, jelikož soukromé osoby si nemohou svobodně zvolit Evropský soudní dvůr či Soud prvního stupně, a má-li se jednat o soudy evropských států, je doložka naprosto neurčitá v otázce konkrétního evropského státu, jehož soudy by měly být příslušné. Naproti tomu doložka ve znění „Internationales Handelsgericht in Brüssel“ („mezinárodní obchodní soud v Bruselu“) byla shledána dostatečně přesnou: přestože v Bruselu nesídlí žádný mezinárodní obchodní soud, nýbrž pouze vnitrostátní obchodní soud, byla doložka vykládána tak, že označuje druhý ze zmiňovaných soudů.
72. Podmínka určitosti nevyžaduje, aby strany jmenovaly konkrétní místní soud. Znění článku 23 výslovně umožňuje, aby určily soudy některého státu, aniž by specifikovaly příslušnost konkrétního místního soudu (například: „příslušnými soudy jsou výhradně francouzské soudy“). Určení, který místní soud je příslušný k rozhodování sporu, je tedy záležitostí vnitrostátního občanského práva procesního. Pokud by snad vnitrostátní normy nepodávaly na tuto otázku odpověď, bylo pro takový případ navrhováno, aby si žalující mohl zvolit, kde v rámci daného státu se chce soudit. Vhodnějším přístupem však v takovém případě bude uplatnit jednotný standard vycházející z ducha Nařízení: nejprve umožnit stranám, aby si zvolily místní soud; při absenci takové volby předložit spor k projednání soudu podle místa, kde je některá ze stran usazena (pokud obě strany mají bydliště ve státě, kde je usazen žalovaný); a konečně, žalovat u soudů v místě sídla vlády zvoleného státu.
