TELÉFONO PERMANENTE realizará una campaña de de emisión de llamadas para BINEKS GLOBAL (empresa de venta de suplementos dietéticos para adelgazar por Internet), mediante llamadas telefónicas desde nuestra plataforma y dirigidas a particulares interesados en comprar el producto “Chocolate Slim”. Nuestros teleoperadores efectuarán las llamadas a partir de una base de datos facilitada por BINEKS GLOBAL, filtrada y seleccionada según criterios acordados y publicados en una Landing page. Asimismo se acordará el horario más conveniente para realizar las llamadas y conseguir el mejor resultado.
Las llamadas se efectuarán según guión elaborado entre BINEKS GLOBAL y TELÉFONO PERMANENTE, y en base al mismo los teleoperadores tendrán que conectarse diariamente a la Landing page de BINEKS GLOBAL para obtener los datos de los registros a llamar y que han solicitado realizar un pedido de compra del producto “Chocolate Slim”, con el objetivo de motivar la compra de uno o más de una unidad de producto.
TELÉFONO PERMANENTE seleccionará las personas más idóneas para llevar a cabo esta campaña y obtener un resultado óptimo. Previamente, BINEKS GLOBAL se encargará de la formación de dichos operadores para maximizar el ratio de ventas.
Una vez al día en horario a determinar, TELÉFONO PERMANENTE enviará BINEKS GLOBAL un informe con las llamadas realizadas y sus resultados.

Source text - English 1.1 ClickDealer Ltd. (hereinafter “the Company”) is a company registered in the British Virgin Islands with registration number: 1702872
1.2 Among others, the Company is in the business of operating as a marketing agency by connecting and bringing together Advertisers (individuals and/or businesses who have their own websites, as well as traffic resellers) with Advertisers (individuals and/or businesses who need to advertise their products online). For the provision of these services, the Company charges the Advertisers a fee.
1.1 The following terms and conditions (hereinafter collectively referred to as “the Agreement”) govern the relationship between the company and the “Advertiser” as this is identified in all Insertion Orders hereto, in respect to the placing of such Insertion Orders (hereinafter referred to as the “IO”). It is hereby acknowledged between both the parties that both this Agreement and the IO form and constitute a single document.
2.1. Subject to the terms and conditions of this Agreement, and provided that the IO has been approved by the Company in writing, the Company hereby undertakes to embark on all commercially reasonable efforts to supply the services and to undertake the campaign described as this is described in the IO
(collectively referred to as the “Campaign(s)”).
2.2. The Advertiser shall thoroughly fill in or provide the Company with all necessary details required by the IO, including the Advertiser’s bank details.
3.1 For these services to be rendered by the Company, the Advertiser hereby pledges, covenants and agrees to pay to the Company for all the valid transactions generated by the Company, regardless of the campaign term set out in the IO, and any additional payments which are to be agreed upon between the parties.
3.2 For the purpose of effecting payments, the Advertiser shall provide the Company with billing numbers within five (5) business days after each billable month or any other billing period agreed upon between the parties. The Company reserves the right to dispute the Advertiser’s billing numbers within the next five (5) business days. In case of discrepancies, billing numbers from the Company’s tracking platform shall prevail unless the Advertiser can soundly prove the discrepancy arose from the
Company’s own mistake. After agreeing upon the billables, the Company shall issue the Advertiser with invoices at monthly intervals, or at any other such intervals which are set forth in the IO and/or agreed between the parties. The Advertiser hereby promises, agrees and covenants to effect payment of the amounts mentioned in the invoices. Such amounts may include – without limitation – all applicable and pertinent sales, use, excise and/or any other taxes, without set-off. Such amounts might also include abatements, compensations or deductions, all in accordance with the terms of this Agreement and the additional terms set out in the IO. Payment, unless there is an agreement to the contrary, shall be made to the Company within 15 (fifteen) calendar days, unless different payment terms have been agreed upon by the parties in the applicable IO, from the date that the invoice is issued and sent by the Company to the Advertiser.

1.2 Entre otros, la empresa está en el negocio de operar como una agencia de marketing mediante la conexión y que reúne a los anunciantes (individuos o empresas que tienen sus propios sitios web, así como distribuidores de tráfico) con anunciantes (individuos o empresas que quieran publicitar sus productos en línea). Para la prestación de estos servicios, la empresa cobra a los anunciantes una cuota.
1.3. Los siguientes términos y condiciones (en adelante conjuntamente denominadas "el Acuerdo") rigen la relación entre la empresa y el "anunciante", esto se identifica en todos los órdenes de inserción, respecto a la colocación de dichas órdenes de inserción (en adelante denominado el "IO"). Por la presente se reconoce entre ambas partes que este acuerdo y la IO constituyen un documento único.
2.1. Sujeto a los términos y condiciones de este acuerdo, y siempre que la IO ha sido aprobada por la compañía por escrito, la empresa se compromete a emprender todos los esfuerzos comercialmente razonables para suministrar los servicios y llevar a cabo la campaña descrita como esto se describe en el IO (colectivamente denominado la "Campaña(s)").
2.2. El anunciante ha de rellenar bien o proporcionar a la Compañia todos los datos necesarios requeridos por la IO, incluyendo los datos bancarios del anunciante.
3.1. Para que estos servicios sean prestados por la Compañia, el anunciante se compromete por la presente, y se compromete a pagar a la empresa para todas las transacciones válidas generadas por la empresa, sin importar el término de campaña establecidas en la IO y los pagos adicionales que deben ser acordados entre las partes.
3.2. Con el fin de efectuar los pagos, el anunciante proporcionará a la empresa con números de facturación dentro de cinco 5 días posteriores al mes facturable o cualquier otro período de facturación acordado entre las partes. La Compañía se reserva el derecho a disputar los números de facturación del Anunciante en los próximos días cinco 5 laborables. En caso de discrepancias, los números de la plataforma de seguimiento de la compañía de facturación prevalecerán a menos que el Anunciante puede probar bien que la discrepancia surgió como error de la Compañia. Después de convenir en cuanto a la facturacion, la Compañia deberá emitir al Anunciante con facturas en los intervalos mensuales, o a cualquier otro intervalo que están establecidos en la IO o acordados entre las partes. El Anunciante por este medio promete, está de acuerdo y pacta que efectuara el pago de las cantidades mencionadas en las facturas. Dichas cantidades pueden incluir – sin limitación – todas las ventas pertinentes y aplicables, uso, impuestos y otros gravámenes, sin exclusion. Estas cantidades también pueden incluir deducciones, compensaciones o reducciones, todo conforme a los términos de este acuerdo y los términos adicionales enunciados en el IO. El pago, a menos que haya un acuerdo por lo contrario, se efectuará a la Compañia dentro de los 15 (quince) días, a menos que las condiciones de pago diferentes han sido convenidas por las partes en el IO aplicable, desde la fecha en que la factura es emitida y enviada por la empresa al anunciante.
