Source text - English 1.1.1 ADOPTED METHOD FOR TRANSFER PRICING
1.1.1.1 Statement of the chosen method and reasons for its conformity to the principle of freedom of competition
In order to determine and verify whether the transfer price applied to the transactions are consistent with the principle of free competition, a clear method of the determination of transfer prices must be selected and applied.
The OECD has published, "Guidelines on transfer pricing for multinational enterprises and financial administrations" ("OECD Guidelines"). The OECD Guidelines are widely credited as an authoritative guidance on transfer pricing by both taxpayers and by financial authorities of different countries in all OECD member countries and elsewhere.
As a result of the publication of the Guidelines, many OECD countries have enacted new laws and regulations (in our country, cf. Decree-Law n. 78/2010 and a decree order of the Director of the Revenue on the 29th September of 2010).
The OECD member countries are encouraged to use the Guidelines in their practice of internal transfer pricing. Similarly, taxpayers are encouraged to use the Guidelines to assess whether their transfer prices are conforming to the principle of free competition.
The purpose of the OECD Guidelines is to provide guidance to tax authorities for the verification of transfer pricing. In any case, transfer pricing is not an exact science, and it takes practice "of judgment by governments and by taxpayers."
The Guidelines are subject to constant updating: a partial revision was published in July 2010.
The OECD Guidelines and - in line with these - the domestic legislation on transfer pricing stipulates that the goal of determining an arm's length price for that is necessary to select a method "appropriate to provide the best estimate of the price of free competition."
In this regard, the OECD guidelines provide several methods to verify compliance with the principle of free competition of transactions, such as:
Traditional transactional methods:
– A method of comparing the price ("Comparable Uncontrolled Price Method or CUP")
– The resale price method ("Resale Price Method or RPM")
– The cost-plus method ("CPM or Cost Plus Method")
Profit or income based transactional methods
– Profit Split Method o PSM
– Transactional Net Margin Method o TNMM
The following paragraphs describe the characteristics and distinctive features of each method provided by the OECD Guidelines, explaining also the reasons why a single method is selected as appropriate for the transaction in question.

Al fine di determinare e verificare la conformità al principio di libera concorrenza del prezzo di trasferimento applicato alle transazioni, deve essere individuato e applicato un metodo chiaro per la determinazione dei prezzi di trasferimento.
L'OECD ha pubblicato le "Linee guida sui prezzi di trasferimento per le imprese multinazionali e le amministrazioni finanziarie" ("Linee guida OECD"). Le Linee guida OECD sono ampiamente accreditate dai contribuenti e dalle autorità finanziarie dei diversi Paesi, membri o non membri dell'OECD, come una guida autorevole in tema di prezzi di trasferimento.
A seguito della pubblicazione delle Linee guida, diversi Stati membri dell'OECD hanno promulgato nuove leggi e regolamentazioni (nel nostro Paese, cfr. Decreto-legge n. 78/2010 e provvedimento del Direttore dell'Agenzia delle Entrate del 29 settembre 2010).

Source text - English Review of consolidated results
The consolidated financial statements for the financial year ended 31 December 2016 reported a net profit of Euro XX million, showing a sharp improvement compared to the loss of Euro XX million recorded in 2015 and operations characterised by extremely positive financial and economic results, as was the performance of the key operational performance indicators.
Specifically, the Company was able to benefit from higher resources of Euro XXX million during the 2016 financial year, arising from the very successful application of a new system for the collection of ordinary licence fees, which entailed a considerable increase in the number of subscribers.
The results were also excellent for the performance of advertising revenues, which were on the rise for the first time in the last six years, and of other revenues, which contributed Euro XX million to the increase in total revenues.
The higher resources available in 2016 totalled about Euro XXX million, also taking account of savings arising from the optimisation of external costs, for a value of about Euro XX million.
The higher available resources allowed a full coverage of costs for the Big Sports Events (European Football Cup and summer Olympics, equal to Euro XXX million), as well as to pursue two major objectives at the same time:
• the improvement of the offer and investments
in digital media (Euro XX million), consistently with the strategic process to transform Xxxx into a media company;
• the strengthening of the Group’s financial position structure for Euro XXX million.
The following section provides an overview of the main items in the Income Statement and the Balance Sheet, together with the reasons for the most significant changes compared to the values posted in the previous year.
Income Statement
Revenues
These are made up of licence fees, advertising revenues and other revenues from sales.
They totalled Euro XXXX million, showing an increase of Euro XXX million (+12.7%), as detailed below.
Licence fees revenues
Revenues from licence fees for ordinary and special subscriptions accrued in the year, as well as fees accrued in previous years, which had been collected through standard enforcement procedures, amounted to Euro XXXX million, showing an increase of Euro XXX million (+16.6%) compared to 2015.
This increase was substantially attributable to licence fees for private subscriptions (ordinary licence fees), showing an increase of Euro XXX million compared to 2015 (+16.6%), which benefitted from the new collection method to collect fees by charging them to electricity bills. This method entailed a considerable increase in the number of subscribers and allowed the negative effect arising from the reduction of the unit licence fee to Euro XXX (against Euro XXX in 2015) to be offset.
It should be noted that, given the provisions laid down in Law 190/2014 concerning a 5% reduction in the amounts to be paid to Xxxx and in the 2016 Stability Law that provides for Xxxx to receive 67% of an increase in revenues, as well as of the government licensing fee and VAT, based on the results for the year, the average unit licence fee that must be actually paid to Xxxx reduced from Euro XXX to Euro XX.
Licence fees revenues relating to commercial utilities (licence fees for special subscriptions) remained substantially stable at Euro XX million.
Advertising
In a macro-economic scenario that was marked by a moderate expansion, the advertising market reported a positive performance during 2016, showing a 1.7% increase (source: Xxxx).
This growth was mainly due to TV advertising (+5.4%), which confirmed its leading position with a market share of XX%. The other media used by Xxxx showed an increase in radio advertising (+2.3%) and a decline in Internet (-2.3%) advertising.
In these conditions, the Xxxx Group’s advertising revenues, as detailed in the related table, amounted to Euro XXX million and showed a performance higher than the market, with an increase of XX million compared to 2015 (+6.0%). As a result of the abovementioned performance, Xxxx’s TV market share increased by 0.2% compared to 2015, coming to XX%. This result was achieved thanks to an increased average price of advertising spaces and despite the collection of revenues from advertising being interrupted as from May for three specialist TV channels (Xx, Xx, Xx), which had collected revenues in the range of Euro XX million during the period from May to December 2015.
Furthermore, note the positive performance reported by web advertising that recorded a XX% increase in a decreasing market, despite showing absolute values that were still low, and benefitted from the launch of “Xxxx” that took place in August.
Other revenues
These amounted to Euro XXX million, with an increase of Euro XX million (+2.4%) compared to 2015, as reported in the table below.
The rise reported in the item was mainly due to increased revenues from Sales of rights, channels and musical publications (Euro +XX million) for the development of the business relating to the exploitation of Video On-Demand (VOD) and Subscription Video On-Demand (SVOD) rights attached to cinema works and of the filming rights of football team matches.
The rise in revenues was also contributed to by an increase in revenues from the sales of Xxxx channels’ programmes abroad, which was partially offset by higher signal distribution costs, arising from the adoption of a different model for the distribution of Xxxx Italia channel’s programmes in America and Australia.
These decreases compared to 2015 were mainly due to:
• special services under agreements and for institutional purposes (Euro -XX million), due to lower reimbursements under the licence fee management agreement, as a result of a different method used to collect licence fees and the failure to report proceeds connected with the Expo 2015 agreement;
• film and home video distribution (Euro -XX million), due to lower proceeds from film distribution, which had been affected by particularly positive box office results during 2015.
Operating costs
These costs are made up of Total external costs and Personnel costs, i.e. both internal and external costs arising from the core business.
They totalled Euro XXXX million, showing an increase of Euro XXX million (+11.1%) compared to 2015, including costs of Euro XXX million arising from Big Sports Events.

Le maggiori risorse disponibili hanno permesso la copertura completa dei costi per i Grandi Eventi Sportivi (Campionato Europeo di Calcio e Olimpiadi estive, per un importo di XXX milioni di euro) e, inoltre, di perseguire due grandi obiettivi contemporaneamente:
• il miglioramento dell’offerta e gli investimenti nei media digitali (XX milioni di euro), coerentemente con il processo strategico di trasformazione di Xxxx in una media company;
• il rafforzamento della struttura della posizione finanziaria del Gruppo per XXX milioni di euro.
La sezione seguente fornisce un quadro generale degli elementi principali che compongono il Conto Economico e lo Stato Patrimoniale, corredati dalla spiegazione dei cambiamenti più rilevanti rispetto ai valori dell’anno precedente.
Conto Economico
Ricavi
Sono composti dal canone televisivo, dai ricavi pubblicitari e dagli altri ricavi di vendita.
Il totale dei ricavi è stato di XXXX milioni di euro, con un incremento di XXX milioni di euro (+XX,X%), come specificato qui di seguito.
Ricavi derivanti dal canone televisivo
I ricavi derivanti dal canone televisivo per gli abbonamenti standard e speciali maturati durante l’anno e negli anni precedenti, che erano stati riscossi tramite procedure di esecuzione standard, sono ammontati a XXXX milioni di euro, con un incremento di XXX milioni di euro (+XX,X%) rispetto al 2015.
Tale aumento è attribuibile per la maggior parte al canone per gli abbonamenti privati (canone televisivo standard), con un aumento di XXX milioni di euro rispetto al 2015 (+XX,X%). I benefici derivano dal nuovo metodo di riscossione delle rate del canone tramite addebito diretto nelle bollette dell’energia elettrica.
Tale metodo ha comportato un aumento considerevole nel numero degli abbonati, e ha permesso di controbilanciare l’effetto negativo derivante dalla riduzione del canone unitario a XXX euro (contro i XXX euro del 2015).
Bisogna considerare che, alla luce delle disposizioni stabilite dalla Legge 190/2014 in merito alla riduzione del 5% degli importi dovuti a Xxxx e dalla Legge di Stabilità 2016 che prevede che Xxxx riceva il XX% di un aumento dei ricavi, come anche dei diritti di licenza governativi e dell’IVA, in base ai risultati dell’esercizio, il canone unitario effettivo medio pagato a Xxxx si è ridotto da XXX a XX euro.
I ricavi derivanti dal canone per le utenze commerciali (canone televisivo per abbonamenti speciali) sono rimasti sostanzialmente stabili a XX milioni di Euro.
Pubblicità
In uno scenario macroeconomico caratterizzato da espansione moderata, nel 2016 il mercato pubblicitario ha riportato una performance positiva, con un incremento dell’X,X% (fonte: Xxxx).
Tale crescita è da attribuirsi principalmente alla pubblicità televisiva (+X,X%), che ha confermato la sua posizione dominante con una quota di mercato del XX%. Per quanto riguarda gli altri canali pubblicitari utilizzati da Xxxx, si è verificato un incremento nella pubblicità radiofonica (+X,X%) e una diminuzione nella pubblicità via internet (-X,X%).
In queste condizioni, i ricavi pubblicitari del Gruppo Xxxx, come riportato in dettaglio nella relativa tabella, sono ammontati a XXX milioni, mostrando un risultato superiore a quello del mercato, con un incremento di XX milioni rispetto al 2015 (+X,X%). In conseguenza della suddetta performance, la quota di mercato della televisione Xxxx è aumentata dello X,X% rispetto al 2015, arrivando al XX%.
Tale risultato è stato ottenuto grazie ad un aumento del prezzo medio degli spazi pubblicitari e nonostante l’incasso dei ricavi pubblicitari sia stato interrotto, da maggio in poi, per tre canali televisivi specialistici (Xx, Xx e Xx), che avevano incassato ricavi nell’ordine degli XX milioni di euro nel periodo compreso tra maggio e dicembre 2015.
Inoltre, da notare la performance positiva riportata dalla pubblicità via web, che ha registrato un aumento del XX% in un mercato in decrescita, a dispetto di valori assoluti ancora bassi, e ha beneficiato dal lancio di “Xxxxx” avvenuto ad agosto.
Altri ricavi
Gli altri ricavi sono ammontati a XXX,X milioni di euro, con un aumento di X,X milioni di euro (+X,X%) rispetto al 2015, come riportato nella tabella seguente.
La crescita riportata in questa voce si deve principalmente all’aumento dei ricavi di Vendita di diritti, canali e pubblicazioni musicali (+X,X milioni di euro) per lo sviluppo delle attività aziendali relative allo sfruttamento dei diritti di Video On-Demand (VOD) e degli Abbonamenti Video On-Demand (SVOD) connessi alle opere cinematografiche, e ai diritti concernenti le riprese delle partite di calcio.
Alla crescita dei ricavi ha contribuito anche l’aumento dei ricavi di vendita dei programmi televisivi Xxxx all’estero. Tale crescita è stata in parte controbilanciata dai maggiori costi di distribuzione del segnale, derivanti dall’adozione di un differente modello di distribuzione dei programmi televisivi di Xxxx Italia in America e in Australia.
Tali diminuzioni rispetto al 2015 sono dovute principalmente a:
• servizi speciali previsti da accordi e per scopi istituzionali (-XX milioni di euro), dovuti ai minori rimborsi previsti dall’accordo di gestione del canone televisivo, in conseguenza di un diverso metodo di riscossione del canone e della mancata registrazione dei proventi legati all’accordo per Expo 2015;
• distribuzione di film e home video (-XX milioni di euro), dovuti ai minori proventi della distribuzione di film, che ha subito l’effetto dei risultati particolarmente positivi al botteghino nel 2015.
Costi di gestione
Sono composti dal Totale Costi esterni e dai Costi per il personale, cioè i costi interni ed esterni derivanti dall’attività caratteristica.
In totale, tali costi sono ammontati a XXXX milioni di euro, con un incremento di XXX milioni (+XX,X%) rispetto al 2015, inclusi i costi per XXX milioni derivanti dai Grandi Eventi Sportivi.

Source text - English June projections CPB are bleak
The Xxxx economy this year is projected to fall by X%. For next year, a slight recovery is projected, leading to a X% increase in GDP. The budget deficit by 2014 is expected to be XX%. This is the second forecast made in 2013.
Take a look at the Table Extended Main Economic Indicators.
Household consumption in 2013 will decline, due to lower disposable income levels and decreasing house prices, while public spending also will continue to decline as a result of ongoing spending cuts. The slight recovery projected for 2014 is related to Xxxx exports benefiting from recovering world trade. Domestic spending levels will hardly contribute to next year's growth. This is concluded in the June projections, published today in the Xxxx CPB Policy Brief 2013/06 'Xxxxx 2013' by XXX Xxxxx Bureau for Economic Policy Analysis.
The situation on the labour market is bleak. Employment will drop this year by 1¼% and in 2014 by ½%. At the moment, unemployment levels are rapidly increasing. In 2012, the average unemployment level concerned X.X% of the labour force. In 2013, this will grow to an average X% and in 2014 to X%. This weak labour market has a downward impact on wage levels. Contract-wage increases in the market sector are expected to lag behind inflation, for both these years. In the public sector, they will lag behind even further in 2013, as wage levels in this sector have been frozen.
The economic decline in 2013 will dampen tax revenues and increase unemployment benefit payments. However, as a result of sizeable spending cuts and tax increases, the government deficit is still projected to decrease, from X.X% of GDP in 2012 to X.X% this year. Further increases in unemployment benefits are projected for next year, which will contribute to the government deficit increasing to X.X% of GDP in 2014.
Projections of economic growth have been slightly adjusted downwards for 2013, compared to the March projections, but remain unchanged for 2014. The downward revision of 2013 leads to lower tax revenues and higher unemployment benefits, which together lead to an upward revision of the government deficit in both years.
The XXX Policy Brief also addresses structural impacts (effects that will linger after 2017) related to the Social Agreement of last April. Because of the toning down of unemployment benefit (WW) measures, this agreement will halve the positive structural impact on employment that would have resulted from the Government Agreement. Compared to results from the earlier assessment of the Government Agreement, this slightly reduces the sustainability of public finances (by X.X% of GDP).

La revisione al ribasso per il 2013 comporta un minore gettito fiscale e maggiori indennità di disoccupazione, con una conseguente revisione al rialzo del deficit statale di entrambi gli anni.
Il documento di sintesi del XXX affronta anche il tema degli impatti strutturali (gli effetti che si protrarranno oltre il 2017) connessi all’Accordo Sociale dello scorso aprile. A causa del calo progressivo delle indennità di disoccupazione, questo accordo dimezzerà l’impatto strutturale positivo sull’occupazione, che sarebbe risultato dall’Accordo di Governo. Rispetto alle stime del precedente Accordo di Governo, la sostenibilità delle finanze pubbliche si riduce leggermente (di circa lo X,X% del PIL).
