Council Members must be aware of, and comply with, all relevant anti-bribery/anti-corruption laws applicable to them, including, but not limited to, the Foreign Corrupt Practices Act (“FCPA”) (US) and the Bribery Act 2010 (UK).
There are a number of similar features to some of these laws but important differences too.
Penalties under these laws can be severe, including imprisonment and large fines.
Council Members must be aware of, and comply with, these laws when working with GLG or its Clients.
What is the FCPA?
It is a US statute that criminalizes bribery of a foreign official for the purpose of obtaining or retaining business or an improper business advantage by inducing the foreign official to:
Act or make a decision in his or her official capacity.
Exercise influence to affect an act or decision of a government.
Violate a lawful duty.
Confer an improper advantage upon the payor of the bribe.
Bribes can include an offer or payment of “anything of value,” including, but not limited to money, gifts, services, charitable donations, corporate hospitality and entertainment, the promise of future work or employment, or the award of a contract or business.
“Foreign officials” may include government employees, politicians holding elected office, candidates for elected office, employees of “public international organizations” (e.g., the United Nations), employees of a political party, employees of a company owned or controlled by a government, or an agent or consultant intermediary working on behalf of a foreign official.

La FCPA

Agir ou prendre une décision en qualité responsable.
Avoir recourt au trafic d’influence afin d’influer sur un acte ou une décision du gouvernement.
Violer une obligation légale.
Accorder un avantage indu au corrupteur.
Le pot de vin peut être une offre ou un don de « toute chose ayant de la valeur », y compris, mais sans en exclure d’autres, argent, cadeaux, services, dons de charité, accueil et organisation de réceptions professionnelles, promesse d’un travail ou d’un emploi à venir, ou encore l’attribution d'un contrat ou la passation d’un marché.
« Les responsables étrangers » sont des fonctionnaires, politiciens élus, candidats à une élection, employés des « organisations publiques internationales » (exemple, les Nations Unies), membres d'un parti politique, employés d’une entreprise publique, ou un agent ou consultant intermédiaire travaillant pour le compte d’un responsable étranger.
