for commissioned Translation Work
In this document: No part of any
numbered clause shall be read separately
from any other part. Section headings are
provided for convenience of reading only
and shall be ignored for the purposes of
ascertaining meaning.
Definitions
1. Translator shall mean the party
providing a translation in the normal
course of business.
The translator shall normally be the
creator of a translation unless the Client
has been explicitly informed that the act of
translation (the translation task) will be
subcontracted, or the translator
customarily trades as an intermediary.
Translation task shall mean the
preparation of a translation or any other
translation-related task such as revising,
editing, etc., which calls upon the
translation skills of a translator, but not
copywriting or adaptation.
Client shall mean the party commissioning
a translation in the normal course of
business.
The parties may be natural or legal
persons, including, as an example only,
private individuals, associations,
partnerships, economic interest groupings
or corporate entities.
A translator may act as an intermediary. A
relationship involving an intermediary of
any nature acting in the normal course of
business shall comprise two (or more)
direct and discrete translator/Client
contracts.
Source material shall be understood to
mean any text or medium containing a
communication which has to be
translated, and may comprise text, sound
or images.
Copyright in Source Material, and
Translation Rights
2. The translator accepts an order from
the Client on the understanding that
performance of the translation task will not
infringe any third party rights.
The Client undertakes to keep the
translator harmless from any claim for
infringement of copyright and/or other
intellectual property rights in all cases.
The Client likewise undertakes to keep the
translator harmless from any legal action
including defamation which may arise as a
result of the content of the original source
material or its translation.
Fees: (binding) Quotations and
(non-binding) Estimates
3. In the absence of any specific
agreement, the fee to be charged shall be
determined by the translator on the basis
of the Client’s description of the source
material, the purpose of the translation
and any instructions given by the Client.
No fixed quotation shall be given by the
translator until he/she has seen or heard
all the source material and has received
firm instructions from the Client.
Where VAT is chargeable it will be
charged in addition to the quoted fee if the
translator is VAT registered.
Any fee quoted, estimated or agreed by
the translator on the basis of the Client’s
description of the task may be subject to
amendment by agreement between the
parties if, in the translator’s opinion on
having seen or heard the source material,
that description is materially inadequate or
inaccurate.
Any fee agreed for a translation which is
found to present latent special difficulties
of which neither party could be reasonably
aware at the time of offer and acceptance
shall be renegotiated, always provided
that the circumstances are made known to
the other party as soon as reasonably
practical after they become apparent.
An estimate shall not be considered
contractually binding, but given for
guidance or information only.
4. Subject to the second paragraph of
clause 3 above, a binding quotation once
given after the translator has seen or
heard all the source material shall remain
valid for a period of thirty days from the
date on which it was given, after which
time it may be subject to revision.
5. Costs of delivery of the translation shall
normally be borne by the translator.
Where delivery requested by the Client
involves expenditure greater than the cost
normally incurred for delivery, the
additional cost shall be chargeable to the
Client. If the additional cost is incurred as
a result of action or inaction by the
translator, it shall not be borne by the
Client, unless otherwise agreed.
6. Other supplementary charges, for
example those arising from:
• discontinuous text, complicated layout
or other forms of layout or presentation
requiring additional time or resources,
and/or
• poorly legible copy or poorly audible
sound media, and/or
• terminological research, and/or
• certification, and/or
• priority work or work outside normal
office hours in order to meet the
Client’s deadline or other requirements,
may also be charged.
The nature of such charges shall be
agreed in advance.
7. If any changes are made in the text or
the Client’s requirements at any time while
the task is in progress, the translator’s fee,
any applicable supplementary charges
and the terms of delivery shall be adjusted
in respect of the additional work.
Delivery
8. Any delivery date or dates agreed
between the translator and the Client shall
become binding only after the translator
has seen or heard all of the source
material to be translated and has received
complete instructions from the Client.
The date of delivery shall not be of the
essence unless specifically agreed in
writing.
Unless otherwise agreed, the translator
shall dispatch the translation in such a
way that the Client can reasonably expect
to receive it not later than the normal close
of business at the Client’s premises on the
date of delivery.
Payment
9. Payment in full to the translator shall be
effected not later than 30 days from the
date of invoice by the method of payment
specified.
For long assignments or texts, the
translator may request an initial payment
and periodic partial payments on terms to
be agreed.
10. Settlement of any invoice, part-invoice
or other payment shall be made by the
due date agreed between the parties or in
the absence of such agreement within the
period stipulated in Clause 9.
Interest shall automatically be applied at
the rate of 8% per annum over base rate
(or such rate as is determined by statute,
the latter prevailing) to all overdue sums
from the date on which they first become
due until they are paid in full.
Where delivery is in instalments and
notice has been given that an interim
payment is overdue, the translator shall
have the right to stop work on the task in
hand until the outstanding payment is
made or other terms agreed.
This action shall be without prejudice to
any sums due and without any liability
whatsoever to the Client or any third party.

Definizioni
1. “Traduttore” sta ad indicare la parte che fornisce la traduzione nel corso della regolare attività commerciale.
Il traduttore è generalmente il creatore della traduzione, salvo che il Cliente non sia stato esplicitamente informato dell’intenzione di subappaltare l’atto traduttivo (lavoro di traduzione), o a meno che il traduttore non sia solitamente conosciuto sul mercato come intermediario.
“Lavoro di traduzione” sta ad indicare la preparazione della traduzione o di qualsiasi altra attività relativa ad essa, tra cui revisione, editing ecc., che richieda le abilità traduttive del traduttore, fatta eccezione per i lavori di copywrite e adattamento.
“Cliente” sta a indicare la parte che commissiona la traduzione nel corso della regolare attività commerciale.
Le parti possono essere persone fisiche o giuridiche, tra cui, citate a solo scopo di esempio, individui privati, associazioni, società di persone, società di capitali e gruppi di interesse economico.
Il traduttore può svolgere la funzione di intermediario. La relazione che comporti l’intervento di un intermediario, qualsiasi sia la sua natura, durante il corso della regolare attività commerciale, dovrà essere regolata da due o più contratti diretti e distinti tra traduttore e Cliente.
“Materiale sorgente” sta a indicare qualsiasi testo scritto o mezzo espressivo che contenga una qualsivoglia comunicazione destinata a essere tradotta, che si tratti di testi scritti, audio o immagini.
Copyright del materiale sorgente, e diritti di traduzione
2. Accettando l’ordine dal Cliente, il traduttore acconsente a portare a termine il lavoro di traduzione senza infrangere diritti di terzi.
Il Cliente si impegna, in qualsiasi situazione, a far sì che il traduttore non incorra in rivendicazioni causate dall’infrangimento di copyright e/o di altri diritti d’autore.
Allo stesso modo, il Cliente si impegna ad evitare che il traduttore incorra in azioni legali, inclusa diffamazione, che possano insorgere a causa di quanto contenuto nel materiale sorgente di partenza o nella propria traduzione.
Tariffe: preventivi definitivi (vincolanti) e preventivi provvisori (non vincolanti)
3. In assenza di accordo specifico, le tariffe da applicare saranno determinate dal traduttore in base alla descrizione del materiale sorgente ottenuta dal Cliente, allo scopo della traduzione e alle istruzioni fornite dal Cliente.
Nessun indicazione del preventivo definitivo sarà fornita dal traduttore fino a quando tutto il materiale sorgente non sia stato da lui/lei visionato o ascoltato, e fintanto che precise istruzioni non siano state ricevute da parte del Cliente.
Laddove applicabile, nel caso in cui il traduttore sia in possesso di partita IVA, l’IVA sarà applicata in aggiunta alla tariffa definitiva.
Qualsiasi tariffa che sia stata fissata, preventivata o concordata con il traduttore sulla base della descrizione fornita dal Cliente del lavoro di traduzione, potrà essere rettificata con l’accordo delle parti, nel caso in cui il traduttore ritenga che, dopo aver visionato o ascoltato il materiale sorgente, la descrizione fornitagli sia sostanzialmente inadeguata o inaccurata.
Qualsiasi tariffa concordata per una traduzione che presenti particolari difficoltà inaspettate, per cui sia dubbia la possibilità per entrambe le parti, al momento dell’accettazione dell’offerta, di realizzarne la problematicità, potrà essere rinegoziata, a condizione che tali circostanze, una volta diventate evidenti, siano state prontamente rese note all’altra parte.
Qualsiasi preventivo a costo variabile sarà fornito esclusivemente a scopo indicativo o di informazione, e non sarà da considerarsi vincolante dal punto di vista contrattuale.
4. Secondo quanto esposto nel secondo paragrafo di clausola 3, il preventivo definitivo fornito dal traduttore una volta visionato o ascoltato tutto il materiale sorgente sarà valido per un periodo di trenta (30) giorni decorrenti dalla data di ricevimento, allo scadere dei quali potrà essere modificato.
5. Salvo diversamente pattuito, le spese di spedizioni sono a carico del traduttore.
Laddove la spedizione richiesta dal Cliente comporti una spesa maggiore rispetto a quanto normalmente previsto per tale servizio, il costo aggiuntivo sarà addebitato al Cliente. Nel caso in cui il costo aggiuntivo risulti da attività o inattività del traduttore, non sarà addebitato al Cliente, salvo diversamente pattuito.
6. Altri costi aggiuntivi derivati ad esempio da:
• Testo discontinuo, layout complicato o altre forme di layout o presentazione che richiedano tempo o risorse aggiuntive, e/o
• Copie del testo scritto o audio che siano difficilmente leggibili o presentino difficoltà nell’audio, e/o
• Ricerca terminologica, e/o
• Certificazione, e/o
• Lavoro ad alta priorità, o lavoro effettuato fuori dalle normali ore d’ufficio per rispettare le scadenze del Cliente o altre esigenze, potranno essere addebitati.
La natura di tali costi aggiuntivi dovrà essere anticipatamente concordata.
7. Nel caso in cui sia necessario effettuare cambiamenti nel testo o nei requisiti richiesti dal Cliente durante il corso del processo di traduzione, la tariffa del traduttore potrà riportare i costi aggiuntivi applicabili e i termini di spedizione potranno essere adattati a seconda del lavoro supplementare.
Spedizione
8. La data/e di spedizione concordata/e tra Cliente e traduttore sarà/saranno ritenuta/e vincolante/i solamente dopo che il traduttore avrà visionato o ascoltato tutto il materiale sorgente e abbia ricevuto complete istruzioni dal Cliente.
La data di spedizione non sarà ritenuta termine essenziale salvo che sia stato espressamente concordato per iscritto.
Salvo diversamente pattuito, il traduttore si impegnerà a spedire la traduzione in tempo ragionevolmente utile, in modo da essere fatta pervenire presso i locali commerciali del Cliente in data di consegna e entro l’orario di esercizio dell’attività del Cliente.
Pagamento
9. Il pagamento dovrà essere fatto pervenire al traduttore per intero entro il decorrere di trenta (30) giorni dalla data di fatturazione con il metodo di pagamento specificato.
Per lavori di traduzione particolarmente ingenti o incarichi di lunga durata, il traduttore potrà richiedere un anticipo e successivi pagamenti periodici parziali a condizioni da stabilirsi.
10. Il saldo di ciascuna fattura, fattura parziale o di altro pagamento dovrà essere effettuato in data precedentemente pattuita da entrambe le parti, o in assenza di tale accordo, entro il periodo di tempo stipulato in clausola 9.
Su ogni somma pagata oltre il termine stabilito sarà applicato un tasso di interesse dell’8% oltre il tasso di base (salvo diversamente previsto per legge, nel cui caso il tasso previsto avrà prevalenza su quello sopraindicato), con effetto a partire dal primo giorno di ritardo fino al raggiungimento del pagamento per intero.
Laddove la consegna venga effettuata in rate successive e sia stato notificato un ritardo nel pagamento provvisorio, il traduttore avrà il diritto di interrompere il lavoro di traduzione in questione fino a quando il pagamento pendente risulti pervenuto, o venga diversamente pattuito. Quest’azione sarà considerata essere senza pregiudizio di somma dovuta e senza alcuna responsabilità legale verso il Cliente o terzi.
