Source text - Russian Договор купли-продажи предмета искусства 1. ПРЕДМЕТ ДОГОВОРА 1.1. Продавец обязуется передать в собственность, а Покупатель – принять и оплатить Картину (автор, наименование, размер полотна) (далее – Картина). 2. ПРАВА И ОБЯЗАННОСТИ СТОРОН 2.3. Продавец гарантирует Покупателю, что передаваемая по настоящему Договору Картина принадлежит ему на праве собственности, никому не продана, не является предметом залога других лиц, объектом споров, не находится под арестом и что никакие третьи лица прав на Картину не имеют. 2.4. Обязательство Продавца по настоящему Договору считается исполненным с момента передачи Картины Покупателю и подписания уполномоченными лицами обеих сторон акта приемки-передачи Картины. 2.5. Продавец обязан передать Покупателю результат Экспертизы (заключение о подлинности Картины). 3. ЦЕНА КАРТИНЫ И ПОРЯДОК РАСЧЕТОВ 3.1. Цена Картины составляет _ (_) условных единиц. 3.2. Цена Картины уплачивается Покупателю Продавцом наличными денежными средствами. 3.3. Ни одна из сторон настоящего Договора не несет ответственности перед другой стороной за невыполнение обязательств, обусловленное обстоятельствами, возникшими помимо воли и желания сторон и которые нельзя предвидеть или избежать, включая объявленную или фактическую войну, гражданские волнения, эпидемии, блокаду, землетрясения, наводнения, пожары и другие стихийные бедствия. 5.2. Документ, выданный соответствующим компетентным органом, является достаточным подтверждением наличия и продолжительности действия непреодолимой силы. 5.3. Сторона, которая не исполняет своего обязательства вследствие действия непреодолимой силы, должна немедленно известить другую сторону о препятствии и его влиянии на исполнение обязательств по Договору. 6. СРОК ДЕЙСТВИЯ ДОГОВОРА 6.1. Настоящий Договор вступает в силу с момента его подписания сторонами и считается исполненным после подписания Акта приема-передачи Картины 7. ДОПОЛНИТЕЛЬНЫЕ УСЛОВИЯ 7.1. В случае возникновения споров и разногласий стороны приложат все усилия, чтобы устранить их путем переговоров. При невозможности решить спорные вопросы путем переговоров стороны обращаются в суд. 7.2. Любые изменения и дополнения к настоящему Договору вступают в силу только после их подписания обеими сторонами. 7.3. Настоящий Договор составлен в двух экземплярах, имеющих одинаковую юридическую силу, по одному для каждой из сторон. 7.4. SUBJECT MATTER OF THE AGREEMENT 1.1 The Seller is responsible to transfer into ownership, and the Buyer is responsible to accept and pay for the Painting (author, title and the size of the canvas), (hereinafter referred to as the Painting). 2. RIGHTS AND OBLIGATIONS OF THE PARTIES 2.1 The Seller guarantees the Buyer that the Painting discussed in this Agreement belongs to him/her on the basis of the right of ownership, has not been sold to anybody before, cannot be pledged by anybody, is not an item of a dispute, is not a subject of any court order and no third party has rights to the Painting. 2.2 Obligations of the Seller under this Agreement are considered to be fulfilled from the moment the Painting has been transferred to the Buyer and the Transfer and Acceptance Certificate has been signed. 2.3 The Seller is obliged to provide the Buyer with the results of the Examination (evaluation of the Painting authenticity. 3. PAINTING PRICE AND PAYMENT ARRANGEMENTS 3.1 The price of the Painting is _(_) nominal units. 3.2 The Buyer must pay the Seller the price of the Painting with physical cash. 3.3 The Buyer must pay the Seller the price of the Painting as a lump-sum payment within ___ days after the current Agreement is signed (alternatively: by installments or at the time of signing of the current Agreement). 4. LIABILITIES OF THE PARTIES 4.1 The Parties bear responsibilities before each other as set forth by the laws of (country of trade). 5. FORCE MAJEURE CIRCUMSTANCES 5.1 If unforeseen and unavoidable circumstances arise beyond the will and desires of the Parties, including declared or factual wars, civil commotions, epidemics, blockades, earthquakes, flooding, fires and other natural disasters, neither of the Parties of the current Agreement will bear responsibility for non-fulfillment of obligations before each other. 5.2 A document issued by the competent authorities will be considered to be a sufficient proof of occurrence and duration of force majeure circumstances. 5.3 If force majeure circumstances arise, the Party who does not fulfill their obligations must inform the other Party about the circumstances and their effect on the fulfillment of the Agreement immediately. 6. DURATION OF THE AGREEMENT 6.1 The current Agreement comes into effect after both Parties have signed it and becomes executed after the Painting Transfer and Acceptance Certificate has been signed. 7. ADDITIONAL CONDITIONS 7.1 In case of a dispute or a disagreement, the Parties shall make all efforts to accommodate the differences by negotiations. In the event that the Parties cannot agree, the disagreement will be decided by a Court of Law. 7.2 Any modifications and additions to the current Agreement will come into effect after they have been signed by both Parties. 7.3 Both copies of the current Agreement, one for each Party, have the same judicial power. 7.4 In the instances not described in the current Agreement the Parties will follow the laws of the trade country.
