ДОГОВОР № ___________________

________________________________________________________, именуемое в дальнейшем "Поставщик", в лице ____________________________________________________________, действующего на основании ________________________________________________, с одной стороны,
и ________________________, именуемое в дальнейшем «Покупатель», в лице ___________________________________ __________________________________________________________________, действующего на основании ____________________________________________________________, с другой стороны, далее совместно именуемые «Стороны», заключили настоящий договор о нижеследующем:
1. ПРЕДМЕТ ДОГОВОРА
1.1. Поставщик обязуется в порядке и на условиях настоящего договора поставлять и передавать в собственность Покупателя, а Покупатель - принимать и оплачивать поставляемые ему в рамках настоящего договора товары. Поставка товаров осуществляется отдельными партиями в течение срока действия настоящего договора на основании заказов Покупателя, составленных и направленных в соответствии с положениями раздела 3 настоящего Договора.
1.2. Поставщик гарантирует, что поставляемый товар не заложен, не арестован, не обременен иным образом и принадлежит Поставщику на праве собственности.
1.3. Поставщик гарантирует законность происхождения товара, правомерность использования на товаре товарного знака. Поставщик гарантирует, что товар, упаковка товара, которая включает, в частности, обертку, вкладыш, иные материалы, сопутствующие потребительской упаковке товара, не содержит текстовую и (или) графическую информацию, побуждающую к совершению противоправных действий, причинению вреда жизни и (или) здоровью, призывы к насилию и жестокости, призывы к совершению экстремистских действий, разжиганию расовой, национальной или религиозной розни, пропаганду нацистской атрибутики, а также информацию с использованием бранных слов, непристойных и оскорбительных образов, сравнений и выражений, в том числе в отношении пола, расы, национальности, профессии, социальной категории, возраста, языка человека и гражданина, официальных государственных символов (флагов, гербов, гимнов), религиозных символов, объектов культурного наследия (памятников истории и культуры) народов Российской Федерации.
2. КАЧЕСТВО ТОВАРА
2.1. Качество поставляемого товара должно соответствовать требованиям санитарных, технических и всех иных применимых норм и стандартов Российской Федерации, стандартам и нормам фирмы-изготовителя, установленным требованиям безопасности.
2.2. Поставщик обязуется предоставить полный комплект предусмотренных законодательством РФ товаросопроводительных документов, подтверждающих надлежащее качество и безопасность поставляемого товара, которые должны быть переданы Покупателю одновременно с передачей накладной / УПД / товарно-транспортной накладной (в случае необходимости оформления таковой) / иных товаросопроводительных документов на партию товара, являющихся обязательными в соответствии с действующим законодательством.
Дополнительные требования к документации на отдельные виды товаров могут быть предусмотрены в соответствующем Приложении, являющемся неотъемлемой частью настоящего Договора.
Под УПД для целей исполнения настоящего Договора следует понимать Универсальный передаточный документ, являющийся первичным учетным документом, по форме и содержанию соответствующий требованиям законодательства о бухгалтерском учете и о налогах и сборах.
2.3. В отношении отдельных видов товаров Сторонами могут быть дополнительно согласованы специальные характеристики, рецептуры, параметры, указываемые в соответствующем Приложении к настоящему Договору. В этом случае, Поставщик обязан поставлять товары, соответствующие таким требованиям.
2.4. В отношении товаров, на которые устанавливается срок годности, Поставщик обязан передать их Покупателю с таким условием, чтобы на дату получения Покупателем товаров остаточный срок годности составлял не менее чем 70% от указанного на товаре основного срока, если иное не согласовано Сторонами дополнительно.
2.5. При передаче Покупателю товаров, в отношении которых действующим законодательством РФ установлен определенный температурный режим хранения и транспортировки, Поставщик обязан обеспечить соответствие товаров на момент передачи Покупателю вышеуказанным нормам.
Если Сторонами в Договоре согласованы дополнительные требования к режиму хранения и транспортировке товаров, Поставщик обязан обеспечить соответствие товаров на момент передачи Покупателю требованиям, указанным в Договоре.
Покупатель вправе производить выборочную проверку соблюдения норм транспортировки и хранения, путем измерения температуры внутри упаковки товаров, а также под тентом транспортного средства, при приемке товаров.
2.6. Покупатель вправе контролировать качество поставленных товаров, в том числе путем проведения экспертизы качества в аккредитованных государственными органами для проведения соответствующего вида исследования лабораториях, по своему выбору.
Покупатель самостоятельно производит отбор образцов для исследования и передает их в лабораторию для проведения экспертизы. Результаты экспертизы являются достоверными в отношении всей партии товара с датой изготовления, аналогичной дате изготовления проверенного образца. Стороны безусловно подтверждают, что результаты экспертизы, проведенной в порядке, предусмотренном настоящим пунктом, являются окончательными и не подлежат пересмотру, в том числе в случае возникновения судебного спора.
2.7. Поставщик оплачивает или в последующем компенсирует расходы Покупателя на проведение экспертизы по проверке качества товара, если заключением экспертизы подтверждается ненадлежащее качество товара, возникшее до его передачи Покупателю или по причинам, возникшим до этого момента.
2.8. В случаях, указанных в п. 2.7 настоящего Договора, Поставщик обязуется оплатить стоимость экспертизы в течение 5 дней с даты выставления счета и предоставления Покупателем необходимых подтверждающих документов (жалоба потребителя, протокол или постановление гос.органа об административном правонарушении, судебный акт, акт проверки общественной организации, акт о выявленных недостатках, составленный Покупателем и т.п.).

1. SUBJECT-MATTER
1.1. The Supplier undertakes to supply and transfer to the Buyer, and the Buyer undertakes to accept and pay for, commodities to be delivered to it hereunder in such manner and on such terms and conditions as set forth in this contract. Commodities shall be delivered in separate consignments during the term of this contract based on the Buyer's orders issued and sent in accordance with the provisions of Section 3 hereof.
1.2. The Supplier warrants that commodities to be delivered are free from pledge or other encumbrances whatsoever, are not under distress and are owned by the Supplier.
1.3. The Supplier warrants that commodities to be delivered have legitimate origin and any trademark appearing thereon is lawfully used. The Supplier warrants that commodities and packagings thereof, including, but not limited to, wrapping, liner or other materials accompanying the consumer packaging of the commodities, do not contain any textual and/or graphic information that encourages unlawful actions or inflicting damage to life and/or health, calls for violence, cruelty, extremist acts, incitement of racial, national or religious hatred, propaganda of Nazi attributes or information involving the use abusive words, obscene or scandalous correlative images, comparisons or expressions, including those relating to gender, race, nationality, profession, social category, age, language of a person, citizen, official state symbol (flags, national emblems or anthems), religious symbols or cultural heritage sites (historical or cultural monuments) of the Russian Federation's peoples.
2. QUALITY OF COMMODITIES
2.1. The quality of commodities to be delivered must comply with the requirements of sanitary, technical and all other applicable rules and standards of the Russian Federation, rules and standards of the manufacturer and prescribed safety requirements.
2.2. The Supplier undertakes to provide the full set of shipping documents required by the law of the Russian Federation confirming the proper quality and safety of the delivered commodities, which must be provided to the Buyer simultaneously with the delivery of the delivery note/IDN/consignment note (if required)/other shipping documents for the consignment which are mandatory in accordance with applicable law.
Additional requirements to documentation pertaining to certain types of commodities may be provided for in the relevant Exhibit which is an integral part of this Contract.
For the purposes of this Contract, IDN shall mean Integrated Delivery Note being a primary accounting document, whose form and content must meet the requirements of laws on accounting and taxes.
2.3. With respect to certain types of commodities, the Parties may additionally agree special characteristics, recipes and parameters to be specified in the relevant Exhibit hereto. In such case, the Supplier shall supply commodities meeting such requirements.
2.4. With respect to the commodities having limited shelf life, the Supplier must deliver them to the Buyer so that as at the date they are received by the Buyer, the remaining shelf life is not less than 70% of the basic period specified on the commodities unless otherwise additionally agreed by the Parties.
2.5. When transferring to the Buyer commodities which are subject to a specific temperature mode while stored or transported pursuant to the applicable law of the Russian Federation, the Supplier shall ensure that the commodities are consistent with such requirements as at the time they are transferred to the Buyer.
If the Parties agree upon additional requirements to the storage or transport mode to be used in respect of the commodities while stored or transported, the Supplier shall ensure that the commodities are consistent with the requirements specified in the Contract at the time they are transferred to the Buyer.
The Buyer may hold random inspections to check compliance with the applicable transport and storage standards by measuring the temperature inside the packaging of the commodities and under the tent of the vehicle when accepting the commodities.
2.6. The Buyer has the right to monitor the quality of delivered commodities, including by initiating quality expert examinations at laboratories of its own choice accredited by government authorities and authorized to hold appropriate researches.
The Buyer shall independently select samples for such research and send them to the laboratory for expert examination. The results of such expert examination shall extend to the entire consignment of commodities whose date of manufacture is similar to the date of manufacture of the tested sample. The Parties unconditionally acknowledge and confirm that the results of an expert examination conducted in accordance with the procedure provided for in this Clause shall be final and may not be revised, including in case of a judicial dispute.
2.7. The Supplier shall pay or subsequently compensate the Buyer for expenses incurred in connection with a quality assessment expert examination where the expert opinion confirms that the relevant commodities are of inadequate quality which occurred before the commodities were transferred to the Buyer or for reasons which arose before such transfer.
2.8. In any of the cases referred to in Clause 2.7 hereof, the Supplier undertakes to pay the price of an expert examination within 5 days after the date on which the relevant invoice was issued and after the Buyer has submitted necessary supporting documents (consumer complaint, protocol or decree issued by a government authority evidencing the occurrence of administrative violation, judicial act, inspection report issued by public organization, defects statement issued by the Buyer, etc.).

9. ФОРС-МАЖОР
9.1. Стороны освобождаются от ответственности за частичное или полное неисполнение обязательств по настоящему Договору, которое явилось следствием наступления обстоятельств непреодолимой силы (пожар, наводнение, эпидемия, землетрясение и др.), возникших после заключения Договора, которые Стороны не могли предвидеть или предотвратить разумными мерами.
9.2. В случае наступления форс-мажорных обстоятельств, Сторона, заявляющая о невозможности исполнения своих обязательств по этой причине, извещает другую Сторону в письменной форме ( заказным письмом с уведомлением) об этих обстоятельствах.
Уведомление должно содержать сведения о характере этих обстоятельств, а также оценку их воздействия на возможность исполнения обязательств по настоящему Договору.
Документ, выдаваемый Стороне Торгово-промышленной палатой, является достаточным доказательством наличия и продолжительности действия вышеуказанных обстоятельств.
9.3. Не извещение другой Стороны о форс-мажорных обстоятельствах в течение 30 (тридцати) дней с момента их наступления лишает Сторону, подпавшую под действие таких обстоятельств, права ссылаться на них в качестве основания неисполнения своих обязательств по настоящему Договору.
10. ПРИМЕНИМОЕ ПРАВО И АРБИТРАЖ
10.1. К отношениям Сторон по настоящему Договору применяется российское законодательство.
10.2. Все споры между Сторонами, возникающие из настоящего Договора или в связи с ним, разрешаются в претензионном порядке. Порядок и сроки направления отдельных видов претензий и ответов на такие претензии установлены настоящим Договором и приложениями к нему. В прочих случаях претензия должна быть подписана надлежаще уполномоченным лицом и направлена другой Стороне почтовым/курьерским отправлением по адресу, указанному в разделе «Юридические адреса и реквизиты сторон» настоящего Договора, либо в виде скан-копии на согласованный Сторонами адрес электронной почты соответствующей Стороны, либо с использованием EDI-документооборота (внедрение претензионного порядка с использованием системы EDI производится Сторонами в соответствии с пунктами 3.8.-3.9 настоящего Договора). Сторона, получившая претензию, должна аналогичным способом в течении 7 (семи) календарных дней предоставить на нее мотивированный ответ.
В случае ненаправления Поставщиком Покупателю мотивированных возражений на поступившую претензию в установленный настоящим договором срок для ответа, требования, указанные в данной претензии, считается признанными Поставщиком в полном объеме, в том числе по смыслу ст. 203 Гражданского кодекса РФ. В этом случае датой признания Поставщиком требований Покупателя будет считаться дата, следующая за последним днем установленного для ответа срока.
При не достижении согласия, все споры и разногласия передаются на рассмотрение в Арбитражный суд Краснодарского края.
11. ПРОЧИЕ ПОЛОЖЕНИЯ
11.1. Перевод Поставщиком своих обязательств перед Покупателем на другое лицо допускается только с письменного согласия Покупателя.
11.2. Уступка Поставщиком другому лицу своих требований к Покупателю допускается только с письменного согласия Покупателя.
11.3. Документы, отправленные по факсу, электронной почте одной из Сторон для другой Стороны, обладают полной юридической силой и могут быть использованы в качестве письменных доказательств в суде.
11.4. Содержание настоящего Договора представляет собой конфиденциальную информацию. Поставщик обязуется не разглашать конфиденциальную информацию третьим лицам в течение срока действия настоящего Договора, а также в течение трех лет после его прекращения.
11.5. В случае обнаружения попытки или состоявшегося факта коммерческого подкупа сотрудника компании Покупателя, Покупатель вправе расторгнуть Договор или пересмотреть согласованные ранее договорные условия с Поставщиком.
Под «коммерческим подкупом» понимается передача работнику компании Покупателя денег, ценных бумаг, иного имущества, а равно оказание ему услуг имущественного характера за совершение определенных действий (бездействия) в интересах Поставщика, в частности, за продвижения товаров в торговой сети Покупателя.
11.6. Если к Покупателю будет предъявлен иск о нарушении прав третьих лиц на объекты интеллектуальной собственности или авторских прав в связи с продажей или использованием поставленного по настоящему Договору товара, Покупатель вправе привлечь Поставщика к участию в процессе, а Поставщик обязан вступить в начатое дело на стороне Покупателя. Поставщик обязан оказывать Покупателю содействие в защите его прав, в том числе представлять Покупателю по его первому требованию все необходимые документы.
11.7. Стороны обязаны незамедлительно уведомить друг друга об изменении своих реквизитов заказным письмом с уведомлением о вручении. В случае невыполнения указанного требования Стороны не несут ответственности за возможные последствия.
11.8. Недействительность каких-либо положений настоящего Договора не влечет недействительности настоящего Договора в целом.
11.9. Настоящий Договор вступает в силу после его подписания. Поставщик обязан направить подлинные экземпляры всех приложений, являющихся неотъемлемой частью настоящего Договора, подписанные со своей стороны уполномоченным лицом и скрепленные печатью, в срок не позднее ___ рабочих дней с момента подписания настоящего Договора.
11.10. Настоящий Договор подписан уполномоченными представителями Сторон, в двух экземплярах, имеющих одинаковую юридическую силу, по одному для каждой из Сторон.
11.11. Настоящий Договор заключен на неопределенный срок и действует до его прекращения по основаниям, предусмотренным законом или настоящим Договором.
При этом все ранее заключенные договоры, дополнительные соглашения между сторонами, равно как и переписка и переговоры, имеющие аналогичный предмет, утрачивают силу с даты, указанной на первой странице Договора.

9. FORCE MAJEURE
9.1. The Parties shall be released from liability for a failure to perform their respective obligations hereunder, in full or in part, if such failure is a result of force-majeure events (fire, flood, epidemics, earthquake, etc.) which may occur after the execution of this Agreement which the Parties could neither foresee nor prevent acting reasonably.
9.2. If force-majeure events occur, a Party claiming to be prevented from performing its obligations due to such events shall notify the other Party in writing about their occurrence (by registered letter return receipt requested).
A notice must contain information about the nature of such events as well as an assessment of their impact on the ability to perform obligations hereunder.
A document issued to the Party by Chamber of Commerce and Industry shall be sufficient evidence of the existence and duration of the above mentioned events.
9.3. A failure to notify the other Party of the occurrence of a force majeure event within thirty (30) of the commencement thereof shall deprive the Party affected thereby of the right to refer thereto as to an excuse for a failure to comply with its obligations hereunder.
10. APPLICABLE LAW AND ARBITRATION
10.1. Relations between the Parties arising out of this Contract shall be subject to the Russian law.
10.2. Any disputes between the Parties which may arise from and in connection with this Contract shall be resolved by the Parties through a complaint procedure. The procedure and time limits for submitting certain types of complaints and responses thereto shall be as set forth in this Contract and exhibits hereto. In other cases, a complaint must be signed by a duly authorized person and sent to the other Party by mail/courier service to the address specified in the "Legal Addresses and Details of the Parties" Section of this Contract or as a scanned copy to the email address of the relevant Party agreed by the Parties or via the EDI system (the complaint procedure involving the use of the EDI system shall be implemented by the Parties in accordance with Clauses 3.8 to 3.9 hereof). A Party that receives a complaint must provide a substantiated response thereto in the same way within seven (7) calendar days.
In the event that the Supplier fails to provide the Buyer with a substantiated objection against a received complaint within the time limits prescribed by this contract for providing responses, the claims specified in such complaint shall be deemed to be fully admitted by the Supplier, including within the meaning of Article 203 of the Civil Code of the Russian Federation. In such case, Supplier shall be deemed to have admitted the Buyer's claims on the date following the last date of the period during which the response must be provided.
In case of a failure to reach agreement, all disputes and controversies shall be referred to the Commercial Court of the Krasnodar Territory.
11. MISCELLANEOUS
11.1. The Supplier may transfer its obligations owed to the Buyer to another person subject only to the Buyer's written consent.
11.2. The Supplier may assign its claims against the Buyer to another person subject only to the Buyer's written consent.
11.3. Documents sent by fax or email by one of the Parties to the other Party shall have full legal force and may be used as written evidence in court.
11.4. The content of this Contract shall constitute confidential information. The Supplier undertakes not to disclose confidential information to third parties within the entire term of this Contract and within three years following its termination.
11.5. In the event that an attempt to commercially bribe or fact of commercially bribing an employee of the Buyer's company is discovered, the Buyer may terminate the Contract or revise contractual terms previously agreed with the Supplier.
"Commercial bribery" shall mean giving or paying to an employee of the Buyer's company money, securities or other property or provision to such employee of monetizable services in consideration for performing certain acts (refraining from doing certain acts) in the interests of the Supplier, in particular, for promoting its commodities within the Buyer's trading network.
11.6. In the event that a claim is filed against the Buyer in connection with an infringement upon third parties' intellectual property rights or copyrights in connection with the sale or use of commodities delivered hereunder, the Buyer may bring the Supplier into the proceedings and the Supplier shall be obliged to join such proceedings on the Buyer's side. The Supplier shall assist the Buyer in defending its rights and inter alia provide the Buyer with all necessary documents at first request.
11.7. The Parties shall forthwith notify each other of any change in their details by registered mail return receipt requested. In case of a failure to comply with the said requirement, the Parties shall not be liable for potential consequences.
11.8. The invalidity of any provisions of this Contract shall not invalidate this Contract as a whole.
11.9. This Contract shall come in force from the time it has been executed. The Supplier shall send the originals of all exhibits being an integral part hereof duly signed by its authorized person and sealed with its seal not later than ___ business days after the execution date hereof.
11.10. This Contract is signed by the Parties' authorized representatives in two counterparts having equal legal force and effect, one counterpart for each of the Parties.
11.11. This Contract is entered into for an indefinite period and shall be valid until terminated on such grounds as provided by law or this Contract.
Furthermore, all agreements or addenda previously executed between the parties, communications or negotiations which relate to a similar subject shall become null and void from the date first written above.

5. В реестр российского программного обеспечения включаются сведения о программах для электронных вычислительных машин и базах данных, которые соответствуют следующим требованиям:
1) исключительное право на программу для электронных вычислительных машин или базу данных на территории всего мира и на весь срок действия исключительного права принадлежит одному либо нескольким из следующих лиц (правообладателей):
а) Российской Федерации, субъекту Российской Федерации, муниципальному образованию;
б) российской некоммерческой организации, высший орган управления которой формируется прямо и (или) косвенно Российской Федерацией, субъектами Российской Федерации, муниципальными образованиями и (или) гражданами Российской Федерации и решения которой иностранное лицо не имеет возможности определять в силу особенностей отношений между таким иностранным лицом и российской некоммерческой организацией;
в) российской коммерческой организации, в которой суммарная доля прямого и (или) косвенного участия Российской Федерации, субъектов Российской Федерации, муниципальных образований, российских некоммерческих организаций, указанных в подпункте "б" настоящего пункта, граждан Российской Федерации составляет более пятидесяти процентов;
г) гражданину Российской Федерации;
2) программа для электронных вычислительных машин или база данных правомерно введена в гражданский оборот на территории Российской Федерации, экземпляры программы для электронных вычислительных машин или базы данных либо права использования программы для электронных вычислительных машин или базы данных свободно реализуются на всей территории Российской Федерации;
3) общая сумма выплат по лицензионным и иным договорам, предусматривающим предоставление прав на результаты интеллектуальной деятельности и средства индивидуализации, выполнение работ, оказание услуг в связи с разработкой, адаптацией и модификацией программы для электронных вычислительных машин или базы данных и для разработки, адаптации и модификации программы для электронных вычислительных машин или базы данных, в пользу иностранных юридических лиц и (или) физических лиц, контролируемых ими российских коммерческих организаций и (или) российских некоммерческих организаций, агентов, представителей иностранных лиц и контролируемых ими российских коммерческих организаций и (или) российских некоммерческих организаций составляет менее тридцати процентов от выручки правообладателя (правообладателей) программы для электронных вычислительных машин или базы данных от реализации программы для электронных вычислительных машин или базы данных, включая предоставление прав использования, независимо от вида договора за календарный год;
4) сведения о программе для электронных вычислительных машин или базе данных не составляют государственную тайну, и программа для электронных вычислительных машин или база данных не содержит сведений, составляющих государственную тайну.

5. The Russian software register is used to maintain information about software programs designed for electronic computers and databases that meet the following requirements:

c) a Russian business entity in which the Russian Federation, a constituent entity of the Russian Federation, municipal formation or Russian nonprofit organization referred to in sub-paragraph "b" of this paragraph or a citizen of the Russian Federation hold more than fifty per cent;
d) a citizen of the Russian Federation;
2) such software or database is lawfully put into civil circulation in the Russian Federation; copies of such software or database or rights authorizing the use thereof are freely sold throughout the entire territory of the Russian Federation;
3) the total amount payable under license or other agreements conferring rights to intellectual deliverables or means of individualization or under work or service contracts providing for the development, adaptation or modification of such software or database or in consideration for the development, adaptation or modification of such software or database in favor of foreign legal entities and/or individuals or Russian business entities and/or Russian nonprofit organizations controlled by such foreign legal entities or individuals or agents or representatives of foreign persons or Russian business entities and/or Russian nonprofit organizations controlled by such agents or representatives is less than thirty per cent of the proceeds of the owner(s) of such software or database generated from the sale of the software or database, including licensing of the use thereof, regardless of the type of contract, for a calendar year;
4) information about such software or database does not constitute a state secret and the software or database does not contain any information constituting a state secret.

This DISTRIBUTION AGREEMENT (the “Agreement"’) is hereby entered into and made effective as of April 1st, 2018 (the “Effective Date”) by and between ________________, having its principal place at ________________ ( “_____”) and ___________, having its principal place at ______________________ (the “Distributor”).
WHEREAS, Distributor desires to purchase _____'s Products (as hereinafter defined) for distribution in Territory (hereinafter defined) and _____ desires to manufacture and sell such Products to Distributor, subject to and in accordance with the terms of this Agreement.
NOW, THEREFORE, FOR GOOD AND VALUABLE CONSIDERATION, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:
1. APPOINTMENT AS A DISTRIBUTOR.
Subject to the provisions of this Agreement, and for so long as this Agreement shall remain in full force and effect, and Distributor shall not be in breach or default of any of its obligations hereunder, _____ hereby appoints Distributor as its exclusive distributor for the sale of Products within Territory. “Territory” shall mean Russian Federation. The appointment of Distributor as a seller of Products in Territory is subject to Distributor's performance of the obligations in this Agreement, including, but not limited to, the fulfillment of the Yearly Purchase Targets (as hereinafter defined).
This Agreement is restricted to Territory, and Distributor acknowledges and agrees that it will not sell or otherwise distribute _____’s Products in any other territory, country or location, or market or customer group, if any, or sell or otherwise distribute _____'s Products to customers not domiciled in Territory without the prior written consent of _____, which consent _____ may give or withhold in its sole discretion.
2. NATURE OF RELATIONSHIP.
It is understood and agreed that Distributor is not, and shall not be considered, an employee of _____ for any purpose whatsoever, and that the relationship between _____ and Distributor shall be solely that of a seller and buyer. Nothing contained herein shall constitute or be construed to create a partnership, or joint venture between the parties. The parties further acknowledge and agree that Distributor is and shall be acting at all times as an independent contractor. Each party shall be solely responsible for all of the acts and omissions of such party, and its agents, representatives and employees respectively, except as otherwise provided in this Agreement. Distributor is not, and shall not be, an agent or legal representative of _____ for any purpose whatsoever, and therefore, Distributor shall not be granted any right or authority to charge or obtain any article or property or other thing of value on the credit (either direct or indirect) of _____, or bind _____ in any manner whatsoever, or to assume or create any obligation or responsibility, express or implied, on behalf of or in the name of _____ unless previously authorized in writing by _____.
3. PRODUCTS.
3.1 Products.
The term “Products’' as used in this Agreement shall mean the following products which are distributed by _____ with the brand name of _____ or the brand name specifically agreed by _____:
(a) The products listed on Exhibit A attached hereto; and
(b) New products added to this Agreement as provided in the following Section.
3.2 New Products.
During the term of this Agreement, _____ will notify Distributor of any new product launched with the brand name of _____ that is substantially similar to, or succeeds, updates or upgrades the model of, Products listed on Exhibit A. If Distributor wishes to distribute such new products, Distributor shall notify _____ in writing. Distributor and _____ shall endeavor to agree on the terms concerning the new products within sixty (60) days after receipt of Distributor's written notification. Distribution of the new products hereunder shall be subject to mutual agreement on the terms and conditions attendant thereto. If mutually agreed upon by the parties, the new products shall be added to this Agreement as a Product by way of written addendum to Exhibit A hereto.
3.3 OEM Production Not Covered by This Agreement.
Nothing contained in this Agreement shall be deemed to impair, prohibit or limit in any manner the ability of _____ from manufacturing and supplying OEM Products to a third party. “OEM Products” shall mean original manufacturing products for a third party which are: (i) sold and distributed with brand names other than _____; and (ii) manufactured by _____ based upon the specifications designated by a third party using specific colors and/or designs of Products.
4. ORDERS, PRICES, DELIVERY. PAYMENT.
4.1 Orders.
Each individual firm purchase order for Products shall be issued by Distributor in writing at least sixty (60) days prior to the requested shipment date from _____'s factory. Each individual sale and purchase for Products shall become binding upon the parties at the time when such purchase order is confirmed by _____ and pro-forma invoices or equivalent to the pro-forma invoices for Products are signed by _____ in writing. In the event that there is any inconsistency between this Agreement and individual purchase order or pro-forma invoices whatsoever, the terms of this Agreement shall always prevail.
4.2 Purchase Price.
Distributor shall purchase from _____ Products at purchase prices as described in the latest price lists of Products. _____ may change such purchase prices from time to time upon giving written notice to Distributor; however, the notice shall be issued at least sixty (60) days in advance of the effective date of any such change.
4.3 Product Delivery.
_____ shall use its commercially reasonable efforts to deliver Products to Distributor in accordance with a delivery schedule to be agreed upon by both parties. _____ shall not be responsible for the failure to deliver its Products to Distributor due to Force Majeure (as hereinafter defined).
4.4 Changes in Products.
_____ reserves the right, at its sole discretion, to change the trade name and design, color, and/or appearance of any of Products or any part thereof, or modify, alter, improve or change or discontinue any of Products or any part of Products covered by this Agreement.
This Agreement shall apply to the sales of any and all Products as modified, altered, improved or changed by _____.
4.5 Payment.
Unless otherwise agreed by the parties hereto, all payments by Distributor to _____ hereunder shall be made by T/T (telegraphic transfer) remittance in advance to the bank account designated by _____.
4.6 Credit Limit.
Notwithstanding anything provided in this Agreement, if any payment by Distributor to _____ is made by the terms other than the T/T remittance in advance, _____ may set Distributor’s credit limit at its sole discretion. Distributor's credit limit at the Effective Date is ¥20,000,000. _____ may also, in its sole discretion, change the amount of credit limit, either increasing or decreasing it. In the event Distributor’s new order exceeds the difference between the then current credit limit and Distributor’s outstanding amount at the time of such new order, Distributor shall pay for the new order by such other means as may be mutually agreed between _____ and Distributor. In the event _____ and Distributor are unable to agree upon such means of payment, then _____ shall not be required to fill such new order.
4.7 Financial Statements.
Upon the written request by _____, Distributor shall promptly provide _____ with copies of Distributor’s most recent financial statements and other documents reflecting Distributor’s then-current financial condition, including, but not limited to, a profit and loss statement, cash flow statement and balance sheet. If such financial documents are not audited. Distributor shall provide unaudited financial statements certified by Distributor’s officer as true, complete and correct.
5. GUARANTY BY DISTRIBUTOR.
Notwithstanding the foregoing Section, Distributor may have a third party (“Company”), in compliance with any applicable laws and regulations, issue to _____ a firm purchase order for Products to conclude a purchase agreement between _____ and the Company for Products to be delivered to Distributor; provided, however, that Distributor shall hereby unconditionally guarantee to _____ the prompt payment by the Company when due of all the amount under the purchase agreement between _____ and the Company.
Distributor hereby waives any right it may have as surety which may at any time be inconsistent with any of the provisions of this Section and in particular, any right of first requiring _____ to pursue its legal remedies against the Company. Distributor further waives any and all notices of non-payment or nonperformance under the purchase agreement between _____ and the Company or demand for payment or performance of such obligations thereunder. An action may be brought hereunder directly against Distributor without any prior action against, demand for or notice to the Company.
Distributor’s obligations under this Section are continuing and will remain in full force and effect until no obligation remains to be performed and no sum remains payable to _____ by the Company under the purchase agreement made between _____ and the Company throughout the term of this Agreement.
Distributor shall not be discharged, nor shall its liability be affected by:
(a) any time, indulgence, waiver, or consent at any time given to the Company by _____;
(b) enforcement or the absence of enforcement by _____ of the purchase agreement between _____ and the Company;
(c) the winding-up, dissolution, merger or reorganization of the Company;
(d) bankruptcy of the Company.
Distributor agrees that no invalidity of the purchase agreement between _____ and the Company shall affect or impair its liability under this Section.
The obligations of Distributor set forth in this Section shall survive the termination of this Agreement.
6. PURCHASE TARGET.
6.1 Purchase Target.
Distributor shall make its best efforts to purchase the quantities of Products from _____ as required to meet the purchase target of the year for Products described in Exhibit В (“Yearly Purchase Target”), and shall conduct promotional and advertising campaigns, and actively and diligently promote the sale of Products within its Territory, and all such activities shall be performed and carried out at Distributor's cost and expense. Distributor shall actively develop its own marketing plan with regard to advertising and sales promotion programs utilized by Distributor in fulfilling its responsibilities for selling, promoting and advertising Products, and possess and maintain all such technical and administrative facilities, human resources, time and capacity to actively promote demand for and market _____'s Products. Distributor shall at all times conduct its business in a manner which will reflect favorably upon the good name and reputation of _____ and its Products.
6.2 Adjustment of Purchase Target in Subsequent Year.
Commencing in year two (2) and thereafter, if the Yearly Purchase Target of the subsequent tenn is not yet determined, _____ and Distributor shall through mutual discussion consult and determine the Yearly Purchase Target for subsequent year prior to its commencement. Unless otherwise agreed in writing, the Yearly Purchase Target of the subsequent year shall be not less than the Yearly Purchase Target then in effect.
6.3 Default in Yearly Purchase Target.
In the event that Distributor fails to meet the Yearly Purchase Target, _____ has the right, without compensation to Distributor, to eliminate Distributor’s exclusivity regarding some or all of Products and/or Territory, in _____’s sole discretion, upon thirty (30) days prior written notice. In the event that Distributor fails to meet 80% of the Yearly Purchase Target, _____ has the right, without compensation to Distributor, to terminate this Agreement. Determination of whether Distributor has achieved the Yearly Purchase Target shall be calculated by the purchase amount of Products, including accessories and repair parts for such Products, purchased by Distributor from _____ during the term.
7. PROMOTION AND MARKETING.
In order to fulfill the Yearly Purchase Target and for effective sales promotion and marketing of Products, Distributor shall:
(a) Provide _____, on a monthly basis, with a forecast of its planned orders of Products during the ensuring four (4) months period;
(b) Participate in conventions, academic conferences, exhibitions and sales workshops within Territory in order to promote the sale of Products and/or to collect market information;
(c) Provide _____ with reports concerning market information including, but not limited to, market trend, customers’ demand for products, and information related to major orders received and tender projects, on a regular basis or upon request by _____, and to collaborate for marketing and promotion of Products in Territory with _____;
(d) Develop its own business plan with regard to advertising, marketing and sale promotion programs to be utilized by it in fulfilling its responsibilities for selling, promoting and advertising Products. Distributor shall provide _____ with copies of its marketing and advertising materials in Territory upon request by _____;
(e) Refrain from selling, or engaging in any distribution of, Products by any internet sales system;
(f) Use a demonstration Product, if any, solely for the purpose of demonstration and to provide _____ with results and feedback of each demonstration; and
(g) Refrain from marketing, promoting and selling Products outside Territory, and from establishing or maintaining any branch or warehouse for Products outside Territory, unless prior written consent is given by _____, and to immediately inform _____ in writing of any request for an order for any of Products received by Distributor, or any inquiry concerning sales, delivery, maintenance and after-sales service of Products that will result in delivery of Products outside Territory; provided that the restrictions in this Section are to the extent not contrary to the applicable laws and regulations of Territory.
8. RETENTION OF SUB-DISTRIBUTORS.
Distributor may retain and use sub-distributors for the purpose of fulfilling the distribution of Products, provided, however, that such retention and use shall be at Distributor’s own risk and expense, and Distributor shall be fully responsible for all conduct of its sub-distributors. In case Distributor sells and distributes Products through the use of sub-distributors, Distributor shall cause the sub-distributor to perform and comply with the obligations and responsibilities of Distributor hereunder, and Distributor and sub-distributors shall be jointly and severally liable to _____ for any breach of any obligation and responsibility by the sub-distributors, which obligations shall survive termination of this Agreement.
9. SALES OF USED-PRODUCTS IN TERRITORY.
Distributor may sell used Product to a customer in Territory only in the event that the following conditions are met, to the full satisfaction of_____:
(a) Distributor lawfully obtained the used Product within Territory;
(b) the used Product is the same model as Product then in effect; and
(c) the sales of used Products are not in breach of or non-compliance with any laws and regulations applicable in Territory.
The sales of any used Product shall be at Distributor’s own risk and Distributor shall be fully responsible for any used Product sold by it. Distributor shall indemnify and hold _____ harmless from, and reimburse _____ for, any damages, loss or expenses (including, without limitation, the reasonable fees and expenses of counsel) resulting from Distributor’s installation, support, repair, and after-sales services concerning any and all used Products sold by Distributor, which indemnity shall survive the termination of this Agreement.
10. INSTALLATION AND AFTER-SALES SERVICE.
10.1 Installation and Service by Distributor.
Distributor shall perform installation of Products at customer sites, conduct Product training for customers, and provide services after installation (during applicable warranty periods and thereafter). Distributor shall maintain a technical service facility sufficient to provide the aforementioned support, including but not limited to a staff of trained service technicians, adequate technical documentation, and a stock of spare parts. Distributor shall conduct service training course for the customers and shall provide the record of such training to _____. Distributor shall provide adequate customer support upon a request of a customer, and respond to and complete customer service calls in a timely manner which will assure customer satisfaction, will provide service to owners of Products whether or not purchased from Distributor, and will provide warranty repair at no cost to customers during applicable warranty periods.
10.2 Service Training.
Distributor shall attend service training courses by _____ of all existing and new Products at the site designated by _____ at regular intervals designated by _____. The cost of such service training course shall be shared as follows: (i) inland transportation fee, meal and hotel expense within a limit set by _____ during the service training period shall be borne by _____, and (ii) any other cost, including round trip international air fare from Distributor’s country, shall be borne by Distributor.
10.3 Manuals, Parts List.
_____ shall provide Distributor with: (a) English language service and operations manuals for Products; (b) a complete list of replacement parts, by number, needed for the repair of Products. _____ shall reasonably assist Distributor in performing the installation, after-sales services, and customer support set forth herein.
11. CERTIFICATE.
11.1 Certificate for Tenders.
Upon Distributor’s request, _____ shall issue a letter to certificate that Distributor is an appointed distributor in Territory for tenders, provided that such request shall be received
and confirmed by _____ no later than one (1) month prior to the deadline for the submission of the certificate. When Distributor requests a letter of certificate, Distributor shall provide _____ with (i) the documents that describe the bidding conditions of the tender, and (ii) any related information _____ requests. _____ will issue the certificate in accordance with the format attached hereto as Exhibit C.
11.2 Certificate for Other Purposes.
Distributor shall notify _____ of a request to issue a certificate for purposes other than tenders no later than one (1) month prior to the deadline for the submission of the certificate. _____ will determine, at its discretion, by the deadline whether _____ issues the certificate or not. When Distributor requests a letter of certificate, Distributor shall provide _____ with (i) the documents that describe the details of the background Distributor requests, and (ii) any related information _____ requests.
11.3 Use of Certificate.
The certificate shall be issued solely for the purposes of tenders or specific purposes confirmed by _____ in accordance with the foregoing Sections. Distributor shall be strictly prohibited from using the certificate for any unauthorized purpose.
12. GENERAL OBLIGATIONS OF _____.
12.1 Product Warranty.
_____ warrants to Distributor that Products sold hereunder by _____ to Distributor will be free of defects in material and workmanship at the time of shipment from _____. In the event of the failure of Products during a period of eighteen (18) months from the date of shipment from Japan (“Warranty Period”), or latent defects or nonconformance to specifications of Products are found during Warranty Period, and notification is given to _____ with supporting documentation during such Warranty Period, _____ shall do the following:
(i) In the case of Products, except for intraocular lens Product, _____ shall provide
appropriate repair parts at no cost to Distributor.
(ii) In the case of an intraocular lens Product, if the cause of the defects or nonconformance is attributable to _____, _____ shall provide the appropriate intraocular lens Product for replacement at no additional cost to Distributor.
(iii) Notwithstanding the foregoing (i) or (ii), _____ shall have no obligation or responsibility if the defects or nonconformance have been caused by: (a) misuse, negligence, or failure to properly operate or maintain Products by the customers, Distributor or any third parties, (b) accidents or damage during transportation or during storage, (c) repair, modification, or alterations of Products that are not performed by _____, or (d) Force Majeure. The warranty of _____ is strictly limited to supplying repair parts or replacing Products as stipulated in this Section.
12.2 Intellectual Property.
_____ warrants, to the extent of its knowledge as of the Effective Date, to Distributor (i) that _____ is not aware of any intellectual property infringement related to the design or method of manufacture of Products; and (ii) that _____ will use its commercially reasonable efforts to maintain and retain its intellectual property rights to manufacture, sell, and/or distribute Products during the term of this Agreement.
13. GENERAL OBLIGATIONS OF DISTRIBUTOR.
13.1 Claim Resolution.
Distributor shall be responsible for handling and resolving any and all claims, including claims relating to Products, made and brought by third parties who purchased Products from Distributor in Territory. _____ shall provide commercially reasonable support for Distributor to resolve such claims, as determined by _____. In addition, in its sole discretion, _____ may agree to be responsible for a portion of the expense incurred in resolving claims.
13.2 Insurance.
Distributor shall at all times maintain comprehensive general liability, property and product liability insurance in accordance with industry standards in its Territory.
13.3 Notice of Product Liability or Infringement Claim.
In the event that Distributor receives from a third party within Territory, (i) a product liability claim of Products, or (ii) a claim that Products infringe patents, copyrights or other intellectual property of a third party, Distributor shall promptly notify _____ of such claim, and provide _____ all relevant information that Distributor has in its possession or available to it. If such claim is related with a matter governed by the quality agreement between the parties, _____ and Distributor shall cooperate in responding to such claim and shall take all necessary and appropriate measures in accordance with the roles specified in the quality agreement.
13.4 Non- Competition.
Distributor shall avoid all circumstances and actions which would place Distributor in a position of adverse interest or of divided loyalty with respect to its obligations undertaken under this Agreement. During the term of this Agreement, Distributor shall focus on promoting the sale and use of Products, and, unless Distributor obtains _____’s advance written consent in writing, Distributor shall not engage in the sale, distribution, or promotion of products competing with Products. Without prejudice to any other remedies and rights hereunder, in the event that Distributor sells, distributes or promotes products competing with Products without the prior written consent of _____, _____ has the right, without compensation to Distributor, to eliminate Distributor’s exclusivity regarding some or all of Products and/or Territory, in _____'s sole discretion, upon thirty (30) days prior written notice.
13.5 Adequate Capital.
Distributor shall at all times maintain in connection with its business and operations under this Agreement, such working capital and net worth necessary to permit Distributor to properly and fully carry out and perform Distributor's duties under this Agreement.
13.6 Provision of Corporate Profile.
Upon the request by _____, Distributor shall provide _____ with a corporate profile of Distributor including the organization chart.
13.7 No Change of Product.
Distributor shall not change, modify nor alter Products or any part of Product without the prior written consent of_____.
13.8 No discourteous Practice.
Distributor shall avoid in every way any discourteous, deceptive, misleading or unethical practice or advertising which is or might be detrimental to _____, or its Products.
13.9 Compliance with Applicable Laws.
Distributor shall comply with any and all applicable laws, rules, regulations, governmental orders and directives applicable to the marketing, sales, operation and support of Products in Territory.
13.10 Obligations at Termination or Expiration.
Upon termination or expiration of this Agreement, Distributor shall have the following obligations, which obligations shall survive the termination of this Agreement:
(a) Deliver to _____, copies of all records relating to installation and after sales service which shall contain the names and addresses of users of Products, history of service records of Products, and any other information that is necessary for continuing after-sales services to such users;
(b) Refrain thereafter from representing itself as a distributor of_____ or using any trade names or trademarks of_____;
(c) Return to _____ or immediately destroy all stationery, advertising and promotional matter and other printed material and any contact information including e-mail address in its possession or under its control containing or bearing any trademark or trade name of _____;
(d) Return to _____ all tools, jigs, equipment, or Products lent by _____;
(e) Return to _____ all materials containing Confidential Information in accordance with the provisions herein; and
(f) Take all appropriate steps to remove and cancel its listing in advertisements, directories, public records or elsewhere, which state or indicate that Distributor is a distributor of_____.
14. EXPENSES.
Except as otherwise expressly provided herein, Distributor shall be solely responsible and liable for payment of any and all costs and expenses incurred by Distributor in connection with its performance under this Agreement and in connection with the sale or other distribution of Products, including, without limitation, all freight and other delivery charges, and any and all common carriers who receive and/or deliver Products hereunder shall be deemed to be agents of Distributor, and _____ shall not be responsible for any delays or damage to Products when shipped to or for the account of Distributor.
15. WARRANTY BY EACH PARTY.
Each party represents and warrants to the other party that the execution of this Agreement and the compliance with all the provisions of this Agreement will not conflict with, result in any breach in any of the provisions of, any agreement or arrangement to which the party is a party or by which it may be bound. Each party represents and warrants to the other party that the party has the corporate power and authority and the legal right to enter into this Agreement and to perform its obligations hereunder.
16. CONFIDENTIALITY.
16.1 Confidential Information.
The term "Confidential Information” shall mean any and all information of confidential nature disclosed by _____ to Distributor, provided that the term Confidential Information shall not include information as evidenced by its records which (a) is or becomes generally known or available through no act or failure to act by Distributor; (b) is already known by Distributor at the time of receipt; (c) is hereafter furnished to Distributor by a third party who has the right to disclose it to Distributor free of any obligations of confidentiality.
16.2 Confidentiality Obligations.
Distributor acknowledges that notwithstanding the exceptions to Confidential Information set forth in the foregoing Section, the information Distributor has been given access to and has become acquainted with by _____ constitutes confidential information of great value to _____. Distributor and _____ acknowledge that this information is not generally known to third parties and that such information includes, but is not limited to _____'s technology, marketing and sales information, pricing policies, techniques, and know-how of _____. Distributor agrees that without the prior written consent of _____, Distributor, its agents and employees will not disclose such Confidential Information in any manner at any time. Accordingly, Distributor agrees as follows:
(a) Not to disclose Confidential Information or any part of it, to any third party, unless expressly authorized in writing by _____;
(b) To protect and keep Confidential Information strictly confidential, using for it the same degree of care and safeguarding, but no less than a commercially reasonable standard of care and safeguarding, as it uses for its own proprietary and/or Confidential Information of the same importance;
(c) To disclose Confidential Information only to its employees or its other duly authorized representatives who need to know such Confidential Information for the effective performance of their duties. Distributor shall have the persons to whom it has given access to Confidential Information be contractually bound to protect such information and be directed to treat such Confidential Information in accordance with this Agreement. Distributor shall be responsible for any breach of confidentiality or breach of use restrictions by such persons;
(d) Not to use Confidential Information for any unauthorized purpose; and
(e) Not to reproduce or copy totally or partially Confidential Information unless expressly permitted by _____ in writing.
16.3 Return of Confidential Information.
Upon termination of this Agreement or _____’s request, Distributor shall promptly return to _____ all documents and other media containing Confidential Information.
16.4 Survival.
The obligations regarding Confidential Information set forth in the foregoing Sections shall survive the termination of this Agreement.
17. TRADEMARKS.
17.1 Trademarks.
Distributor acknowledges that any and all trademarks, trade names and brand names of _____, and all associated goodwill shall belong solely to _____ and are exclusively owned by _____. Distributor shall not challenge _____'s rights concerning said trademarks, trade names and others.
17.2 Products Names.
Distributor understands and acknowledges the importance of all product names, trademarks, trade names and brand names of_____ and used in connection with Products. Distributor shall not change the name of Products nor attach Distributor's own or unique name to Products without prior written consent of_____. Distributor shall always attach the accurate name, trademarks and trade names of Products and the phrase "designed and manufactured by _____” on all marketing and promotional materials of Products that are produced by Distributor.
17.3 True Reproduction of Trademarks.
Distributor has the right to reproduce and translate, at its expense, _____'s public marketing documents (advertising copy, brochure, sales aids, product manuals, etc.) and to use such documents in connection with the sale of Products. However, reproductions of trademarks, logos, symbols, etc. shall be true reproductions and shall be done photographically. Any of its advertisements or other promotions that show and identify brands of non-_____ products shall not be used with _____’s brands, trade name, trademarks or logos in any way that would imply _____'s endorsement of non-_____ products and services.
17.4 Restrictions.
Distributor shall not adopt, use, or register any trademark or trade name of_____ or any confusingly similar work or symbol as part of Distributor's own name or the name of any of its affiliates or the name of the products Distributor markets.
17.5 Visual Identity Manual.
Distributor shall comply with the rules set forth in "_____ Visual Identity Manual for the Distributors” when Distributor uses the logo of_____. Distributor shall not use the logo of_____ in a manner that does not conform to “_____ Visual Identity Manual for the Distributors”.
18. DISCLAIMER. LIMITATION OF LIABILITY.
18.1 Disclaimer.
EXCEPT OTHERWISE SPECIFICALLY PROVIDED IN THIS AGREEMENT, _____ MAKES NO WARRANTIES, EXPRESS OR IMPLIED, OF ANY KIND. AND _____ SPECIFICALLY EXLUDES AND DISCLAIMS, TO THE EXTENT PERMITTED BY APPLICABLE LAW. INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES IN CONNECTION WITH THE DESIGN, SALE, MERCHANTABILITY OR FITNESS OF PRODUCTS FOR ANY PARTICULAR PURPOSE OR USE OR NON¬INFRINGEMENT OF THIRD PARTY RIGHTS.
18.2 Limitation of Liability.
IN NO EVENT WILL _____ BE LIABLE FOR ANY INCIDENTAL, INDIRECT, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, LOSS, CLAIMS OR COSTS WHATSOEVER. INCLUDING WITHOUT LIMITATION, ANY LOSS OF PROFITS, REVENUES, BUSINESS OPPORTUNITIES, OR ANY CLAIMS BY THIRD PARTY, ARISING OUT OF OR RELATED TO THIS AGREEMENT, IF ANY. THE ABOVE LIMITATIONS WILL APPLY REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT, STRICT PRODUCT LIABILITY, OR OTHERWISE, EVEN IF _____ IS NOTIFIED OF THE POSSIBILITY OF SUCH DAMAGES, LOSS, CLAIMS OR COSTS.
19. FORCE MAJEURE.
A party shall not be responsible for failure to perform hereunder if such performance is rendered impossible by causes beyond its control, including but not limited to fires, civil disobedience, embargo, war, riots, rebellions, earthquakes, floods, water, governmental acts or requirements and the elements, acts of God, strikes or their labor troubles, allocations by suppliers, embargoes or other transportation delays, or inability to obtain necessary labor, materials, manufacturing facilities, or manufacturer’s regulatory approvals or registrations, or similar occurrences (individually and collectively, “Force Majeure”); provided that the party notifies the other in writing of the condition of Force Majeure within thirty (30) days of its occurrence and performance shall be resumed as soon as possible after the cessation of such Force Majeure.
20. TERM AND TERMINATION.
20.1 Term.
Unless earlier terminated, this Agreement shall be two (2) years commencing on the Effective Date.
After termination or expiration of this Agreement, _____ may, at its sole discretion, accept the purchase order(s) issued by Distributor relating to Products and/or spare-parts; provided, for the avoidance of doubt, that _____'s acceptance of such purchase order(s) shall be subject to the terms and conditions designated by _____ and in no sense be construed or deemed as the renewal of this Agreement.
20.2 Termination.
Either party may, without prejudice to any other rights or remedies, terminate this Agreement by giving written notice to the other with immediate effect, if any of the following events should occur:
(a) If the other party fails to make any payment to the other when due under this Agreement and such failure continues for more than fourteen (14) calendar days after receipt of a written notice specifying the default;
(b) If either party fails to perform any provision of this Agreement, which failure remains uncorrected for more than thirty (30) days after receipt of a written notice specifying the failure;
(c) If the ownership of the other party is substantially changed;
(d) If either party files a petition in bankruptcy, or a petition in bankruptcy is filed against it, or either party becomes insolvent, bankrupt, or makes a general assignment for the benefit of creditors or goes into liquidation or receivership; or
(e) If either party ceases or threatens to cease to carry on business or disposes of the whole or any substantial part of its undertaking or its assets.
20.3 Acceleration of Product Payment by Distributor.
In addition to and without prejudice to any other rights or remedies, _____ may declare the unpaid amount for Product delivered to Distributor to be immediately due and payable by giving written notice to Distributor, if any of the foregoing event (a), (b), (d) or (e) should occur to Distributor.
20.4 No compensation at Termination.
Except as provided otherwise in this Agreement, in the event of termination or expiration of this Agreement neither party shall be entitled to any indemnity, compensation, damages, loss of profits or prospective profits, or payment in respect of investments made or goodwill or clientele established during the continuance of this Agreement, except as for any obligations that by their terms survive termination of the Agreement.
20.5 Repurchase of Remaining Products.
Upon termination or expiration of this Agreement, _____ shall have the right, but not the obligation, to repurchase from Distributor any new and unused Products and spare parts then in Distributor’s inventory at then in current reasonable prices discussed and determined by the parties, however, which prices shall not be more than the net price received by _____ from Distributor for the new and unused Products or spare parts remaining in inventory. Distributor shall have the right, for a reasonable period not to exceed six (6) months, to sell any Products or spare parts remaining in inventory to the extent the same are not repurchased by _____ after the termination or expiration of this Agreement.
21. INDEMNITY BY DISTRIBUTOR
Distributor will defend and hold _____, _____’s affiliates and subsidiaries and those past and present officers, directors, employees, shareholders, agents and representatives harmless from and against any and all claims, losses, damages, liabilities, causes of action, obligations, fees (including attorney’s fees) and costs based upon, arising out of, or in connection with any breach of the obligations of Distributor under this Agreement. The indemnity provided for herein shall survive the termination of this Agreement.
22. GOVERNING LAW AND ARBITRATION.
22.1 Governing Law.
This Agreement shall be subject to and governed by the law of Japan, including the provisions of United Nations Convention on Contracts for the International Sale of Goods (“CISG”); provided, however, that the parties hereto agree to exclude the provisions of CISG to the extent that any provisions of CISG are contrary to, or conflict with, the provisions of this Agreement.
22.2 Arbitration.
All disputes, controversies or differences which may arise between the parties hereto, out of or in relation to or in connection with this Agreement shall be finally settled by arbitration in Tokyo, in accordance with the Commercial Arbitration Rules of The Japan Commercial Arbitration Association.
22.3 Survival.
The provisions of the foregoing Sections shall survive the termination of this Agreement.
23. ASSIGNMENT.
This Agreement may not be assigned by either party and shall not inure to the benefit of any trustee in bankruptcy, receiver or successor of any party whether by operation of law or otherwise without the written consent of the other party. Should any assignment be made by one party without the written consent of the other party such assignment shall be null and void.
24. ENTIRE AGREEMENT.
This Agreement sets forth the entire understanding and agreement between the parties as to the matters covered herein, and supersedes and replaces any prior understanding, statement of intent or memorandum of understanding, in each case, written or oral. This Agreement may be changed or amended only by a writing signed by duly-authorized officers of both parties hereto.
25. SEVERABILITY.
If any of the provisions hereof shall be held to be invalid or unenforceable, the remaining provisions of this Agreement shall continue to be fully valid and enforceable.
26. NO WAIVER.
The waiver by either party of any breach of this Agreement by the other party in any particular instance shall not operate as a waiver of prior or subsequent breaches of the same or any different kind. Either party’s exercise or failure to exercise any rights under this Agreement in a particular instance shall not operate as a waiver of said party's right to exercise the same or different rights in prior or subsequent instances.
27. NOTICE.
All notices under this Agreement shall be in writing and shall be by reputable fast courier service providing return notice of receipt to the addresses listed above, or at such different addresses as may be designated in writing from time to time.
28. BINDING ON SUCCESSORS AND ASSIGNS.
Subject to, and unless otherwise provided in this Agreement, each and all of the covenants, terms, provisions, and agreements contained in this Agreement shall be binding on, and inure to the benefit of, the permitted successors, executors, heirs, representatives, administrators, and assigns of the parties hereto.
29. HEADINGS.
The headings contained in this Agreement are for reference purpose only and shall not affect in any way the meaning or interpretation of this Agreement.
IN WITNESS WHEREOF, the parties have caused their authorized representatives to execute this Agreement as of the Effective Date:

Настоящее ДИСТРИБЬЮТОРСКОЕ СОГЛАШЕНИЕ (далее по тексту – «Соглашение») заключено и вступает в силу с 1 апреля 2018 года (далее – «Дата вступления в силу») между компанией _____________, адрес основного местонахождения: ________________________________ (далее по тексту – «_____»), и ____________________, адрес основного местонахождения: ___________________________ (далее по тексту – «Дистрибьютор»).
Принимая во внимание, что Дистрибьютор желает приобрести Продукцию компании _____ (в значении, определенном далее в настоящем Соглашении) для распространения на Территории (в значении, определенном в настоящем Соглашении), а компания _____ желает осуществлять производству и реализацию данной Продукции Дистрибьютору с учетом условий настоящего Соглашения и в соответствии с ними.
С УЧЕТОМ ВЫШЕИЗЛОЖЕННОГО, В ОБМЕН НА ЦЕННОЕ И ДЕЙСТВИТЕЛЬНОЕ ВСТРЕЧНОЕ ПРЕДОСТАВЛЕНИЕ, факт получения и достаточность которого настоящим подтверждены, стороны настоящим договорились о нижеследующем:
1. НАЗНАЧЕНИЕ ДИСТРИБЬЮТОРОМ.
С учетом положений настоящего Соглашения, до тех пор, пока настоящее Соглашение остается в полной силе и действии и будут отсутствовать факты нарушения или неисполнения обязательств со стороны Дистрибьютора, компания _____ назначает Дистрибьютора своим эксклюзивным дистрибьютором для реализации Продукции на Территории. Под «Территорией» следует понимать Российскую Федерацию. Назначение Дистрибьютора продавцом Продукции на Территории поставлено в зависимость от исполнения Дистрибьютором обязательств по настоящему Соглашению, в том числе, без ограничения, выполнения Целевых показателей по годовым объемам закупки (в значении, определенном далее в настоящем Соглашении).
Настоящее Соглашение ограничено Территорией, и Дистрибьютор подтверждает и выражает согласие с тем, что он не будет продавать или иным образом распространять Продукцию компании _____ на любой другой территории, в любой другой стране или месте, на рынке или среди группы заказчиков (при наличии таковых), а также реализовать и иным образом распространять Продукцию компании _____ заказчикам, не имеющим постоянного местопребывания на Территории, без предварительного письменного согласия компании _____, выдача которого может быть осуществлена или отклонена компанией _____ по своему единоличному усмотрению.
2. ХАРАКТЕР ВЗАИМООТНОШЕНИЙ.
Стороны понимают и договорились о том, что Дистрибьютор не является работником компании _____ и не должен квалифицироваться в данном качестве для каких бы то ни было целей, а также что отношения между _____ и Дистрибьютором являются исключительно отношениями между продавцом и покупателем. Ни одно положение настоящего Соглашения не должно считаться образующим партнерство или совместное предприятие между сторонами. Кроме того, стороны подтверждают и выражают согласие с тем, что Дистрибьютор всегда действует и должен действовать в качестве независимого подрядчика. Каждая сторона несет единоличную ответственность за любые свои действия и бездействие, в том числе за действия и бездействие со стороны ее агентов, представителей и работников, за исключением случаев, предусмотренных настоящим Соглашением. Дистрибьютор не является и не должен являться агентом или законным представителем компании _____ для каких бы то ни было целей, и, следовательно, Дистрибьютору не предоставляется никаких прав или полномочий на обременение или получение любых изделий, имущества или иных материальных ценностей за счет (прямо или косвенно) компании _____, на связывание ее обязательствами каким бы то ни было образом, а также на оформление или взятие на себя любого обязательства или ответственности, будь то явной или подразумеваемой, от имени компании _____, за исключением случаев, предварительно согласованных с компанией _____ в письменной форме.
3. ПРОДУКЦИЯ.
3.1 Продукция.
При использовании в рамках настоящего Соглашения под термином «Продукция» следует понимать следующую продукцию, распространяемую компанией _____ под торговым названием _____ или иным торговым названием, отдельно согласованным с компанией _____:
(a) Продукция, перечисленная в Приложении А к настоящему Соглашению; и
(b) Новая продукция, дополнительно включенная в настоящее Соглашение в порядке, предусмотренном следующей Статьей.
3.2 Новая продукция.
В течение срока действия настоящего Соглашения компания _____ будет уведомлять Дистрибьютора о любой новой продукции, выпущенной под торговым названием _____, в значительной степени аналогичной, заменяющей, модернизирующей или обновляющей модель Продукции, перечисленной в Приложении A. Если Дистрибьютор пожелает распространять такую продукцию, он должен уведомить об этом компанию _____ в письменном виде. Дистрибьютор и компания _____ должны приложить все усилия для согласования условий, касающихся новой продукции, в течение 60 (шестидесяти) дней после получения письменного уведомления Дистрибьютора. Распространение новой продукции в рамках настоящего Соглашения осуществляется с учетом взаимной договоренности относительно условий осуществления такой деятельности. По взаимной договоренности сторон включение новой продукции в настоящее Соглашение в качестве единицы Продукции подлежит оформлению дополнительным соглашением к Приложению А настоящего Соглашения в письменной форме.
3.3 Недопустимость применения настоящего Соглашения к продукции OEM.
Ни одно положение настоящего Соглашения не должно считаться каким-либо образом препятствующим или ограничивающим возможность компании _____ производить и поставлять Продукцию OEM третьему лицу. Под «Продукцией OEM» следует понимать продукцию головного производителя, предназначенную для третьего лица, которая: (i) реализуется и распространяется под торговыми названиями, отличными от _____; и (ii) изготовлены компанией _____ на основании спецификаций, предоставленных третьим лицом с использованием специфических цветов и (или) конструктивных решений Продукции.
4. ЗАКАЗЫ, ЦЕНЫ, ПОСТАВКА. ОПЛАТА.
4.1 Заказы.
Каждый отдельный твердый заказ на покупку Продукции должен быть направлен Дистрибьютором в письменной форме не менее чем за 60 (шестьдесят) дней до необходимой даты отгрузки с завода _____. Каждая отдельная сделка купли-продажи Продукции становится обязательной для сторон в момент подтверждения соответствующего заказа на покупку компанией _____, а также подписания предварительных счетов-фактур или эквивалента предварительных счетов-фактур на Продукцию компанией _____ в письменном виде. При наличии любого несоответствия между настоящим Соглашением, отдельным заказом на покупку и предварительными счетами-фактурами, преимущественную силу всегда имеют условия настоящего Соглашения.
4.2 Цена покупки
Дистрибьютор приобретает Продукцию у компании _____ по закупочным ценам, указанным в последних прайс-листах на Продукцию. Компания _____ вправе периодически изменять данные закупочные цены по факту письменного уведомления Дистрибьютора; при этом уведомление должно быть направлено не менее чем за 60 (шестьдесят) дней до даты вступления любого такого изменения в силу.
4.3 Поставка Продукции.
Компания _____ обязуется приложить обоснованные с коммерческой точки зрения усилия для поставки Продукции Дистрибьютору в соответствии с графиком поставки, согласованным обеими сторонами. Компания _____ не несет ответственности за непоставку своей Продукции Дистрибьютору по причине Обстоятельств непреодолимой силы (в значении, определенном далее в настоящем Соглашении).
4.4 Изменения в Продукции.
Компания _____ оставляет за собой право по собственному усмотрению полностью или частично изменять торговое название, дизайн, цвет и (или) внешний вид любой Продукции, а также модифицировать, изменять, улучшать и прекращать выпуск любой Продукции или любой части Продукции, являющейся предметом настоящего Соглашения.
Настоящее Соглашение распространяется на реализацию любой и всей Продукции, модифицированной, измененной или усовершенствованной компанией _____.
4.5 Оплата.
Если стороны настоящего Соглашения не договорятся об ином, все платежи со стороны Дистрибьютора по настоящему Соглашению в адрес _____ осуществляются авансом телеграфным переводом на банковский счет, указанный компанией _____.
4.6 Кредитный лимит.
Вопреки любым положениям настоящего Соглашения, если любой платеж со стороны Дистрибьютора в адрес _____ будет произведен не авансом и не телеграфным переводом, компания _____ вправе установить Дистрибьютору кредитный лимит по своему усмотрению. Установленный Дистрибьютору Кредитный лимит по состоянию на Дату вступления в силу составляет 20 000 000 иен. Кроме того, компания _____ вправе по своему единоличному усмотрению изменять размер кредитного лимита как в сторону увеличения, так и в сторону уменьшения. В случае если вновь размещенный заказ Дистрибьютора будет превышать разницу между текущим кредитным лимитом и непогашенной суммой задолженности со стороны Дистрибьютора на момент его размещения, Дистрибьютор должен оплатить новый заказ любыми иными способами, взаимно согласованными между _____ и Дистрибьютором. В случае если компания _____ и Дистрибьютор не смогут договориться о таких способах оплаты, компания _____ не обязана выполнять соответствующий новый заказ.
4.7 Финансовая отчетность.
По письменному запросу компании _____ Дистрибьютор должен незамедлительно предоставить ей копии своей последней финансовой отчетности, а также иную документацию, отражающую текущее финансовое состояние Дистрибьютора, в том числе, без ограничения, отчет о прибылях и убытках, отчет о движении денежных средств и бухгалтерский баланс. В случае если данная финансовая отчетность не будет проверена аудитором. Дистрибьютор должен предоставить неаудированную финансовую отчетность, заверенную в качестве достоверной, полной и правильной его должностным лицом.
5. ГАРАНТИЯ СО СТОРОНЫ ДИСТРИБЬЮТОРА.
Вопреки вышеприведенной Статье, Дистрибьютор вправе обеспечить размещение у _____ твердого заказа на покупку Продукции третьим лицом (далее – «Компания») в соответствии с любыми действующими законами и нормативными правовыми актами с целью заключения договора купли-продажи между _____ и Компанией для поставки Продукции Дистрибьютору; при этом Дистрибьютор настоящим безоговорочно гарантирует _____ своевременную оплату Компанией всех сумм, подлежащих выплате по договору купли-продажи между _____ и Компанией.
Дистрибьютор настоящим отказывается от любого права, которым от может обладать как поручитель и которое в любой момент может противоречить любым положениям настоящей Статьи и, в частности, от любого права требовать, чтобы компания _____ сначала использовала собственные средства правовой защиты в отношении Компании. Более того, Дистрибьютор отказывается от необходимости направления любых уведомлений о неоплате или неисполнении обязательств по договору купли-продажи между _____ и Компанией, а также требований произвести оплату или исполнить обязательства по нему. Иск по настоящему Соглашению может быть предъявлен непосредственно Дистрибьютору без принятия любых предварительных мер к Компании, предъявления ей требований или направления ей уведомлений.
Обязательства Дистрибьютора по настоящей Статье являются бессрочными и остаются в полной силе до тех пор, пока не будут исполнены все обязательства, и Компания не выплатит _____ любую сумму задолженности по договору купли-продажи, заключенному между _____ и Компанией в течение срока действия настоящего Соглашения.
Дистрибьютор не освобождается от ответственности, и его ответственность не должна ограничиваться:
(a) любой отсрочкой, уступкой, отказом или согласием, в какой-либо момент времени предоставленными Компании компанией _____;
(b) принудительным исполнением компанией _____ или несовершением ею действий для принудительного исполнения договора купли-продажи, заключенного между компанией _____ и Компанией;
(c) ликвидацией, роспуском, слиянием или реорганизацией Компании;
(d) банкротством Компании.
Дистрибьютор выражает согласие с тем, что любая недействительность договора купли-продажи между _____ и Компанией не повлияет на его ответственность по настоящей Статье и не ограничит ее.
Обязательства Дистрибьютора, предусмотренные настоящей Статьей, остаются в силе после прекращения действия настоящего Соглашения.
6. ЦЕЛЕВОЙ ОБЪЕМ ЗАКУПОК.
6.1 Целевой объем закупок.
Дистрибьютор приложит все усилия для закупки у компании _____ соответствующего количества Продукции, необходимого для достижения целевого показателя по объему закупок за год, предусмотренного Приложением В (далее – «Целевой показатель по годовому объему закупок»), и обязан проводить рекламные и маркетинговые кампании, а также активно и усердно способствовать реализации Продукции на своей Территории, при этом вся такая деятельность должна осуществляться и выполняться за счет Дистрибьютора. Дистрибьютор должен осуществлять активную разработку собственного маркетингового плана реализации программ рекламы и стимулирования сбыта, используемых Дистрибьютором при исполнении своих обязательств по реализации, продвижению и рекламе Продукции, а также обеспечить привлечение и наличие любых административно-технических, кадровых ресурсов, времени и мощностей для активного стимулирования спроса на Продукцию _____ и ее продвижение. Дистрибьютор всегда должен вести свою деятельность таким образом, чтобы она благоприятно сказывалось на имени и репутации _____ и ее Продукции.
6.2 Корректировка Целевого показателя объема закупок на следующий год.
Начиная со 2 (второго) года и в дальнейшем, если Целевой показатель объема годовой закупки на следующий срок еще не определен, _____ и Дистрибьютор должны взаимно обсудить и установить Целевой показатель по годовому объему закупок на следующий год до его начала. Если иное не согласовано в письменной форме, Целевой показатель по годовому объему закупок на следующий год должен быть не меньше, чем текущий на тот момент Целевой показатель по годовому объему закупок.
6.3 Невыполнение Целевого показателя по годовому объему закупок.
В случае если Дистрибьютор не выполнит Целевой показатель по годовому объему закупок, компания _____ имеет право, без выплаты компенсации Дистрибьютору, отозвать исключительный статус Дистрибьютора в отношении некоторой или всей Продукции и (или) Территории по собственному усмотрению, направив об этом предварительное письменное уведомление за 30 (тридцать) дней. В случае если Дистрибьютор не выполнит Целевой показатель по годовому объему закупок на 80%, компания _____ вправе расторгнуть настоящее Соглашение без выплаты компенсации Дистрибьютору. Решение о выполнении Дистрибьютором Целевого показателя по годовому объему закупок принимается на основе объема Продукции, включая аксессуары и запчасти, предназначенные для данной Продукции, приобретенной Дистрибьютором у _____ в течение срока действия.
7. ПРОДВИЖЕНИЕ И МАРКЕТИНГ.
Для того, чтобы выполнить Целевой показатель по годовому объему закупок и для эффективного стимулирования сбыта и маркетинга Продукции, Дистрибьютор должен:
(a) Ежемесячно предоставлять _____ прогноз планового размещения заказов на Продукцию на 4 (четыре) месяца;
(b) Участвовать в съездах, научных конференциях, выставках и семинарах по продажам на Территории в целях стимулирования продаж Продукции и (или) сбора рыночной информации;
(c) Регулярно и по запросу _____ предоставлять _____ отчеты о рыночной информации, в том числе, без ограничения, о рыночных тенденциях, спросе заказчиков на продукцию, информацию о получении крупных заказов и проектах тендеров, а также сотрудничать с _____ в области маркетинга и продвижения Продукции на Территории;
(d) Разработать собственный бизнес-план с программами рекламы, маркетинга и стимулирования сбыта для использования при исполнении своих обязательств по реализации, продвижению и рекламе Продукции. По запросу _____ Дистрибьютор обязан предоставить компании _____ копии своих маркетинговых и рекламных материалов, используемых на Территории;
(e) Не продавать, а также не допускать любого распространения Продукции через любую систему интернет-продаж;
(f) Использовать демонстрационную Продукцию (при наличии) исключительно для целей демонстрации с предоставлением компании _____ результатов и отзывов о каждой демонстрации; и
(g) Не осуществлять маркетинг, продвижение и реализацию Продукции за пределами Территории, не создавать и не допускать работу любого филиала или склада Продукции за пределами Территории, за исключением случаев, предварительно согласованных в письменной форме с компанией _____, немедленно уведомлять _____ в письменном виде о любом запросе, касающемся заказа Продукции, полученном Дистрибьютором, а также о любых запросах, касающихся реализации, поставки, технического обслуживания и послепродажного обслуживания Продукции, которые обуславливают поставку Продукции за пределы Территории, при условии, что ограничения, предусмотренные настоящей Статьей, не противоречат действующему законодательству и нормативным правовым актам Территории.
8. ПРИВЛЕЧЕНИЕ СУБДИСТРИБЬЮТОРОВ.
Дистрибьютор вправе привлекать и пользоваться услугами субдистрибьюторов для распространения Продукции, при этом и привлечение и использование их услуг осуществляется на собственный риск и за счет Дистрибьютора, и Дистрибьютор несет полную ответственность за все действия своих субдистрибьюторов. В случае реализации и распространения Дистрибьютором Продукции через субдистрибьюторов, Дистрибьютор обязан обеспечить исполнение субдистрибьюторами обязательств и обязанностей Дистрибьютора по настоящему Соглашению, при этом Дистрибьютор и субдистрибьюторы несут солидарную ответственность перед _____ за любое нарушение суб-дистрибьюторами любых своих обязанностей и обязательств, которые остаются в силе после прекращения действия настоящего Соглашения.
9. РЕАЛИЗАЦИЯ Б/У ПРОДУКЦИИ НА ТЕРРИТОРИИ.
Дистрибьютор вправе продавать б/у Продукцию покупателю на Территории только в том случае, если выполнены следующие условия в объеме, в полной мере удовлетворительном для компании _____:
(a) Получение Дистрибьютором б/у Продукции на Территории на законных основаниях;
(b) модель б/у Продукции соответствует текущей на тот момент модели Продукции; и
(c) Реализация б/у Продукции не противоречит и соответствует любым законам и нормативным правовым актам, действующим на Территории.
Реализация любой б/у Продукции осуществляется на собственный риск Дистрибьютора, и Дистрибьютор несет полную ответственность за любую реализованную им б/у Продукцию. Дистрибьютор обязан освободить компанию _____ от ответственности и оградить ее от любого ущерба, убытков и расходов (в том числе, без ограничения, обоснованных расходов на оплату услуг и издержек юридического консультанта), возникших в результате установки, технической поддержки, ремонта и послепродажного обслуживания Дистрибьютором любой и всей б/у Продукции, реализованной Дистрибьютором, при этом данное обязательство возмещения убытков остается в силе после прекращения действия настоящего Соглашения.
10. УСТАНОВКА И ПОСЛЕПРОДАЖНОЙ ОБСЛУЖИВАНИЕ.
10.1 Установка и обслуживание Дистрибьютором.
Дистрибьютор должен выполнять установку Продукции на объектах заказчиков, обучать заказчиков работе с Продукцией, а также предоставлять услуги после установки (в течение установленных гарантийных сроков и впоследствии). Дистрибьютор должен иметь адекватную техническую базу обслуживания для оказания вышеупомянутой поддержки, в том числе, без ограничения, персонал, состоящий обученных специалистов по обслуживанию, соответствующую техническую документацию и запас запчастей. Дистрибьютор должен провести заказчикам курс обучения на тему сервисного обслуживанию и предоставить отчет о данном обучении компании _____. Дистрибьютор должен обеспечить заказчику адекватную поддержку по запросу последнего, своевременно реагировать и отвечать на звонки в службу поддержки для обеспечения удовлетворенности заказчиков, а также будет предоставлять услуги владельцам Продукции, вне зависимости от того, приобретены они у Дистрибьютора или нет, и обеспечит выполнение бесплатного гарантийного ремонта в течение установленных гарантийных сроков.
10.2 Обучение сервисному обслуживанию.
Дистрибьютор должен проходить курсы _____ по обучению сервисному обслуживанию всей существующей и новой Продукции в месте, установленном компанией _____, с регулярной периодичностью, установленной компанией _____. Расходы на проведение указанных курсов обучения сервисному обслуживанию распределяются следующим образом: (i) расходы на транспорт внутри страны, питание и проживание в гостинице в пределах лимита, установленного компанией _____, за период обучения сервисному обслуживанию, оплачиваются _____, а (ii) любые иные расходы, включая авиабилеты на международные рейсы в/из страны Дистрибьютора, оплачиваются Дистрибьютором.
10.3 Руководства, список запчастей.
Компания _____ предоставляет Дистрибьютору: (a) Руководства по обслуживанию и эксплуатации Продукции на английском языке; (б) полный список запасных частей, необходимых для ремонта Продукции, с указанием номеров. Компания _____ обязана оказывать Дистрибьютору разумное содействие в выполнении предусмотренных настоящим Соглашением работ по установке, послепродажному обслуживанию и технической поддержке заказчиков.
11. СЕРТИФИКАТ.
11.1 Сертификат на проведение тендеров.
По запросу Дистрибьютора компания _____ обязана направить письмо, подтверждающее, что Дистрибьютор, являясь назначенным на Территории дистрибьютором, уполномочен на проведение тендеров, при условии, что данный запрос будет получен
и подтвержден компанией _____ не позднее, чем за 1 (один) месяц до истечения срока подачи сертификата. В случае запроса Дистрибьютором письма-сертификата последний должен предоставить компании _____ (i) документы, описывающие условия проведения тендера, и (ii) любую сопутствующую информацию, запрошенную компанией _____. Выдача компанией _____ сертификата осуществляется по форме Приложения C к настоящему Соглашению.
11.2 Сертификат для других целей.
Дистрибьютор должен уведомить компанию _____ о необходимости выдачи сертификата для целей, отличных от проведения тендера, в срок не позднее, чем за 1 (один) месяц до окончания срока его подачи. К установленному сроку компания _____ по своему усмотрению примет решение о выдаче/невыдаче сертификата. В случае запроса Дистрибьютором письма-сертификата последний должен предоставить компании _____ (i) документы, описывающие обстоятельства направления запроса Дистрибьютором, и (ii) любую сопутствующую информацию, запрошенную компанией _____.
11.3 Использование сертификата.
Сертификат выдается исключительно для целей проведения тендеров или конкретных целей, подтвержденных компанией _____ в соответствии с вышеизложенными Статьями. Дистрибьютору строго запрещается использовать сертификат в любых несанкционированных целях.
12. ОБЯЗАТЕЛЬСТВА КОМПАНИИ _____ ОБЩЕГО ХАРАКТЕРА.
12.1 Гарантия на продукцию.
Компания _____ гарантирует Дистрибьютору, что Продукция, проданная ею Дистрибьютору в рамках настоящего Соглашения, не будет иметь дефектов материалов и изготовления в момент отгрузки компанией _____. При возникновении неисправности Продукции в течение 18 (восемнадцати) месяцев с даты отгрузки из Японии (далее по тексту – «Гарантийный срок»), а также при выявлении скрытых дефектов или несоответствий спецификациям Продукции в течение Гарантийного срока, компания _____ обязуется сделать следующее, при условии направления ей уведомления с подтверждающей документацией в течение соответствующего Гарантийного срока:
(i) Применительно к Продукции, не являющейся интраокулярными линзами, _____ предоставляет
Дистрибьютору соответствующие запчасти для ремонта бесплатно.
(ii) Применительно к Продукции в виде интраокулярных линз, если причина дефектов или несоответствия связана с компанией _____, последняя должна заменить соответствующую Продукцию в виде интраокулярных линз без дополнительных затрат со стороны Дистрибьютора.
(iii) Вопреки вышеизложенным подпунктам (i) или (ii), компания _____ не несет никаких обязательств или ответственности, если дефекты или несоответствия вызваны: (a) нецелевым использованием, небрежностью, неправильным использованием или обслуживанием Продукции заказчиками, Дистрибьютором или любыми третьими лицами, (b) происшествиями или повреждениями во время транспортировки или хранения, (c) ремонтом, модификацией или изменением Продукции не компанией _____ или (d) Обстоятельствами непреодолимой силы. Гарантия _____ строго ограничена поставкой запасных частей или заменой Продукции в соответствии с настоящей Статьей.
12.2 Интеллектуальная собственность.
Компания _____ гарантирует Дистрибьютору, что по имеющимся у нее на Дату вступления в силу сведениям (i) ей не известно о любых нарушениях интеллектуальной собственности, связанных с дизайном или способом производства Продукции; и (ii) что компания _____ будет прилагать разумные с коммерческой точки зрения усилия для поддержания в действии и сохранения своих прав интеллектуальной собственности на производство, реализацию и (или) распространение Продукции в течение срока действия настоящего Соглашения.
13. ОБЯЗАТЕЛЬСТВА ДИСТРИБЬЮТОРА ОБЩЕГО ХАРАКТЕРА.
13.1 Урегулирование претензий.
Дистрибьютор несет ответственность за рассмотрение и урегулирование любых претензий, включая претензии, связанные с Продукцией, заявленных или предъявленных третьими лицами, купившими Продукцию у Дистрибьютора на Территории. Компания _____ обязана предоставить Дистрибьютору разумную с коммерческой точки зрения поддержку для урегулирования соответствующих претензий по усмотрению _____. Кроме того, компания _____ вправе по своему усмотрению принять решение об оплате части расходов, понесенных при урегулировании претензий.
13.2 Страхование.
Дистрибьютор должен на постоянной основе поддерживать в действии комплексную страховку гражданской, имущественной и товарной ответственности в соответствии с отраслевыми стандартами своей Территории.
13.3 Уведомление о товарной ответственности или претензия о нарушении прав.
В случае если Дистрибьютор получит от третьего лица на Территории (i) претензию по качеству Продукции или (ii) претензию о нарушении Продукцией патентов, авторских прав и иных объектов интеллектуальной собственности третьего лица, Дистрибьютор должен незамедлительно уведомить об этом компанию _____, а также предоставить _____ всю соответствующую информацию, имеющуюся у него в наличии или доступную ему. Если соответствующая претензия связана с вопросом, регулируемым соглашением сторон о качестве, компания _____ и Дистрибьютор должны сотрудничать при подготовке ответа на данную претензию и принять все необходимые и соответствующие меры в соответствии с функциями, предусмотренными соглашением о качестве.
13.4 Недопустимость конкуренции.
Дистрибьютор должен избегать любых обстоятельств и действий, которые могут обусловить возникновение у него неблагоприятных интересов или конфликта интересов в части исполнения обязательств, взятых на себя по настоящему Соглашению. В течение срока действия настоящего Соглашения Дистрибьютор должен сосредоточиться на стимулировании продаж и использования Продукции, и, за исключением случаев предварительного получения письменного согласия _____, Дистрибьютор не должен заниматься реализацией, распространением или продвижением продукции, конкурирующей с Продукцией. Без ограничения любых иных средств правовой защиты и прав, предусмотренных настоящим Соглашением, в случае реализации, распространения или продвижения Дистрибьютором продукции, конкурирующие с Продукцией, без предварительного письменного согласия компании _____, последняя имеет право, без выплаты компенсации Дистрибьютору, отозвать исключительный статус Дистрибьютора в отношении некоторой или всей Продукции и (или) Территории по собственному усмотрению, направив об этом предварительное письменное уведомление за 30 (тридцать) дней.
13.5 Наличие адекватного капитала.
В связи со своей деятельностью и деятельностью в рамках настоящего Соглашения Дистрибьютор должен постоянно поддерживать оборотный капитал и чистую стоимость активов на уровне, необходимом для обеспечения своей способности надлежащим образом и в полном объеме исполнять обязанности по настоящему Соглашению.
13.6 Предоставление общих сведений об организации.
По требованию компании _____ Дистрибьютор должен предоставить ей общие сведения о своей организации, в том числе о его организационной структуре.
13.7 Недопустимость модификации Продукции.
Дистрибьютор не должен изменять, модифицировать и видоизменять Продукцию или любую ее часть без предварительного письменного согласия _____.
13.8 Недопустимость недобросовестной практики.
Дистрибьютор должен во всех отношениях избегать любой практики недобросовестности, обмана, ввода в заблуждение и неэтичных действий, а также рекламы, которая наносит или может нанести вред компании _____ или ее Продукции.
13.9 Соблюдение действующего законодательства.
Дистрибьютор должен соблюдать все применимые законы, нормативные правовые акты, правила, постановления и директивы правительства, распространяющиеся на маркетинг, реализацию, эксплуатацию и техническую поддержку Продукции на Территории.
13.10 Обязательства при расторжении или истечении срока действия.
После расторжения или истечения срока действия настоящего Соглашения Дистрибьютор несет следующие обязательства, которые остаются в силе после прекращения действия настоящего Соглашения:
(a) Передать компании _____ копии всей документации, касающейся установки и послепродажного обслуживания с указанием имен и адресов пользователей Продукции, архивную документацию по техническому обслуживанию Продукции, а также любую иную информацию, необходимую для продолжения послепродажного обслуживания данных пользователей;
(b) После этого воздерживаться от представления себя в качестве дистрибьютора _____, а также использования любых торговых названий и марок _____;
(c) Вернуть компании _____ или немедленно уничтожить все канцелярские, рекламные и маркетинговые, а также иные печатные материалы, любую контактную информацию, включая адрес электронной почты, находящийся в его распоряжении или под его контролем, содержащий любой товарный знак или торговое название _____;
(d) Вернуть _____ все предоставленные ею инструменты, приспособления, оборудование и Продукцию;
(e) Вернуть компании _____ все материалы, содержащие Конфиденциальную информацию, в соответствии с положениями настоящего Соглашения; и
(f) Принять все необходимые меры для удаления или отзыва своих записей из рекламных объявлений, каталогов, государственных реестров и прочих источников, в которых указанно или говорится, что Дистрибьютор является дистрибьютором компании _____.
14. РАСХОДЫ.
Если настоящим Соглашением прямо не предусмотрено иное, Дистрибьютор несет единоличную ответственность за оплату любых и всех своих расходов и издержек, возникших в связи с его деятельностью по настоящему Соглашению, а также в связи с реализацией и прочим распространением Продукции, в том числе, без ограничения, за оплату всех транспортных и иных расходов по доставке, при этом любые и все обычные перевозчики, получившие и (или) доставившие Продукцию в рамках настоящего Соглашения, считаются агентами Дистрибьютора, и компания _____ не несет ответственности за любые задержки поставки, а также повреждение Продукции при отправке Дистрибьютору или на его имя.
15. ГАРАНТИЯ КАЖДОЙ СТОРОНЫ.
Каждая сторона заверяет другую сторону и гарантирует ей, что выполнение настоящего Соглашения и соблюдение всех его положений не будет противоречить и не приведет к нарушению какого-либо положения любого соглашения или договора, стороной которого она является или который(ое) может иметь для нее обязательную силу. Каждая сторона заверяет другую сторону и гарантирует ей, что у нее имеются корпоративные полномочия, а также законное право на заключение настоящего Соглашения и исполнение своих обязательств по нему.
16. КОНФИДЕНЦИАЛЬНОСТЬ.
16.1 Конфиденциальная информация.
Под «Конфиденциальной информацией» следует понимать любую и всю информацию конфиденциального характера, раскрытую компанией _____ Дистрибьютору, при этом термин «Конфиденциальная информация» не распространяется на информацию, которая, согласно имеющейся у него документации, (а) является или стала общеизвестной или общедоступной, кроме как в результате действий или бездействия со стороны Дистрибьютора; (b) уже известна Дистрибьютору на момент получения; (c) в дальнейшем будет предоставлена Дистрибьютору третьим лицом, имеющим право на разглашение данной информации Дистрибьютору без каких-либо обязательств по соблюдению конфиденциальности.
16.2 Обязательства по соблюдению конфиденциальности.
Дистрибьютор подтверждает, что, несмотря на исключения из Конфиденциальной информации, указанные в предыдущей Статье, информация, которая была предоставлена Дистрибьютору и с которой он ознакомился, представляет собой конфиденциальную информацию, представляющую большую ценность для компании _____. Дистрибьютор и компания _____ подтверждают, что данная информация, как правило, не известна третьим лицам и включает в себя, в частности, сведения о технологиях, маркетинговые и сбытовые данные, сведения о политике ценообразования, методах и ноу-хау компании _____. Дистрибьютор выражает согласие с тем, что без предварительного письменного согласия _____ ни он, ни его агенты и сотрудники не будут разглашать указанную Конфиденциальную информацию. Соответственно, Дистрибьютор обязуется:
(a) Не разглашать Конфиденциальную информацию или любую ее часть никаким третьим лицам, за исключением случаев, непосредственно одобренных компанией _____ в письменной форме;
(b) Защищать и содержать Конфиденциальную информацию в строгой конфиденциальности, проявляя в отношении нее ту же степень осмотрительности и защиты, которую она проявляет в отношении собственной внутрифирменной и (или) Конфиденциальной информации аналогичной важности, но не ниже разумных с коммерческих точки зрения норм осмотрительности и защиты;
(c) Разглашать Конфиденциальную информацию только своим сотрудникам или иным должным образом уполномоченным представителям, которым необходимо знать ее для эффективного выполнения своих обязанностей. Дистрибьютор должен обеспечить вменение лицам, которым он предоставил доступ к Конфиденциальной информации, документально зафиксированных обязательств по защите данной информации с выдачей им распоряжения о содержании данной Конфиденциальной информацией в соответствии с настоящим Соглашением. Дистрибьютор несет ответственность за любое нарушение конфиденциальности или ограничений, распространяющихся на использования информации, указанными лицами;
(d) Не использовать Конфиденциальную информацию для любых санкционированных целей; и
(e) Не воспроизводить и не копировать Конфиденциальную информацию, будь то полностью или частично, если это прямо не разрешено компанией _____ в письменном виде.
16.3 Возврат Конфиденциальной информации.
После прекращения действия настоящего Соглашения, а также по требованию компании _____ Дистрибьютор обязан незамедлительно вернуть ей все документы и прочие носители, содержащие Конфиденциальную информацию.
16.4 Сохранение юридической силы.
Обязательства, касающиеся Конфиденциальной информации, предусмотренные вышеизложенными Статьями, остаются в силе после прекращения действия настоящего Соглашения.
17. ТОВАРНЫЕ ЗНАКИ.
17.1 Товарные знаки.
Дистрибьютор подтверждает, что любые и все товарные знаки, фирменные и торговые наименования _____, в том числе весь связанный с ними гудвилл, принадлежат исключительно компании _____ и находятся у нее в исключительной собственности. Дистрибьютор не должен оспаривать прав компании _____ на указанные товарные знаки, фирменные и торговые наименования и т.п.
17.2 Название Продукции.
Дистрибьютор понимает и признает важность всех наименований продукции, торговых марок, фирменных и торговых наименований _____, в том числе используемых в связи с Продукцией. Дистрибьютор не должен изменять названия Продукции, а также давать собств�
