LIMITATION DE RESPONSABILITE
Le Client reconnaît que le Prestataire a rempli ses obligations précontractuelles de conseil et d’information, et qu’il est tenu par une obligation de moyens au titre du Contrat.
La responsabilité du Prestataire ou de toute autre personne ayant participé à la création, la production ou la commercialisation du Service ne pourra être engagée que pour les dommages directs nés de l’utilisation des Services et le cas échéant, des Logiciels Associés, conformément aux dispositions du Contrat, et à condition que le Client établisse un lien de causalité direct entre le préjudice allégué et la preuve d’un manquement aux obligations contractuelles du Prestataire.
FORCE MAJEURE
Aucune Partie n’est responsable envers l’autre en cas de non-exécution de ses obligations contractuelles dès lors qu’elle en sera empêchée par un cas de force majeure.
Pour les besoins du Contrat, on entend par cas de force majeure tout événement irrésistible, imprévisible et extérieur empêchant l'une des Parties d'exécuter les obligations mises à sa charge au titre du Contrat tel que notamment (i) les incendies, inondations et autres catastrophes naturelles, la défaillance d'un opérateur national de télécommunications, les conflits du travail entraînant une grève nationale ou sectorielle (ii) la défaillance d’un fournisseur ou partenaire sous réserve de démontrer qu’une telle défaillance était irrésistible et/ou (iii) la modification de toute réglementation applicable à l'exécution du Contrat présentant ces caractéristiques.
Dans un premier temps, le cas de force majeure suspend les obligations contractuelles. Dès que l’effet d’empêchement dû à la force majeure cesse, lesdites obligations reprennent pour la durée restant à courir au moment de la suspension, augmentée de la durée de la suspension.
LOI APPLICABLE ET ATTRIBUTION DE COMPETENCE
Le Contrat est soumis à la loi anglaise. Les Parties s’efforceront de résoudre à l’amiable tout différend susceptible d’intervenir entre elles à l’occasion de la formation, l’interprétation, l’exécution et / ou la rupture du Contrat. A défaut d’accord amiable, les tribunaux du siège du Prestataire seront seuls compétents, même en cas de pluralité de défendeurs ou d'appels en garantie.

Translation - English LIMITATION OF LIABILITY
The Client acknowledges that the Provider has fulfilled his pre-contractual duty of advice and information, and that he is bound by a duty to exercise skill and care under the Contract.
The liability of the Provider or of any other person whatsoever having taken part in the creation, production or commercialisation of the Service may only be enforced in respect of damages directly linked to the use of the Services and , if such is the case, of the Associated Softwares according to the provisions of the Contract, and provided that the Client establishes a direct link between the alleged prejudice and the proof of a breach of the Provider’s contractual obligations.
FORCE MAJEURE
No Party shall become liable against the other one in case of non-fulfilment of its contractual obligations as long as it is hindered by a force majeure event.
For the purposes of the Contract, a force majeure event shall mean any uncontrollable, unpredictable and exterior event refraining one of the Parties from carrying out its obligations as provided for under the Contract such as, notably (i) fires, floods and other natural disasters, a national telecommunication provider defaulting, work conflicts leading to a national or sectorial strike (ii) a supplier or partner defaulting providing that such default was uncontrollable and/or (iii) a change to any regulations applicable to the carrying out of the Contract showing such characteristics.
In the first place, a force majeure event freezes contractual obligations. As soon as the hindering due to the force majeure event ceases, such obligations start to run again for the remainder of the duration as from the time of ceasing as well as for the time during which they had ceased.
APPLICABLE LAW AND JURISDICTION
The Contract is subject to English law. The Parties shall use their best endeavours to reach an amicable solution to any dispute that may arise between them when the Contract is being concluded, interpreted, executed and/or breached. In the event of an amicable agreement failing to be reached, the jurisdiction tribunals at the Provider’s registered office will solely be competent, even if there are several defendants or third party notices.

AA US Equity USD is part of Global Fund, an open-ended collective investment scheme subject to Irish law and authorised by the Central Bank of Ireland as an UCITS organised in accordance with the rules of the European Directive 85/611/CE. Société Générale, 29 Boulevard Haussmann, 75 009 Paris, France, is Global Fund’s centralising agent in France.

Since then I have become the official proof reader for all legal and financial articles published by Bruylant in quarterly technical magazines and reviews.
