This Stock Pledge Agreement (the “Agreement”) is made as of December 1st, 2000 by and between:
(a) AAAAA., a Borrower duly incorporated and validly existing under the laws of the Federative Republic of Brazil, with its headquarters at Rua Xxxxxx, 000, buildings 1 and 2, in the city of XXXXX, in the State of XXXXX, enrolled with the Corporate Taxpayers’ Register (CNPJ) under nº 00.000.000/0001-00, herein represented, in accordance with its Articles of Association, (the “Borrower” or “Pledgor”); and
(b) BBBBBB., a Borrower incorporated under the laws of the Netherlands, with its registered office at XXXXXXXXXXX, the Secured Party under the Loan Agreement referred to below, hereby represented by their representatives (the “Lender” or “Secured Party”);
WHEREAS, the Secured Party and the Pledgor executed a Loan Agreement dated on October 1st, 2000 where the Secured Party agrees to lend to the Pledgor and the Pledgor agrees to borrow from the Secured Party the amount of USD 2,800,000 (in full: two million eight hundred thousand United States Dollars) (hereinafter referred to as the “Loan Agreement”);
WHEREAS, within the scope of the Loan Agreement, Borrower and Lender have agreed that the Pledgor should create a security interest over part of its stock, as described and identified in Annex 1 hereto;
NOW, THEREFORE, in consideration of the foregoing premises and mutual covenants contained herein, the parties hereto agree as follows:
1. Pledge; Grant of Security Interest. In order to secure the full and prompt payment, discharge and performance when due (whether at the stated maturity or by a Termination Event) of the Secured Obligation under the Loan Agreement, the Pledgor hereby pledges to the Secured Party, part of its stock stored in the addresses, as described and identified in Annex 1 hereto (the “Pledged Stock”), together with all claims, rights and remedies of the Borrower, all pursuant to the provisions of Articles of the Book III (Livro III), Section X (Título X), Chapter II (Capítulo II) of the Brazilian Civil Code. For the purposes of Article 1,424 of the Brazilian Civil Code, the Secured Obligations are estimated to be in (but expressly not limited to) the principal amount of up to USD 2,940,000 (two millions nine hundred and forty thousand Dollars of the United States of America), equivalent on the date hereof to R$ 6.348342,00, to accrue interest at a rate equal to LIBOR + 0.6 percent per annum, calculated on the basis of actual number of days elapsed, divided by 360 days. This pledge shall be in force as long as any amount (principal, interest and other amounts) is outstanding and unpaid under the Loan Agreement (the "Security Period").
2. Possession and List of the Pledged Stock: The possession of the Pledged Stock is hereby delivered to the Lender, in the person of the Borrower and the Depositories, Messrs. Yyyyyyyy and Zzzzzzzzz, who shall exercise such possession in the name, interest and on behalf of the Lender, subject to all penalties of the law.
2.1. Annex 1 lists several kinds of Pledged Stock. Provided that USD 2,940,000 (two millions nine hundred and forty thousand Dollars of the United States of America) worth of Pledged Stock is kept with the Borrower, the composition of the Pledged Stock may vary between the several kinds of Pledged Stock, without the need of any amendment to Annex 1 hereto. Upon request of the Lender, Borrower and the Depositories shall, at any time, immediately supply to Lender a list of the Pledged Stock hereunder, indicating the places where the Pledged Stock are then located, provided that, only the premises indicated in Annex 1 are allowed to store Pledged Stock.
2.2. Failure to comply with any of the covenants listed in this Section 2, including, without limitation, those concerning the perfection and/or enforcement of this Pledge shall, if not cured within 15 (fifteen) days from the receipt of appropriate notice from Lender, result in the acceleration of the Loan Agreement and shall be deemed a Termination Event for the purposes of the Loan Agreement.
3. Restriction on Transfer and Security. The Borrower may freely dispose of its stocks, provided that at least USD 2,940,000 (two millions nine hundred and forty thousand Dollars of the United States of America) worth of Pledged Stock are kept in Borrower’s property, what means that there is no restriction to transfer the Borrower’s stocks if the Borrower keeps a minimum of USD 2,940,000 (two millions nine hundred and forty thousand Dollars of the United States of America) worth of stocks as Pledged Stock, at its own property until termination of this Agreement.
4. Representations and Warranties. The Borrower hereby represents and warrants to the Secured Party that as at the date hereof:
(a) it is a limited liability Borrower duly incorporated under the laws of the jurisdiction of its incorporation and possesses the capacity to sue and be sued in its own name and has the power to carry out its business and to own its property and other assets;
(b) the execution, delivery, performance and grant of the Security hereunder have been duly authorized by all necessary corporate actions on the part of the Borrower and do not and will not (i) violate any provision of any charter or other organizational documents of the Borrower, (ii) conflict with, result in a breach of, or constitute (or, with the giving of notice or lapse of time or both, would constitute) a default under, or, except for consents and approvals that have been obtained and are in full force and effect, require the approval or consent of any person pursuant to, any material contractual obligation of the Borrower, or violate any applicable law binding on the Borrower, or (iii) result in the creation or imposition of any Security upon any Assets of the Borrower or any income or profits therefrom, except for the Security created in favor of the Secured Party, for the benefit of the Secured Parties, under this Agreement;
(c) the Borrower is the legal and beneficial owner of the Pledged Stock;
(d) the Pledged Stock are free and clear of any Security (save for those created by or pursuant to this Agreement) and any other rights or interests (including, without limitation, any licenses) in favor of third parties;
(e) the Borrower has received no notice of any adverse claims by any person in respect of the ownership of the Pledged Stock or any interest therein nor has any acknowledgement been given to any person in respect hereof; and
(f) the Borrower has not amended, waived or released any provision or breach of or terminated any material contract or legal obligation.
5. Covenants. The Borrower covenants and agrees with the Secured Party that for the duration of the Security Period:
(a) upon occurrence of an Termination Event, in accordance with Clause 6 of the Loan Agreement, the Secured Party may enforce this pledge and sell all or part of the Pledged Stock, in or out of court, and use the proceeds thereof to pay all obligations in connection with the Loan Agreement, provided that, after such payment is made in full, and there is no amount outstanding under the Loan Agreement, any excess shall be returned to Borrower, after the deduction of any expense resulting from the perfection and the enforcement of this pledge. The Depositories shall comply with any and all instructions issued by the Lender in order to enforce this pledge.
(b) at any time and from time to time, upon the written request of the Secured Party, and at the sole expense of the Pledgor, the Pledgor will promptly and duly execute and deliver such further instruments and documents and take such further actions as the Secured Party may reasonably request for the purposes of obtaining or preserving the full benefits of this Agreement and of the rights and powers herein granted.
(c) the Borrower shall not, make or agree to make any amendment, waiver or release of the Pledged Stock or permit any breach or default hereunder to exist with respect to any of the Pledged Stock including, without limitation, the giving, withholding or granting of any consents, waiver, notice, approval or discharge to any person in respect of its rights or obligations in connection with any of the Pledged Stock.
(d) subject to the Loan Agreement, without the prior written consent of the Secured Party, or otherwise established by the parties herein, the Pledgor will not (i) create, incur or permit to exist any Security with respect to any of the Pledged Stock, or any interest therein, except for the Security created hereby; or (ii) sell, assign, transfer, exchange, or otherwise dispose of the Pledged Stock, pursuant to the provisions in Section 3. The Pledgor will defend the right, title and interest of the Secured Party in and to the Pledged Stock against the claims and demands of all persons whomsoever.
(e) the Borrower will notify the Secured Party of the occurrence of any event, which results in or may be expected to result in any of the representations and warranties contained in Section 4 hereof being untrue.
6. Insurance.
6.1 Undertakings: The Borrower shall at all times during the subsistence of this Agreement keep the Pledged Stock insured;
6.2 Default: If the Borrower defaults in complying with Clause 6.1 (Insurance: Undertakings), the Secured Party may effect or renew any such insurance on such terms, in such name(s) and in such amount(s) as it reasonably considers appropriate, and all monies expended by the Secured Party in doing so shall be reimbursed by the Borrower to the Secured Party on demand and shall carry interest from the date of payment by the Secured Party until reimbursed.
7. Amendments, etc., with Respect to the Secured Obligations. The Borrower shall remain obligated hereunder, and the Pledged Stock shall remain subject to the security interests granted hereby, at all times until expiry of the Security Period notwithstanding that, without limitation and without any reservation of rights against the Borrower, and without notice to or further assent by the Borrower:
(a) any demand for payment of any of the Secured Obligations made by any Secured Party may be rescinded by such Secured Party in accordance with the terms of the Loan Agreement;
(b) any failure to realize the value of any other Security in respect of the Secured Obligations or any release, discharge, exchange or substitution of any such Security;
(c) the liability of the Pledgor or any other third party upon or for any part of the Secured Obligations, or any Security or guarantee therefore or right of setoff with respect thereto, is, from time to time, in whole or in part, renewed, extended, amended, modified, accelerated, compromised, waived, surrendered, or released by the Secured Party;
(d) the Loan Agreement is amended, modified or supplemented, in whole or in part, in accordance with the terms of such agreement;
(e) any guaranty, right to setoff or other Security at any time held by the Secured Party for the payment of the Secured Obligations may be sold, exchanged, waived, surrendered or released; and
(f) any other act, event or omission which but for this provision would or might operate or impair, discharge or otherwise affect the obligations of the Pledgor hereunder, except in the case of law or judicial order.
8. Certain Waivers by the Borrower. The Secured Party shall have any obligation to protect, secure, perfect or insure any other Security at any time held by it as security for the Secured Obligations or any property subject thereto. The Borrower waives any and all notice of the creation, renewal, extension or accrual of any of the Secured Obligations and notice of, or proof of reliance by, the Secured Party upon this Agreement; the Secured Obligations shall conclusively be deemed to have been created, contracted or incurred in reliance upon this Agreement; and all dealings between the Borrower, on the one hand, and the Secured Party, on the other, shall likewise be conclusively presumed to have been had or consummated in reliance upon this Agreement.
9. Pursuit of Rights and Remedies against the Borrower. When pursuing its rights and remedies hereunder against the Borrower, the Secured Party may, but shall be under no obligation to, pursue such rights and remedies as it may have against any third party or against any Security for or guaranty of the Secured Obligations or any right of offset with respect thereto, and any failure by the Secured Party to pursue such other rights or remedies or to collect any payments from such third party or to realize upon any such security or guaranty or to exercise any such right to set off, or any release of such third party or of any such Security, guaranty or right of offset, shall not relieve the Borrower of any liability hereunder, and shall not impair or affect the rights and remedies, whether express, implied or available as a matter of law, of the Secured Party.
10. Effectiveness of Security Interest.
10.1 The Security constituted by this Agreement and the rights of the Secured Party hereunder shall be cumulative, in addition to and independent of every other Security which the Secured Party may at any time hold for the Secured Obligations or any rights, powers and remedies provided by law.
10.2 No failure to exercise, nor any delay in exercising, on the part of the Secured Party, any right of the Secured Party hereunder shall operate as a waiver, nor shall any single or partial exercise of such rights prevent any further or other exercise of that or any other right of the Secured Party hereunder.
11. Termination and Release.
11.1 Upon full payment of the Loan Agreement, the Secured Party, upon the Pledgors’ request, at the Pledgors’ expense and in accordance with this Section 11, will release and cancel the Security constituted by this Agreement and is authorized to execute and deliver, without the need for any further authority from the Secured Party all documents reasonably necessary to evidence such release without recourse or any representation or warranty by the Secured Party.
11.2 Subject to Clause 11.1 above, upon expiry of the Security Period, then, and only then, shall this Agreement and the Security created hereby be released and this Agreement shall terminate, at the Borrower’s expense; otherwise, this Agreement and the Security created hereby shall remain in full force and effect.
12. General Provisions.
12.1 Waivers and Amendments. Notwithstanding any provisions of this Agreement, no amendment of any provision of this Agreement (including any waiver or consent relating thereto) shall be effective unless the same shall have been consented to and signed by the Secured Party.
12.2. Severability. If any provision of this Agreement shall be held to be invalid, illegal or unenforceable under applicable law in any jurisdiction, such provision shall be ineffective only to the extent of such invalidity, illegality or unenforceability, and shall not affect any other provisions hereof or the validity, legality or enforceability of such provision in any other jurisdiction. Where provisions of any applicable law resulting in such prohibition or unenforceability may be waived they are hereby waived by the Borrower and the Secured Party to the full extent permitted by applicable law so that this Agreement shall be deemed a valid and binding agreement, and the Security created hereby shall constitute a continuing first priority Security on and perfected first priority Security in the Pledged Stock, in each case enforceable against the Borrower in accordance with its terms.
12.3. Complete Agreement; Successors and Assigns. This Agreement is intended by the parties as the final expression of their agreement regarding the subject matter hereof and as a complete and exclusive statement of the terms and conditions of such agreement. This Agreement shall be binding upon and inure to the benefit of the parties hereto and their respective successors and permitted assigns. The Borrower may not assign or transfer any of its rights or obligations under this Agreement, except to the extent permitted under the terms of the Loan Agreement.
12.4. Waiver of Immunity. To the extent that the Borrower has or hereafter may be entitled to claim or may acquire, for itself or any of the Pledged Stock pledged by it pursuant to this Agreement, any immunity from suit, jurisdiction of any court or from any legal process (whether through service of notice, attachment prior to judgment, attachment in aid of execution, or otherwise) with respect to itself or the Pledged Stock, it hereby irrevocably waives such immunity in respect of its obligations hereunder to the extent permitted by applicable law.
12.5. Governing Law; Jurisdiction. This Agreement shall be governed by and construed and interpreted in accordance with Brazil laws. The parties hereto irrevocably submit to the non-exclusive jurisdiction of the courts sitting in the City of São Paulo, State of São Paulo, Brazil, in any action or proceeding to resolve any dispute or controversy related to or arising from this Agreement and the parties hereto irrevocably agree that all claims in respect of such action or proceeding may be heard and determined in such courts with the express exclusion of any other jurisdiction, however privileged it may be.
12.6. Notices. Any notice or other communication to be given under this Agreement shall be given in writing in English and, unless otherwise provided, shall be made by fax or letter to the relevant party at its address or facsimile number (notified by that party to the other parties in writing).
12.7. Specific Performance. For the purposes hereof, the Secured Party may seek the specific performance of the obligations undertaken herein by the Borrower, as provided in Articles 461, 461-A, 621, 632 and 639 of the Brazilian Civil Procedure Code.
12.8. Further Assurance. The Borrower shall, at its own expenses, register this agreement with the appropriate public registrars, within 30 (thirty) days from the date hereof. The Borrower shall from time to time and at its own expense, give such assurances and do all such things as the Secured Party may reasonably require or consider desirable to enable the Secured Party to perfect, preserve or protect the security or to exercise any of the rights conferred on the Secured Party by this Agreement or any law and to that intent the Pledgor shall execute all such instruments, deeds and agreements, obtain all consents, approvals and other authorizations necessary to create legally and validly, without any breach of contract or duty, the security intended to be created by this Agreement and shall give all such notice and directions as the Secured Party may consider expedient.
IN WITNESS WHEREOF, the parties have caused this Agreement to be duly executed in eight (2) counterparts equal in shape and form, in the presence of the undersigned witnesses.

CONTRATO DE PENHOR DE ESTOQUE
Este Contrato de Penhor de Estoque (o “Contrato”) é celebrado em 1 de dezembro de 2000 por:
(a) AAAAA., Mutuário devidamente organizado e com existência válida segundo as leis da República Federativa do Brasil, com sede à Rua Xxxxxx, 000, edifícios 1 e 2, na cidade de XXXXX, no Estado de XXXXXXX, cadastro no CNPJ/MF sob nº 00.000.000/0001-00, aqui representado, nos termos de seus Estatutos, (o “Mutuário” ou “Devedor Pignoratício”); e
(b) BBBBBB., Mutuário organizado segundo as leis da Holanda, com seu escritório registrado à XXXXXXXXXXXX, a Parte Afiançada nos termos do Contrato de Empréstimo mencionado a seguir, aqui representado por seus representantes (o “Mutuante” ou “Parte Afiançada”);
CONSIDERANDO QUE, a Parte Afiançada e o Devedor Pignoratício assinaram um Contrato de Empréstimo em 1 de outubro de 2000 onde a Parte Afiançada concorda em emprestar ao Devedor Pignoratício, e este concorda em tomar emprestado da Parte Afiançada um montante de US$ 2.800.000 (por extenso: dois milhões, oitocentos mil Dólares Americanos) (doravante denominado “Contrato de Empréstimo”);
CONSIDERANDO QUE, no escopo do Contrato de Empréstimo, o Mutuário e o Mutuante concordaram que o Devedor Pignoratício deveria criar um direito real de garantia sobre parte de seu estoque, conforme descrito e identificado no Anexo 1 deste instrumento;
AGORA, PORTANTO, em consideração das premissas precedentes e dos acordos mútuos aqui contidos, as partes deste instrumento concordam com o seguinte:
1. Penhor; Concessão de Direito Real de Garantia. De maneira a garantir o pagamento, a quitação e o cumprimento integral e imediato quando for devida (seja no vencimento declarado ou por um Evento de Extinção) a Obrigação Afiançada nos termos do Acordo de Empréstimo, por este instrumento o Devedor Pignoratício penhora à Parte Afiançada parte de seu Estoque armazenado nos endereços descritos e identificados no Anexo 1 deste instrumento (o "Estoque Penhorado"), juntamente com todas as demandas, direitos e remédios jurídicos do Mutuário, tudo de acordo com as provisões dos Artigos do Livro III, Título X, Capítulo II do Código Civil Brasileiro. Para os fins do Artigo 1.424 do Código Civil Brasileiro, as Obrigações Afiançadas são estimadas no (mas expressamente não se limitam ao) montante principal de até US$ 2.940.000 (dois milhões, novecentos e quarenta mil Dólares Americanos), equivalentes na presente data a R$ 6.348.342,00, a serem acrescidos de juros de taxa igual à LIBOR + 0,6 por cento ao ano, calculados com base no número real de dias decorridos, dividido por 360 dias. Este penhor terá validade por tanto tempo quanto qualquer montante (principal, juros ou outros montantes) estiver pendente e não tiver sido pago nos termos do Contrato de Empréstimo (o “Período de Garantia”).
2. Posse e Listagem do Estoque Penhorado: A posse do Estoque Penhorado é aqui entregue ao Mutuante, na pessoa do Mutuário e dos Depositários, Srs. Yyyyyyyyy e Zzzzzzzzzz, que exercerão tal posse em nome e em proveito do Mutuante, sujeitos a todas as penalidades previstas em lei.
2.1. O Anexo 1 relaciona vários tipos de Estoque Penhorado. Desde que um valor equivalente a US$ 2.940.000 (dois milhões, novecentos e quarenta mil Dólares Americanos) em Estoque Penhorado seja mantido com o Mutuário, a composição do Estoque Penhorado pode variar entre os vários tipos de Estoque Penhorado, sem a necessidade de qualquer alteração do Anexo 1 deste instrumento. Através de solicitação do Mutuante, o Mutuário e os Depositários devem, a qualquer tempo, fornecer imediatamente ao Mutuante uma lista de itens do Estoque Penhorado nos termos deste instrumento, indicando os locais onde o Estoque Penhorado está localizado, considerando que somente as dependências indicadas no Anexo 1 são permitidas para o armazenamento do Estoque Penhorado.
2.2. A falha em cumprir com quaisquer dos acordos listados nesta Seção 2, incluindo mas não se limitando àqueles relativos ao aperfeiçoamento e/ou à execução deste Penhor deve, se não remediada no prazo de 15 (quinze) dias contados do recebimento da devida notificação do Mutuante, resultar na antecipação do vencimento do Contrato de Empréstimo, sendo considerada um Evento de Extinção para fins do Contrato de Empréstimo.
3. Restrição à Transferência e Garantia. O Mutuário pode dispor livremente de seus estoques, desde que pelo menos um valor de US$ 2.940.000 (dois milhões, novecentos e quarenta mil Dólares Americanos) em Estoque Penhorado seja mantido na propriedade do Mutuário, o que significa que não há restrição para transferir os estoques do Mutuário se o mesmo mantiver um valor mínimo de US$ 2.940.000 (dois milhões, novecentos e quarenta mil Dólares Americanos) em estoques como Estoque Penhorado, em sua própria propriedade até o término deste Contrato.
4. Declarações e Garantias. O Mutuário aqui declara e garante à Parte Afiançada que, na presente data:
(a) é uma sociedade por cotas de responsabilidade limitada devidamente organizada segundo às leis da jurisdição de sua incorporação, possuindo a capacidade de processar e ser processada em seu próprio nome, tendo o poder de realizar seus negócios e de possuir suas propriedades e outros ativos;
(b) a assinatura, entrega, cumprimento e concessão da Garantia aqui estipulada foi devidamente autorizada por todas as ações corporativas necessárias de parte do Mutuário e não (i) infringem ou infringirão qualquer cláusula de qualquer contrato social ou de outros documentos corporativos do Mutuário, (ii) conflitam ou conflitarão com, resultam ou resultarão na quebra de, ou constituem ou constituirão (ou, através da notificação ou decorrer de prazo ou ambos, constituiriam) um descumprimento de, ou, exceto por consentimentos e aprovações que foram obtidas e estão em pleno vigor, demandam ou demandarão a aprovação ou consentimento de qualquer pessoa de acordo com, qualquer obrigação contratual material do Mutuário, ou violam ou violarão qualquer legislação aplicável a qual o Mutuário está submetido, ou (iii) resultam ou resultarão na criação ou imposição de qualquer Garantia sobre quaisquer Ativos do Mutuário ou qualquer renda ou lucros daí derivados, exceto pela Garantia criada em favor da Parte Afiançada, em benefício das Partes Afiançadas nos termos deste Contrato;
(c) o Mutuário é o proprietário legal e titular de direito real do Estoque Penhorado;
(d) o Estoque Penhorado está livre e desembaraçado de qualquer ônus (exceto por aqueles criados por ou de acordo com este Contrato) e de quaisquer outros direitos ou direitos reais (incluindo, sem limitação, quaisquer licenças) em favor de terceiros;
(e) o Mutuário não recebeu qualquer notificação sobre quaisquer processos contenciosos por parte de qualquer pessoa em relação ao Estoque Penhorado ou sobre qualquer direito real sobre o mesmo, nem teve a confirmação dada a qualquer pessoa com relação ao mesmo; e
(f) o Mutuante não alterou, renunciou ou liberou qualquer provisão ou infração do, ou rescindiu contrato material ou obrigação legal.
5. Acordos. O Mutuário acorda e contrata com a Parte Afiançada que pela vigência do Período de Garantia:
(a) na ocorrência de um Evento de Extinção, de acordo com a Cláusula 6 do Contrato de Empréstimo, a Parte Afiançada poderá executar este penhor e vender o todo ou parte do Estoque Penhorado, dentro ou fora do tribunal, e utilizar os resultados do mesmo para pagar todas as obrigações relacionadas com o Contrato de Empréstimo, desde que, depois que tais pagamentos tenham sido realizados integralmente e não existam valores pendentes nos termos do Contrato de Empréstimo, qualquer valor em excesso seja devolvido ao Mutuário, depois da dedução de quaisquer despesas resultantes do aperfeiçoamento e da execução deste penhor. Os Depositários deverão cumprir com todas e quaisquer instruções emitidas pelo Mutuante para executar este penhor.
(b) a qualquer tempo e regularmente, através de solicitação por escrito da Parte Afiançada, e exclusivamente às expensas do Devedor Pignoratício, este deve assinar e entregar imediata e devidamente os instrumentos e documentos adicionais solicitados e adotar as ações adicionais solicitadas de maneira cabível pela Parte Afiançada para fins da obtenção ou preservação dos benefícios integrais deste Contrato e dos direitos e poderes aqui concedidos.
(c) o Mutuário não deve fazer ou concordar em fazer qualquer alteração, renúncia ou liberação do Estoque Penhorado ou permitir qualquer quebra ou infração nos termos deste instrumento em relação a qualquer item do Estoque Penhorado incluindo, sem limitação, a dação, retenção ou concessão de quaisquer consentimentos, renúncias, notificações, aprovações ou quitação para qualquer pessoa em relação a seus direitos ou obrigações em relação a qualquer item do Estoque Penhorado.
(d) sujeito ao Contrato de Empréstimo, sem o consentimento prévio por escrito da Parte Afiançada, ou de outra forma aqui estabelecido pelas partes, o Devedor Pignoratício não deve (i) criar, incorrer ou permitir a existência de qualquer Garantia com relação a qualquer item do Estoque Penhorado, ou de qualquer direito real sobre o mesmo, exceto pela Garantia aqui criada; ou (ii) vender, ceder, transferir, trocar ou de outra forma dispor do Estoque Penhorado, de acordo com as provisões da Seção 3. O Devedor Pignoratício defenderá o direito, título ou direito real da Parte Afiançada sobre e do Estoque Penhorado contra ações judiciais e demandas por parte de qualquer pessoa que seja.
(e) o Mutuante notificará a Parte Afiançada sobre a ocorrência de qualquer evento, que resulte ou que se possa esperar que resulte do fato de não serem verdadeiras quaisquer das declarações e garantias contidas na Seção 4 deste instrumento.
6. Seguro.
6.1 Compromissos: O Mutuário deve, em todos os momentos da vigência deste Contrato, manter o Estoque Penhorado segurado;
6.2 Descumprimento: Se o Mutuário falhar em cumprir com a Cláusula 6.1 (Seguro: Compromissos), a Parte Afiançada poderá executar ou renovar qualquer seguro em tais prazos, nomes e montantes que considere razoavelmente apropriados, sendo que todos os recursos gastos pela Parte Afiançada para fazê-lo deverão ser reembolsados pelo Mutuário à Parte Afiançada por solicitação da mesma e deverão ter aplicados juros a partir da data do pagamento feito pela Parte Afiançada até o reembolso.
7. Alterações, etc., em Relação às Obrigações Afiançadas. O Mutuário deve permanecer obrigado nos termos deste contrato, e o Estoque Penhorado deve permanecer sujeito aos direitos reais de garantia aqui concedidos, em todos os momentos até a expiração do Período de Garantia não obstante, sem limitação e sem qualquer reserva de direitos contra o Mutuário, e sem notificação ao ou assentimento pelo Mutuário:
(a) qualquer demanda pelo pagamento de qualquer das Obrigações Afiançadas feita por qualquer Parte Afiançada possa ser rescindida por tal Parte Afiançada de acordo com os termos do Contrato de Empréstimo;
(b) qualquer falha em liquidar o valor de qualquer outra Garantia em relação às Obrigações Afiançadas ou qualquer liberação, quitação, troca ou substituição de qualquer Garantia;
(c) a responsabilidade do Devedor Pignoratício ou de qualquer terceiro sobre ou por qualquer parte das Obrigações Afiançadas, ou qualquer Garantia ou fiança das mesmas ou direito de compensação com relação às mesmas, seja regularmente, em todo ou em parte, renovada, prorrogada, alterada, modificada, antecipada, comprometida, renunciada, abandonada ou liberada pela Parte Afiançada.
(d) o Contrato de Empréstimo seja alterado, modificado ou suplementado, no todo ou em parte, de acordo com os termos de tal contrato;
(e) qualquer fiança, direito de compensação ou outra Garantia a qualquer tempo possuída pela Parte Afiançada para o pagamento das Obrigações Afiançadas possa ser vendida, trocada, renunciada, abandonada ou liberada; e
(f) qualquer outro ato, evento ou omissão que, exceto por esta provisão, operaria ou poderia operar ou prejudicar ou de outra maneira afetaria ou poderia afetar as obrigações do Devedor Pignoratício nos termos deste contrato, exceto em caso legal ou de ordem judicial.
8. Certas Renúncias pelo Mutuário. A Parte Afiançada tem a obrigação de proteger, assegurar, aperfeiçoar ou segurar qualquer outra Garantia a qualquer tempo possuída pelo mesmo como garantia para as Obrigações Afiançadas ou de qualquer outra propriedade sujeita a este instrumento. O Mutuário renúncia a toda e qualquer notificação da criação, renovação, prorrogação ou provisão de quaisquer das Obrigações Afiançadas e notificação de, ou comprovação de dependência pela, Parte Afiançada deste Contrato; as Obrigações Afiançadas devem conclusivamente ser consideradas como criadas, contratadas ou incorridas em dependência deste Contrato; e quaisquer negociações entre o Mutuário, de um lado, e a Parte Afiançada, de outro, também devem do mesmo modo ser conclusivamente presumidas como tendo sido realizadas ou consumadas dependendo deste Contrato.
9. Busca de Direitos e Remédios Jurídicos contra o Mutuário. Na busca por seus direitos e remédios jurídicos contra o Mutuário, a Parte Afiançada pode, mas não está obrigada a, buscar tais direitos e remédios jurídicos que possam existir contra qualquer terceiro ou contra qualquer Garantia para ou fiança das Obrigações Afiançadas ou qualquer direito de compensação com relação às mesmas, e qualquer falha da Parte Afiançada em buscar tais outros direitos ou remédios jurídicos ou em arrecadar quaisquer pagamentos de tal terceiro ou de liquidar qualquer garantia ou fiança ou de exercer qualquer direito de compensação, ou qualquer liberação de tal terceiro ou de tal Garantia, fiança ou direito de compensação, não deve liberar o Mutuário de qualquer responsabilidade aqui contida, não devendo prejudicar ou afetar os direitos e remédios jurídicos, expressos, implícitos ou disponíveis como matéria legal, da Parte Afiançada.
10. Validade do Direito Real de Garantia.
10.1 A Garantia constituída por este Contrato e os direitos da Parte Afiançada nos termos deste instrumento são cumulativos, adicionais e independentes de qualquer outra Garantia que a Parte Afiançada tenha possuído a qualquer tempo para as Obrigações Afiançadas, ou de outros direitos, poderes e remédios jurídicos previstos em lei.
10.2 Nenhuma falha ou demora em exercer, por parte da Parte Afiançada, qualquer direito da Parte Afiançada nos termos deste instrumento pode operar como uma renúncia, nem deve qualquer exercício único ou parcial de tais direito impedir qualquer outro exercício do mesmo ou de qualquer outro direito da Parte Afiançada nos termos deste instrumento.
11. Rescisão e Liberação.
11.1 Após o pagamento integral do Contrato de Empréstimo, a Parte Afiançada, a pedido do Devedor Pignoratício e às suas custas e de acordo com esta Seção 11, liberará e cancelará a Garantia constituída por este Contrato, estando autorizada a assinar e a entregar, sem a necessidade de qualquer autorização adicional da Parte Afiançada todos os documentos cabíveis necessários para comprovar tal liberação sem recurso ou qualquer declaração ou fiança pela Parte Afiançada.
11.2 Sujeito à Cláusula 11.1 acima, na expiração do Período de Garantia, então, só então, poderão ser liberados este Contrato e a Garantia aqui criada, sendo este Contrato encerrado, às custas do Mutuário; de outro modo, o Contrato e a Garantia aqui criada devem permanecer em plena força e vigor.
12. Provisões Gerais
12.1 Renúncias e Alterações. Não obstante quaisquer provisões deste Contrato, nenhuma alteração de qualquer provisão deste Contrato (incluindo qualquer renúncia ou consentimento relacionados ao mesmo) terá força, a menos que a mesma tenha sido consentida e assinada pela Parte Afiançada.
12.2. Separação. Se qualquer provisão deste Contrato for considerada inválida, ilegal ou de execução impossível segundo a legislação aplicável de qualquer jurisdição, tal provisão não terá efeito apenas na extensão de tal invalidade, ilegalidade ou impossibilidade de ser posta em efeito, não afetando quaisquer outras provisões desde instrumento ou a validade, legalidade ou a possibilidade de executar tal provisão em qualquer outra jurisdição. Onde as provisões de qualquer legislação aplicável resultando em tal proibição ou impossibilidade de executar possam ser renunciadas, elas são aqui renunciadas pelo Mutuário e pela Parte Afiançada na medida do permitido pela legislação aplicável, de modo que este Contrato seja considerado um contrato válido e obrigatório, e a Garantia aqui criada continue a constituir uma Garantia prioritária continuada e prioritário sobre e no Estoque Penhorado, em cada caso executável contra o Mutuário de acordo com seus termos.
12.3. Contrato Integral; Sucessores e Cessionários. É intenção das partes que este Contrato seja a expressão final de seu contrato em relação à matéria de que trata o mesmo e uma declaração completa e exclusiva dos termos e condições de tal contrato. Este Contrato deve ser obrigatório e de utilidade para as partes do mesmo e para seus respectivos sucessores e cessionários autorizados. O Mutuário não pode ceder ou transferir quaisquer de seus direitos ou obrigações nos termos deste Contrato, exceto na medida do permitido nos termos do Contrato de Empréstimo.
12.4. Renúncia de Imunidade. Na medida em que o Mutuário tenha ou a partir de hoje possa ter direito a reivindicar ou possa adquirir, para si ou para qualquer item do Estoque Penhorado penhorado pelo mesmo nos termos deste Contrato, qualquer imunidade a ações legais, jurisdição de qualquer tribunal, ou a qualquer processo legal (seja através de serviço de notificação, arresto antes do julgamento, arresto em apoio à execução, ou de outro modo) em relação a si ou ao Estoque Penhorado, ele aqui renuncia irrevogavelmente a tal imunidade com relação às suas obrigações aqui contidas, até onde seja permitido pela legislação aplicável.
12.5. Legislação Aplicável, Jurisdição. Este Contrato deve ser regido, construído e interpretado de acordo com a legislação Brasileira. As partes neste instrumento irrevogavelmente se submetem à jurisdição não exclusiva dos tribunais localizados na Cidade de São Paulo, Estado de São Paulo, Brasil, em qualquer ação ou processo judicial para resolver qualquer disputa ou controvérsia relacionada ou que surja deste Contrato, sendo que as partes neste instrumento irrevogavelmente concordam que todas as reivindicações relacionadas com tal ação ou processo judicial sejam ouvidas e determinadas em tais tribunais, com exclusão expressa de qualquer outra jurisdição, por mais privilegiada que seja.
12.6. Notificações. Qualquer notificação ou outra comunicação a ser feita nos termos deste Contrato deve ser entregue no idioma inglês e, a menos que estipulado de outra forma, deve ser feita por fax ou carta à parte relevante em seu endereço ou número de fac-símile (notificada por aquela parte às outras partes por escrito).
12.7. Cumprimento Específico. Para fins deste contrato, a Parte Afiançada deve buscar pelo cumprimento específico das obrigações com as quais aqui se compromete o Mutuário, conforme estipulado nos Artigos 461, 461-A, 621, 632 e 639 do Código de Processo Civil Brasileiro.
12.8. Segurança Adicional. O Mutuário deve, às suas próprias custas, registrar este contrato nos cartórios de registro de documentos apropriados, no prazo de 30 (trinta) dias contados da presente data. O Mutuário deve regularmente e às suas próprias custas, prover tais garantias e fazer todas as coisas que a Parte Afiançada possa exigir ou considerar desejável, de forma cabível, para possibilitar que a Parte Afiançada aperfeiçoe, preserve ou proteja a garantia ou para o exercício de qualquer dos direitos conferidos à Parte Afiançada por este Contrato ou por qualquer lei, e para tal fim o Devedor Pignoratício deve assinar tais instrumentos, pactos e acordos, obter todos os consentimentos, aprovações e outras autorizações necessárias para legal e validamente criar, sem nenhuma quebra de contrato ou dever, a garantia que se pretende seja criada por este Contrato, devendo providenciar todas as notificações e orientações que a Parte Afiançada considere adequada.
COMO TESTEMUNHO, as partes celebram este Contrato em oito (2) cópias de igual conteúdo e forma, na presença das testemunhas abaixo assinadas.

From 1994 to 2003 - Worked for an international consulting firm, PCI – Pacific Consultants International, with headquarters in Tokyo, Japan. During this time, I was in charge of various research and translation jobs (EN>PT>EN; EN>ES>EN) related to projects in various fields (agriculture, environment, sanitary engineering) carried out in various Latin American countries, mainly Brazil. I also translated various contracts and business proposals for the same firm.
In 2000, I was appointed as a certified translator of English by the São Paulo State Commercial Registry (JUCESP 1032). Ever since, I have done various sworn translations for various companies (contracts, power-of-attorney, technical qualification certificates, articles of incorporation, balance sheets, etc.) and individuals (ID, school certificates, school records, etc.).
2004 & 2005 - Coordinator of the NGO-JICA Japan Desk, an information and support service provided by JICA – Japan International Cooperation Agency in Brazil for the establishment of partnerships between Japanese and Brazilian NGOs. All NGO-JICA Japan Desk materials and the communications were in English.
2005 to date - Working at my own office providing research and translation services.
