For value received and as an inducement to BP Lubricants USA Inc. d/b/a Castrol ("Castrol") to deal, directly or indirectly with _[name of account}_________ ("Debtor"), a corporation having an office and place of business in_[account address]____, from time to time and at any time and for other good and valuable consideration and to induce Castrol, in its discretion, to make such loans or extensions of credit as Castrol may deem advisable the undersigned, being a corporation duly organized and existing in the state of _____[guarantor’s state of incorporation]_________________, jointly and severally, guarantees, irrevocably and absolutely, the prompt unconditional payment when due of all present and future obligations and liabilities of any and all kinds of the Debtor to Castrol, together with interest, fees and charges of whatever kind and nature upon which the Debtor is or may become liable to Castrol.
The undersigned hereby assents that Castrol may at any time and from time to time, either before or after maturity thereof, without notice to or further consent of the undersigned, extend the time of payment of, exchange or surrender any collateral for, renew or extend any of the obligations, and may also make any agreement with Debtor or with any other party or person liable on any of the obligations, or interested therein, for the extension, renewal, payment, compromise, discharge or release thereof in whole or in part or for any modification of the terms thereof or any agreement between Castrol and Debtor or any other party without affecting or impairing this guarantee.
This guarantee shall be effective immediately and is a continuing guarantee and applies to any obligation of the Debtor to Castrol, whether now existing or hereafter arising, absolute or contingent, secured or unsecured, evidenced by a written instrument or otherwise. The undersigned waives notice of any kind with respect to the obligations or actions of the Debtor and consents to be bound by any written instrument executed by the Debtor. The undersigned hereby waives notice of acceptance of this guarantee and all such notices required or customarily given under like circumstances of the making of any such loans or extensions of credit including, but not limited to, notice of adverse change in Debtor's financial condition or of any other fact which might materially increase the risk of the undersigned hereunder, presentment for payment, notice of demand and maturity of obligations to become due, protest, notice of protest and of dishonor, and notice of default by the Debtor. The undersigned expressly consent that the time of performance of any obligations hereby secured may be extended, that Castrol may at any time require and accept other security of any nature whatsoever from the Debtor without notice to or consent from the undersigned, and that all remedies available to Castrol pursuant to this guarantee, or otherwise, are separate and cumulative remedies and no one of such remedies shall be deemed to be in exclusion of any one of the other remedies available and shall in no way limit or prejudice any other legal or equitable remedy which Castrol may have.
