Source text - English Initial thoughts on the Eurobonds and ● Eurobonds restructuring Restructuring Eurobonds can involve a lengthy legal procedure which adds a layer of complexity on top of the commercial negotiations. It therefore needs careful coordination with the rest of the restructuring process to avoid the risk of delaying or derailing completion. Specifically the difficulty stems from the jurisdiction of the bonds and their holders and the associated legal regulations and limitations. A large number of different types of investors often adds complexity and cause difficulties in reaching an acceptable commercial proposal with all of the bonds. Given your short timetable there is no margin for error and we would not recommend attempting to negotiate with the Eurobonds without an experienced advisor to assist you. Coordinating information provision and negotiations with the rest of the restructuring process is key. In addition, it is often difficult to ascertain who are the owners given they are traded. We have good contacts into the bond markets and can help identify the holders for you and corral them into a group. A successful bond restructuring procedure typically involves the following steps: - locate and identify the bondholders; - corral the largest holders into a steering committee (the “Committee”); - negotiate with the Committee the terms under which it is willing to become restricted and receive inside information; - prepare and provide information; - negotiate a deal which the Committee will irrevocably undertake to accept; - depending on the jurisdiction of the bonds, release (or ‘cleanse’) the inside information into the public domain (this is frequently a sensitive area for the Company as it does not want to freely disclose confidential information) – further legal review will be required in this regard; - go through a consent solicitation process for a set time period in which other bondholders are invited to consider the deal; - hold voting at an official meeting; and - before finally amending the bonds, you will need to, at the right time, involve and manage the bond trustee and the agent bank.
