Source text - English DELEGATION OF AUTHORITY DELEGATION OF AUTHORITY POLICY UPDATED: APRIL 2008 INTRODUCTION The Delegation of Authority Policy is the source of reference for AngloGold Ashanti officials specifying who has the authority to commit the company to legal and/or business obligations. Included herein are the specific business processes that create rights and liabilities for AngloGold Ashanti to third parties. The authority delegated in this document only relates to the specified designations and not any of the equivalent designations unless specifically stated otherwise. Currencies used are as follows: US$ = US Dollar R = South African Rand OBJECTIVES OF THE DELEGATION OF AUTHORITY POLICY The objectives are: • To delegate levels of authority to AngloGold Ashanti officials. • To provide a directive for minimising or eliminating possible risk exposure to AngloGold Ashanti resulting from the actions of its officials. • To ensure that AngloGold Ashanti officials know what their specific Authorisation limits are. • To ensure proper processes are followed by company officials when committing the Company to legal or business obligations. SCOPE The authority to commit the organisation is disseminated along broad functionality lines as follows: • AngloGold Ashanti’s Board of Directors, with its authority well defined and exclusive to the Board as governed by the Board Charter and the company’s articles of association. • The Board appointed EXCO, to which the Board delegates authority to various officials within AngloGold Ashanti. • Divisions within AngloGold Ashanti that implement the strategy formulated by both the Board and EXCO according to the authority delegated to them. • Business Units where most of the Board and EXCO created rights and obligations are executed according to the authority delegated to them. ADMINISTRATION AND CONTINUED UPGRADING The Compliance Department is the custodian of the Delegation of Authority Policy document. The Compliance Department and Internal Audit will review this Policy annually and/or when significant changes to structures take place. Annual audits will be conducted to review compliance with this policy. KEY ASSUMPTIONS All authorisation limits are assumed to be for amounts included in approved budgets. All unbudgeted expenditure transactions require the approval of the AngloGold Ashanti EXCO if they are significant to the specific region and as a guideline exceed 2% of budget and greater than US$5 million. AngloGold Ashanti Board Approval is required for all transactions that exceed 5% of budget and are greater than US$30 million. All signing authorities are for final authorisation and assume that the expenditure is being proposed and motivated by one individual and confirmed by another (normally the same level or one level below the final signatory.). This policy should be followed at all times but is mandatory for all amounts of US$20 000 and above. Transactions for amounts of US$20 000 and above without two authorised signatures may not be processed.
