The Subcontractor listed above acknowledges with his signature below that he is familiar with standards and procedures used in the installation of siding, roofing, guttering and their accessory products. Subcontractor further acknowledges that he is not an employee of Capital Construction of America, Inc. (CCOA) but is a self-employed, independent contractor and thereby agrees to the following requirements:
1. The project period begins ________________________. Performance of this Agreement shall begin on the date of execution and shall not extend beyond the end date of the Project Period unless further extended by written amendment of this Agreement.
2. CCOA will furnish all materials to be installed in accordance with plans and specifications as more particularly specified in the contract.
3. Subcontractor will furnish, at his own risk, equipment and labor necessary to install materials on all projects in accordance with the contract.
4. Subcontractor shall carry, at Subcontractor’s expense, public liability and property damage insurance and Workers Compensation insurance covering all Subcontractor’s employees. Prior to commencement of work, Subcontractor agrees to provide to CCOA certificates of such coverage upon request.
5. All of the work performed at the site of construction or in preparing or delivering materials or equipment to the site shall be at the risk of Subcontractor exclusively. Subcontractor shall indemnify and hold Contractor harmless from any claim, liability, loss, damage, cost, expense, including reasonable attorney’s fees, award, fine or judgment with respect to or arising out of the work, including without limitation, any such claims, liability, loss, damage, cost, expense, award, fine or judgment arising by death of bodily injury to persons, injury to property, defects in workmanship or materials, or design defects (if the design originated with Subcontractor), or arising by reason of Contractor’s alleged or actual negligent act or omission, regardless of whether such act or omission is active or passive.
6. The Subcontractor is an independent business entity, and as such expressly agrees that it is solely responsible for the payment of all federal, state and local taxes which any independent business is liable to pay, wages of its employees and all other operating expenses. CCOA will make no withholding. Subcontractor will not be covered by CCOA Worker’s Compensation insurance, unemployment compensation or health and medical plans.
7. Subcontractor guarantees that all materials fabricated or furnished by Subcontractor will be a standard quality, free from defects, and will be a standard quality, free from defects, and will be installed or applied in a good and workmanlike manner. Such labor and materials guaranteed for a period of one-year when subject to normal use and care.
8. Subcontractor agrees to keep the premises in a neat and safe condition and at the end of Subcontractor’s performance (or each day), Subcontractor shall leave the premises in neat broom-clean condition.
9. If Subcontractor’s work is damaged or destroyed during the course of Subcontractor’s work and said damage or destruction is a result of the negligence of Subcontractor, then Subcontractor shall agree to repair or replace said damaged work.
10. The parties hereto expressly declare that they do not intend this agreement to be construed as an employer-employee relationship and that the terms or conditions are included.
11. Subcontractor agrees to start work within 48 hours of proper notification by the Contractor and to diligently pursue work through to completion. Subcontractor shall not be responsible for delays incurred as a result of inclement weather.
12. CCOA agrees that it is Subcontractor’s responsibility to supervise his workmen, make his own work schedule, follow his own work procedures and methods and make all other decisions regarding the installation.
13. Before final payment, subcontractor will deliver to CCOA a final lien waiver in standard form certifying that all wages and material have been paid in full.
14. Capital Construction of America, Inc will pay Subcontractor for satisfactory performance 14 days from Saturday of the week that Subcontractor notified Capital Construction of America, Inc completion of work by returning a signed original work order to the billing office. If Capital Construction of America, Inc determines that Work performed by Subcontractor is unsatisfactory, payment may be withheld until such performance deficiency has been corrected.

La Empresa Subcontratista aquí mencionado reconoce con su firma al final del documento, que el está familiarizado con las normas y los prácticas que se utilizan en la instalación de los revestimientos, las cubiertas y la canalización y las accesorias de los revestimientos, las cubiertas y la canalización. 6. La Empresa Subcontratista es una entidad económica independiente. Como tal, entiende y está de acuerdo que la responsabilidad sea suya de pagar todos impuestos federales, estatales, y municipales por las el negocio independiente es responsable, tanto como pagar los saldos de sus empleados, y todos gastos de operación. CCOA no hará ninguna retención de impuestos. La Empresa Subcontratista no será cubierto por el seguro de indemnización, compensación de desempleo o seguro medico de CCOA.
7. La Empresa Subcontratista garantiza que todos los materiales fabricados o proveídos por La Empresa Subcontratista serán de cualidad estándar, sin defectos, y que serán instalados o aplicados de una manera buena y aceptable. 10. Los Partidos en virtud del presente contrato declaran expresamente de no tener la intención que éste acuerdo sea entendido como muestra de una relación empleado-empleador, y que las condiciones sean incluidas.
11. La Empresa Subcontratista comenzará realización del contrato dentro de 48 horas del momento de notificación por el Contratista. La Empresa Subcontratista no será responsable por retrasos debido a condiciones tiempo inclemente.
12. CCOA reconoce que será la responsabilidad de La Empresa Subcontratista de supervisar sus empleados, formular y organizar su propio horario, procedimientos, métodos y técnicas de trabajo, y de tomar todas decisiones con respecto a la tarea de instalación.
13. Antes del pago final, La Empresa Subcontratista entregará a CCOA un documento estándar de renuncia de derecho de retención, certificando que todos los sueldos y los materiales han sido completamente pagado.
14. Capital Construction of America, Inc. Pagará al Subcontratista por la realización y cumplimiento satisfactorio de la tarea del contrato 14 días después del sábado de la notificación de parte de La Empresa Subcontratista a CCOA de la conclusión de tarea, entregando una copia de la solicitación de tarea original y firmada a la oficina de facturación y cobros de CCOA.
