The Company will employ Mr xxxxxxxxxxxxxxxxxx as Technical Director responsible for the radio guided machine control mechanisms on the terms and conditions set forth in this agreement. He will serve the Company and its subsidiaries (the “Companies”).
The contract concluded for an indefinite period of time hereof is governed by the provisions of the Collective bargaining agreement of the “Commerce de gros”. This position falls within the Executive/Management (“Cadre”) level X grade 1. In his capacity as Technical Director, Mr xxxxxxxxxxxxxxxxxxxxxx will report to the President of the company
The Employment will continue until terminated by either party in accordance with clause 10 below.
2. DUTIES AND OBLIGATIONS
Mr xxxxxxxxxxxxxxxxxxxxxx shall manage the Companies technical operations in particular as they relate to radio guided machine control mechanisms. He must comply with all instructions of the President.
Mr xxxxxxxxxxxxxxxxxxxxxx must devote the whole of his time during normal business hours to the duties of the Employment and such additional time as is necessary for the proper fulfillment of those duties.
Mr xxxxxxxxxxxxxxxxxxxxx must not accept any appointment to any office in relation to any body, whether corporate or not, or directly or indirectly be interested in any manner in any other business without the prior consent of the President.

Le contrat est conclu pour une durée indéterminée. Il est régi par les dispositions de la Convention collective Commerce de gros. Ce poste relève de la catégorie « Direction/Management » (« Cadre ») de niveau X, échelon 1. En sa qualité de Directeur technique, M. xxxxxxxxxxxxxxx rendra compte au Président de la Société.
Le contrat restera en vigueur jusqu’à sa résiliation par l’une ou l’autre des parties conformément à la clause 10 ci-dessous.
2. TÂCHES ET OBLIGATIONS
M. xxxxxxxxxxxxxxxxxxxxxxxxxx dirigera les opérations techniques des Sociétés et, plus particulièrement, celles relatives aux mécanismes de contrôle des machines radioguidées. Il devra se conformer aux instructions du Président.
Pendant les heures normales d’affaires, M. xxxxxxxxxxxxxxxxxxxxxx devra consacrer l’intégralité de son temps à ses fonctions. Il devra en outre utiliser tout temps supplémentaire nécessaire pour accomplir adéquatement ses tâches.
Sans le consentement préalable du Président, M. xxxxxxxxxxxxxxxx ne peut accepter quelconque fonction concernant toute entité, morale ou non, ni détenir dans toute autre entreprise, directement ou indirectement, de participation de quelque manière que ce soit.

2, The following clauses of Table "A" namely, 24, 41 to 44 inclusive, 55, 64, 77, 78, 79, 81, 82, 90 to 99 inclusive, 101, and 114 to 123 inclusive, and 128, shall not apply or are modified as hereinafter appearing.
3, The Company is a Private Company and accordingly:-
(a) the right to transfer shares is restricted in manner hereinafter prescribed;
(b) the number of members of the company (exclusive of persons who are in the employment of the company and of persons who having been formerly in the employment of the company were while in such employment and have continued after the determination of such employment to be members of the company) is limited to 50. Provided that where 2 or more persons bold one or more shares in the company jointly they shall for the purpose of this regulation be treated as a single member;
(c) any invitation to the public to subscribe for any shares or debentures of the company is prohibited;
(d) the company shall not have power to issue share warrants to bearer.
