In these Conditions, unless the context otherwise requires:
1.1 “Additional Expenses” has the meaning given to it in Clause 5.
1.2 “Additional Labour Costs” has the meaning given to it in Clause 5.1(c).
1.3 “Banking Day” means a day on which banks are open for business in London, England.
1.4 “Conditions” means the terms and conditions set out in this document and its appendices and any other special terms and conditions agreed in writing by the Seller.
1.5 “Disbursements” has the meaning given to it in Clause 5.1(b).
1.6 “Goods” means the goods more particularly described in each Quotation.
1.7 “Guarantee” has the meaning given to it in Clause 9.1.
1.8 “Installation Date” means the date on which the Seller certifies to the Purchaser that the installation and any commissioning of the Goods has been completed.
1.9 “Offer Letter” means the letter addressed to the Purchaser by the Seller to which these Conditions are annexed.
1.10 “Purchaser” means the company which purchases or agrees to purchase the Goods
and pay for the Services.
1.11 “Quotations” means the quotations attached hereto and such additional quotations as may be issued by the Seller to the Purchaser.
1.12 “Quotation Price” means the price for the Goods and/ or Services specified in each Quotation excluding any Additional Expenses.
1.13 “Seller” means Advanced New Technologies Limited of 47a Stockholm Road, Sutton Fields Industrial Estate, Kingston upon Hull, East Yorkshire, HU7 0XW.
1.14 “Services” means the installation of the Goods on board the Vessel and/ or the services more particularly described in each Quotation (including, in either case, any design and engineering work incidental thereto).
1.15 “Vessel” means the vessel registered in the ownership of, and/ or beneficially owned by, the Purchaser as more particularly described in the Offer Letter.
2 Scope
2.1 These Conditions shall apply to the sale of the Goods and to the provision of the Services particularised in the Quotations accepted by the Purchaser, such Goods and Services to be supplied or provided as the case may be on board the Vessel at the port specified in the Offer Letter.
2.2 These Conditions supersede all previous agreements and understandings between the Purchaser and the Seller and shall apply to the exclusion of all other terms and conditions indorsed upon, delivered with or referred to in any purchase order, acceptance of order or any document delivered by the Purchaser or any counter-offer made to the Seller save to the extent that any amendment to or variation of these Conditions is expressly accepted by the Seller in writing.

В настоящих Условиях, если иное не указано по контексту:
1.1 «Дополнительные расходы» имеет определение, указанное в Статье 5.
1.2 «Дополнительные затраты на оплату труда» имеет определение, указанное в Статье 5.1(c).
1.3 «Банковский рабочий день» означает рабочий банковский день в Лондоне, Англия.
1.4 «Условия» означает термины и условия заданные в данном документе и его приложениях и, также термины и условия, согласованные с Продавцом в письменной форме.
1.5 «Платежи» имеет определение, указанное в Статье 5.1(b).
1.6 «Товар» означает товары более детально описанные в каждом Ценовом Предложении.
1.7 «Гарантии» имеет определение, указанное в Статье 9.1.
1.8 «Дата установки» означает дату, когда Продавец подтверждает Покупателю, что установка и ввод в эксплуатацию Товара завершена.
1.9 «Оферта» означает такое письмо Продавца к Покупателю, к которому данные условия прилагаются.
1.10 «Покупатель» означает компанию, которая покупает или соглашается купить Товар
и оплатить Услуги.
1.11 «Ценовые предложения» означает соответствующие прилагаемые ценовые предложения и подобные дополнительные ценовые предложения, представленные Продавцом для Покупателя.
1.12 «Цена предложения» означает цену Товара и/или стоимость Услуг, указанную в каждом Ценовом Предложении, исключающую какие-либо Дополнительные Расходы.
1.13 «Продавец» означает компанию Advanced New Technologies Limited, расположенную по адресу: 47a Stockholm Road, Sutton Fields Industrial Estate, Kingston upon Hull, East Yorkshire, HU7 0XW.
1.14 «Услуги» означает установку Товара на борту Судна и/ или услуги более детально описанные в каждом Ценовом Предложении (включая, в любом случае, всякую сопутствующую работу по проектированию и инженерному обеспечению).
1.15 «Судно» означает судно, зарегистрированное в собственности и/ или во владении Покупателем, более детально описанное в Оферте.
2 Сфера применения
2.1 Данные Условия распространяются на продажу Товара и на оказание Услуг, детально описанные в акцептованном Покупателем Ценовом Предложении, на Товар и Услуги поставляемые или предоставляемые, в зависимости от обстоятельств, на борту Судна в порту, указанном в Ценовом Предложении.
2.2 Данные Условия заменяют все предыдущие соглашения и договоренности между Покупателем и Продавцом и применяются для исключения содержащихся в них всех иных принятых терминов и условий, относящихся к ним заказов на покупку, акцептованных заказов, других иных документов, представленных Покупателем, либо встречных оферт, представленных Продавцу, за исключением случаев, когда дополнение или изменение данных Условий недвусмысленно принимается Продавцом в письменном виде.
