d) To receive, from any assets held by the Company pursuant to any of the provisions of this Clause, dividends, capital gains, interest and any other income derived from investments including income or gains on their disposal, rents, royalties and similar income whether arising in or outside of XY, and profits or gains attributable to a permanent establishment (including a branch) whether situated in or outside XY.
e) To subscribe for, acquire, hold, dispose of or otherwise deal with any shares, stock, debentures, debenture stock, bonds, notes, options, interests in or securities of alt kinds of any company, corporation, entity, partnership or other body of persons.
f) To borrow, raise or secure the payment of money for the purpose of or in connection with the Company's business, by any means including without limitation, the issue of debentures, debenture stock (perpetual or terminable), bonds, mortgages, or any other securities founded or based upon all or any of the movable or immovable property of the Company including its uncalled capital or without any such security and upon such terms as to priority or otherwise as the Company shall think.
9) To guarantee repayment of indebtedness of any person although not in furtherance of its corporate purpose, and whether or not the Company receives any consideration or derives any direct or indirect benefit therefrom, and to secure such guarantee by means of a hypothec, pledge, privilege, lien and/or mortgage over the assets of the Company.
h) To lend or advance money, with or without security, as may be required in connection with the Company's business.
i) To purchase, take on lease, exchange, acquire by any title any equipment, office or
other property and any right or privileges or easements over or in respect of any such property necessary to carry on the business of the Company and to fumish any office or other property necessary for the development of the Company.
j) To construct, improve and manage offices, stores or other buildings, which may be required in connection with the Company's business.
k) To sell, lease, hypothec or otherwise dispose of the whote or any part of the property or assets of the Company.
I) To do all such other things as are incidental or conductive to the attainment of the objects and the exercise of the powers of the Company.

Nothing in the foregoing shali be construed as enabling or empowering the Company to carry out any activity or service which requires a licence or is otherwise regulated under the Banking Act, 1994, the Financial Institutions Act, 1994 and the Investments Services Act, 1994, without a licence or other appropriate authorisation from the respective competent authority.
4. POWERS OF THE COMPANY
In attaining its objects, the Company shall have the following powers:
a) To appoint agents of the Company in any part of the world;
b) To subcontract any of its work, engagements, contracts or instructions;
c) To enter into partnership, joint venture or into any arrangement for sharing profits, union of interests, reciproca! concession, or co-operation with any person or Company carrying on or engaged in or about to carry on or engage in any business or transaction which the Company is authorised to carry on or engage in, and which is capable of being conducted so as directly or indirectly to benefirt the Company, and to take or otherwise acquire and botti Shares or stock in or securities of any such Company and to subsidise or otherwise assist any such person or Company;

Share capital and variation of rights
Issuing of shares
1. The company is a private company and accordingly
(a) the right to transfer shares is restricted in a manner hereinafter
prescribed;
(b) the number of members of the company is limited to fifty; and
(c) any invitation to the public to subscribe for any shares or debentures of the company is prohibited.
2. Without prejudice to any special rights previously conferred on the holders of any existing shares or class of shares, any share in the company may be issued with such preferred, deferred or other special rights or such restrictions, whether in regard to dividend, voting, return of capita! or otherwise as the company may from time to time by ordinary resolution determination.
3. Subject to the provisions of article 115 of the Companies Act, (hereinafter referred to as "the Act"), any preference shares may, with the sanction of an ordinary resolution, be issued on the terms that they are, or at the option of the company are, liable to be redeemed on such terms and in such manner as the company before the issue of the shares may by extraordinary resolution determine.
Change of class
4. If at any time the share capital is divided into different classes of shares, the change of any shares from one class finto another or the variation of the rights attached to any class (unless otherwise provided by the terms of issue of the shares of that class which is to be changed or the rights attached to which are to be varied, according to the case) may, whether or not the cornpany is being wound up, be made with the consent in writing of the holders of more than haif of the issued shares of that class, and the holders of more than haif of the issued shares of any other class affected thereby. Such change or variation may allo be made with the sanction of an extraordinary resolution passed at a separate general meeting of the holders of the issued shares of that class and of an extraordinary resolution passed at a separate general meeting of the holders of the issued shares of any other class affected thereby. To every such separate general meeting the provisions of these articles relating to general meetings shall apply.
Commission, discounts or allowances
5. The company may exercise the power of paying commissions or of making discounts or allowances provided it complies with the requirements of article 113 of the Act. Such commission may be satisfied by the payment of cash or the allotment of fully or party paid shares or party in one way and party in the other.
Issuing of a share certificates
6. Every person whose name is entered as a member in the register of members shall be entitled without payment to receive one certificate for ali his shares or severa! certificates each for one or more of his shares upon payment of a reasonable fee set by the directors for every certificate after the first or such less sum as the directors shall from time to time determine. If a share certificate be defaced, bst or destroyed, it may be renewed on payment of a fee of a reasonable fee set by the directors or such less sum and on such terms, if any, as to evidence and indemnity and the payment of out-of-pocket expenses of the cornpany on investigating evidence as the directors think fit.
Call on shares
Issuing of a call
7. The directors may from time to time make calls upon the members in respect of any moneys unpaid on their shares (whether on account of the nominai value of the shares or by way of premium) and not by the conditions of allotment thereof made payable at fixed times, provided no cali shall exceed one-fourth of the nominai value of the share or be payable at less than one month from the date fixed for the payment of the last preceding call, and each member shall (subject to receiving at least fourteen days' notice specifying the time or times and piace of payment) pay to the company, at the time or times and piace so specified, the amount called on his shares. A call may be revoked or postponed as the directors may determine.
Liability of shareholders
8. The joint holders of a share shall be jointly and severally liable to pay all calls in respect thereof.
Interest rate on calls
9.1f a sum called in respect of a share is not paid before or on the date appointed for payment thereof, the person from whom the sum is due shall pay annual interest thereon from the day appointed for payment thereof to the time of actual payment at such rate not exceeding two percentage points over the Central Bank of XY minimum discount rate as the directors may determine, but the directors shall be at liberty to waive payment of such interest wholly or in part.
Other calls
10. Any sum which by the terms of issue of a share becomes payable on allotment or at any fixed date, whether on account of the nominai value of the share or by way of premium, shall for the purposes of these articles be deemed to be a cali duly made and payable on the date on which, by the terms of issue, the same becomes payable, and in case of non-payment, all the relevant provisions of these articles as to payment of interest and expenses, forfeiture or otherwise shall apply as if such sum had become payable by virtue of a call duly made and notified.
Right to differentiate
11. The directors may, on the issue of shares, differentiate between the holders as to the amount of calls to be paid and the times of payment.
Right to receive uncalled capital
12. The directors may, if they think it fit, receive from any member willing to advance the same, alt or any part of the moneys uncalled and unpaid upon any shares held by him, and upon all or any of the moneys so advanced may (unti) the same would, but for such advance, become payable) pay annual interest at such rate not exceeding two percentage points over the Central Bank of XY minimum discount rate, as may be agreed upon between the directors and the members paying such sum in advance.
Transfer and transmission of shares
Transfer of shares
13. Any member may transfer his shares to another member for such consideration as may be agreed between the transferor and the transferee and the other members shall have no rights of option with respect to such shares.
14. Any transfer of shares by a member to any person who is not a member of the company may only take place with the prior written approvai of the board of directors. The board of directors may in its absolute discretion refuse to authorise such transfer without having to give reasons for its refusal.
15. In the case stated in Artide 14, should the board of directors approve a transfer to a non-member, the board shall notify the other members who shall have an option to purchase all or some of the shares themselves at the price and under such terms as may have been agreed between the transferor and the transferee, except in the case where the board of directors fixes a price, which may differ from the agreed price, for the purpose of the exercise of the option.
Transfer instrument
16. The instrument of transfer of any share shall be executed by or on behalf of the transferor. The transferor shall be deemed to remain a holder of the share until the name of the transferee is entered in the register of members in respect thereof.
17. Subject to such of the restrictions of these articles as may be applicable, any member may transfer all or any of his shares by instrument in writing in any usual or common form or any other form which the directors may approve.
Directors' power to refuse transfer
18. The directors may, in their absolute discretion and without assigning any reason therefore, declino to register any transfer of any share, whether or not it is a fully paid share.
19. Without prejudice to the generality of paragraph 15 the directors may also decline to recognise any instrument of transfer where -
(a) the instrument of transfer is not accompanied by the certificate of the shares to which it relates, and such other evidence as the directors may reasonably require to show the right of the transferor to make the transfer; and
(b) the instrument of transfer is in respect of more than one class of share.
The directors may at any time require any person whose name is entered in the register of members of the company to fumish them with any information, supported, if the directors so require, by an affidavit, which they may consider necessary for the purposes of determining whether or not the company satisfies the conditions of qualification as an exempt company mentioned in subarticle (2) of affida 211 of the Act.
20. The registration of transfers may be suspended at such times and for such periods as the directors may from time to time determine, provided always that such registration shall not be suspended for more than thirty days in any year.
Death of shareholder
21. Any person becoming entitled to a share in consequence of the death of a member may, upon such evidence being produced as may from time to time properly be required by the directors and subject as hereinafter provided, elect either to be registered himself as holder of the share or to have some person nominated by him registered as the transferee thereof, but the directors shall, in either case, have the same right to decline or suspend registration as they would have had in the case of a transfer of the share by that member before his death.
22. If the person so becoming entitled shall elect to be registered himself, he shall deliver or send to the company a notice in writing signed by him stating that he so elects. I! he shall elect to have another person registered he shall testify his election by executing to that person a transfer of the share.
23. All the limitations, restrictions and provisions of these articles relating to the right to transfer and the registration of transfers of shares shall be applicable to any such notice or transfer as aforesaid as if the death of the member had not occurred and the notice or transfer were a transfer signed by that member.
24. A person becoming entitled to a share by reason of the death of the holder shall be entitled to the same dividends and other advantages to which he would be entitled if he were the registered holder of the share, except that he shall not, before being registered as a member in respect of the share, be entitled in respect of it to exercise any right conferred by membership in relation to meetings of the company.
25. Notwithstanding the provisions of paragraph 20, the directors may at any time give notice requiring any person referred to in that paragraph to elect either to be registered himself or to transfer the share, and if the notice is not complied with within ninety days the directors may thereafter withhold payment of alt dividends, bonuses or other moneys payable in respect of the share until the requirements of the notice have been complied with.
Forfeiture or surrender of shares
26. If a member faiis to pay any call or instaiment of a call on the day appointed for payment thereof, the directors may, at any time thereafter during such time as any part of the call or instalment remains unpaid, require payment of so much of the cast or instalment as is unpaid, together with any interest which may have accrued, by means of a notice which shall also name a further day (not earlier than the expiration of fourteen days from the date of service of the notice) on or before which the payment required by the notice is to be made, and shall state that in the event of non- payment, at or before the time appointed, the shares in respect of which the cali was made will be liable to be forfeited.
27. if the requirements specified in any such notice as aforesaid are not complied with, any share in respect of which the notice has been given may at any time thereafter, before the payment required by the notice has been made, be forfetted by a resolution of the directors to that effect, or otherwise be surrendered in favour of the company by the member to whom the said notice is addressed, if the directors of the company accept such surrender.
28. A forfeited or a surrendered share may be sold or otherwise disposed of on such terms and in such manner as the directors think fit, and the company may receive the consideration, if any, given for the share on any sale or disposition thereof and may execute a transfer of the share in favour of the person to whom the share is sold or disposed of, who shall thereupon be registered as the holder of the share. At any time before a sale or disposition the forfeiture or surrender may be cancelled on such terms as the directors think fit.
29. A person whose shares have been forfeited or who has surrendered his shares to the company shall cease to be a member in respect of the forfeited or surrendered shares, but shall, notwithstanding, remain liable to pay to the company all moneys which, at the date of the forfeiture or surrender, were payable by him to the company in respect of the shares; but his liability shall cease if and when the company shall have received payment in full of all such moneys in respect of the shares.
Conversion of shares into stock
30. The company may by ordinary resolution convert any paid up shares into stock, and re-convert any stock into paid up shares of any denomination.
31. The holders of stock may transfer the same, or any part thereof, in the same manner and subject to the same articles, as and subject to which the shares from which the stock arose might previously to conversion have been transferred, or as near thereto as circumstances permit; and the directors may from time to time fix the minimum amount of stock transferable but so that such minimum shall not exceed the nominai amount of the shares from which the stock arose.
32. The hoiders of stock shall, according to the amount of stock held by them, have the same rights, privileges and advantages as regards dividends, voting at meetings of the company and other matters as il they held the shares from which the stock arose, but no such privilege or advantage (except participation in the dividends and profits of the company and in the assets on winding up) shail be conferred by any amount of stock which would not, if existing in share, have conferred that privilege or advantage.
33. Such of the articles of the company as are applicable to paid up shares shall apply to stock, and the words "share" and "shareholder" therein shall include "stock" and "stockholder.

3. OGGETTO
I principali obiettivi della Società sono i seguenti:
a) Costituire, organizzare, agire in qualità di agenti, dirigere, svolgere e amministrare la logistica di sport e eventi compresi a titolo meramente esemplificativo favorire viaggi, gestione biglietti, trasporti, servizi per alloggi e guide.
b) Continuare l’attività di decoratore per interni ed esterni, imprenditori edili per mobilieri, stilisti, consulenti e progettisti di edifici, paesaggi e intraprendere l’attività di concessionari e distributori di materiale necessario per la decorazione degli interni di locali residenziali e commerciali e agire in qualità di intermediario per il trasferimento dei beni immobili.
c) Detenere azioni e portafoglio di investimenti in enti giuridici e continuare tutte e ogni attività di una società finanziaria di altre società, aziende e imprese.
d) Ricevere da attivi detenuti dalla Società ai sensi delle disposizioni del presente Articolo dividendi, redditi da capitale, interessi e altri redditi derivati da investimenti inclusi redditi o utili sulla loro proprietà, affitti, corrispettivi e redditi simili presenti a XY o all’estero, e profitti o utili imputabili ad una costituzione permanente (inclusa una filiale) sia essa situata a XY o all’estero.
e) Sottoscrivere, acquisire, detenere, disporre o altrimenti negoziare azioni, pacchetto azionario, obbligazioni, titoli azionari misti, titoli, cambiali, opzioni, interessi o garanzie di ogni genere di ogni società, società di capitali, imprese, compartecipazioni o altra associazione di persone.

j) Realizzare, migliorare e gestire uffici, negozi o altri edifici che potrebbero essere necessari in relazione all’attività della Società.
k) Vendere, affittare, ipotecare o altrimenti disporre di tutte o parte delle proprietà o dei beni della Società.
I) Eseguire tali altre azioni casuali e contribuenti al raggiungimento degli obiettivi e dell’esercizio dei poteri della Società.
m) Ricevere da attivi detenuti dalla Società in forza delle disposizioni del presente paragrafo, dividendi, redditi da capitali, interessi e altro reddito derivato da investimenti inclusi reddito o profitti sul loro smaltimento, sui loro affitti, royalties e reddito similare presenti a XY o all’estero, e profitti e benefici imputabili ad una stabile organizzazione (inclusa una filiale) sia essa situata a XY o all’estero.
Nessuna disposizione nelle precedenti considerazioni sarà interpretata quale consenso o autorizzazione alla Società di svolgere attività che prescriva una licenza o sia diversamente disciplinata nel Testo Unico Bancario, 1994, nella Legge sugli Istituti Finanziari, 1994 e nella Legge sui Servizi negli Investimenti, 1994, senza una licenza o altra autorizzazione appropriata dalla rispettiva autorità competente.
4. POTERI DELLA SOCIETA’
Nel conseguimento dei suoi obiettivi, la Società avrà i seguenti poteri:
a) Nominare gli agenti della Società in ogni parte del mondo;
b) Subappaltare ogni lavoro, incarico, contratto e istruzione;
c) Avviare collaborazioni, joint ventures o altri accordi per la condivisione di profitti, unioni di interessi, contropartite, o collaborazioni con persone o Società che proseguono o sono impegnate o si accingono a proseguire o ad impegnarsi in attività o transazioni che la Società è autorizzata a proseguire o a impegnarsi, e che sono in grado di essere gestiti direttamente o indirettamente a beneficio della Società, e a prendere o diversamente acquisire e detenere azioni o titoli o garanzie di tali Società e di sovvenzionare o altrimenti assistere tali persone o Società;

Emissione delle azioni
1. La società è una impresa di diritto privato e di conseguenza
(a) Il diritto di cedere azioni è limitato in maniera qui di seguito prescritta;
(b) Il numero di membri è limitato a cinquanta; e
(c) Ogni invito al pubblico di sottoscrivere azioni o obbligazioni della società è proibito.
2. Fatti salvi ogni diritto speciale precedentemente conferito ai titolari di ogni azione esistente o classe di azioni, ogni azione nella società potrebbe essere emessa con tali diritti, procrastinati o altri diritti speciali o tali limitazioni, siano essi al riguardo di dividendi, votazioni, ritorno di capitale o diversamente come possa la società di volta in volta determinare con delibera ordinaria.
3. Subordinatamente alle disposizioni dell’articolo 115 della Legge sulle Società, (di seguito denominato “la Legge”), ogni azione privilegiata potrebbe con l’approvazione di una delibera ordinaria essere emessa in base ai termini che sono, o a discrezione della società sono, suscettibili di essere riscattati in tali termini e maniera come la società possa determinare mediante una delibera straordinaria prima dell’emissione delle azioni.
Cambio di classe
4. Se in qualsiasi momento il capitale azionario è diviso in diverse classi di azioni, il cambio di tali azioni da una classe ad un’altra o la variazione dei diritti allegati ad ogni classe (salvo disposizioni contrarie dai termini dell’emissione delle azioni di quella classe che deve essere cambiata o i diritti allegati devono essere variati, a seconda dei casi) potrebbe, sia che la società sia o non sia in liquidazione, essere fatta con il consenso scritto dei titolari di più della metà delle azioni emesse di quella classe, e i titolari di più della metà delle azioni di ogni altra classe interessate con il presente atto. Tale cambio o variazione potrebbe anche essere fatta con l’approvazione di una delibera straordinaria approvata nel corso di un’assemblea generale distinta dei titolari delle azioni emesse di quella classe e di una delibera straordinaria approvata nel corso di un’assemblea generale distinta dei titolari delle azioni emesse di ogni altra classe interessate con il presente atto. Le disposizioni di questi paragrafi in relazione alle riunioni di assemblea generale saranno applicabili ad ogni assemblea generale distinta.
Commissioni, sconti o indennità
5. La società potrebbe esercitare il potere di pagare commissioni o di praticare sconti o indennità purchè si ottemperi ai requisiti dell’articolo 113 della Legge. Tale commissione potrebbe essere soddisfatta dal pagamento di contanti o l’assegnazione di azioni interamente liberate o parzialmente liberate o parzialmente in un modo e parzialmente in un altro.
Emissione di un certificato azionario
6. Ogni persona il cui nome è iscritto quale membro nel registro dei membri dovrà la facoltà senza pagamento di ricevere un certificato per tutte le sue azioni o diversi certificati ognuno per uno o più delle sue azioni dietro pagamento di una ragionevole commissione stabilita dagli amministratori per ogni certificato dopo la prima o minore somma che gli amministratori dovranno determinare di volta in volta. Richieste di azioni
Emissione di una richiesta
7. Gli amministratori potrebbero di volta in volta rivolgere un appello ai membri in relazione a denaro non pagato sulle loro azioni (sia in considerazione del valore nominale delle azioni o a titolo di premio) e non dalle condizioni di assegnazione delle stesse rese disponibili a orari fissi purchè nessuna opzione di acquisto sia superiore a un quarto del valore nominale della partecipazione o essere esigibile a meno di un mese dalla data fissa del pagamento dell’ultimo appello precedente, e ogni membro pagherà alla società (subordinatamente al ricevimento di una notifica almeno quattordici giorni prima specificando la data o le date e il luogo del pagamento) alla data o alle date e al luogo così specificati l’importo richiamato sulle sue azioni. Un’opzione di acquisto potrebbe essere revocata o posticipata come gli amministratori ritengono adeguato.
Responsabilità degli azionisti
8. I contitolari di una partecipazione saranno responsabili in solido per acquistare le opzioni di acquisto in relazione ad esse.
Tasso di interesse sulle opzioni di acquisto
9. Se una somma richiamata in relazione ad una partecipazione non è pagata prima o alla data nominata per il pagamento di essa, la persona per cui la somma è dovuta dovrà pagare interessi annuali su di essa al momento dell’effettivo pagamento al tasso che non superi due punti percentuali il tasso di sconto minimo della Banca Centrale di XY come gli amministratori potrebbero determinare, ma gli amministratori saranno autorizzati a rinunciare a pagamenti di tali interessi integralmente o in parte.
Altre opzioni di acquisto
10.Ogni somma che in base ai termini di emissione di una partecipazione sia esigible su aggiudicazione o ad una data fissa, sia in considerazione del valore nominale della partecipazione o a titolo di premio sarà ritenuta ai fini di questi paragrafi essere un’appello debitamente effettuato e esigibile alla data in cui nei termini dell’emissione la stessa diventi esigibile e in caso di non pagamento tutte le pertinenti disposizioni di questi articoli riguardo al pagamento di interessi e spese, decadenza o altro saranno applicabili se tale somma era esigibile in forza di un appello debitamente effettuato e notificato.
Diritto a distinguere
11. Gli amministratori potrebbero all’emissione delle azioni distinguere tra i titolari riguardo all’importo delle opzioni di acquisto da pagare e le date del pagamento.
Diritto di ricevere capitale non richiamato
12. Gli amministratori potrebbero se ritengono adeguato ricevere da ogni membro disposto a anticipare lo stesso, importo integrale o parte di esso non richiamati e non pagati su azioni non pagate detenute da ogni membro, e su importi integrali o ogni importo così anticipato potrebbe pagare (finchè lo stesso diventi esigibile ma per questo anticipo) interessi annuali ad un tale tasso che non superi due punti percentuali il tasso di sconto minimo della Banca Centrale di XY come potrebbe essere concordato tra gli amministratori e i membri che pagano questa somma in anticipo.
Cessione e trasmissione delle azioni
Cessione delle azioni
13. Ogni membro potrebbe trasferire le sue azioni ad un altro membro per tale corrispettivo come potrebbe essere concordato tra il cedente e il cessionario e gli altri membri non dovranno avere alcun diritto di opzione in relazione a tali azioni.
14. Qualsiasi cessione di azioni da un membro a ogni persona che non sia membro della società potrebbe avere luogo unicamente con la previa approvazione scritta del Consiglio di Amministrazione. Il Consiglio di Amministrazione potrebbe rifiutare a propria assoluta discrezione di autorizzare tale cessione senza fornire ragioni per il suo rifiuto.
15. Nel caso dichiarato all’Articolo 14 qualora il Consiglio di Amministrazione approvasse una cessione a un non membro, il Consiglio dovrà notificare gli altri membri che dovranno avere un’opzione per l’acquisto di tutte o alcune azioni al prezzo e in tali condizioni come potrebbe essere stato concordato tra il cedente e il cessionario, ad eccezione nel caso in cui il Consiglio di Amministrazione stabilisca il prezzo che potrebbe variare dal prezzo concordato ai fini dell’esercizio dell’opzione.
Strumento di cessione
16. Lo strumento di cessione di ogni partecipazione dovrà essere attuato da o per conto del cedente. Il cedente dovrà ritenersi di rimanere un titolare della partecipazione finchè il nome del cessionario sia iscritto nel registro dei membri in relazione ad esso.
17. Subordinatamente a tali limitazioni dei presenti paragrafi eventualmente applicabili ogni membro potrebbe cedere tutte o alcune delle proprie azioni per mezzo di uno strumento scritto in qualsiasi forma usuale o comune o ogni altra forma che gli amministratori potrebbero approvare.
Potere degli amministratori di rifiutare la cessione
18. Gli amministratori potrebbero a loro assoluta discrezione e senza attribuire quindi alcuna ragione rifiutare di registrare ogni cessione di azioni, siano esse azioni interamente liberate o non.
19. Fatta salva la generalità del paragrafo 15 gli amministratori potrebbero anche rifiutare di riconoscere qualsiasi strumento di cessione ove -
(a) Lo strumento di cessione non è accompagnato dal certificato delle azioni a cui fa riferimento, e tale altra evidenza che gli amministratori potrebbero ragionevolmente imporre per mostrare il diritto del cedente di effettuare la cessione; e
(b) Lo strumento di cessione è in relazione a più di una classe di azioni.
Gli amministratori potrebbero necessitare in qualsiasi momento di una persona il cui nominativo è inserito nel registro dei membri della società per fornir loro qualsiasi informazione supportata se richiesto dagli amministratori da un atto notorio che potrebbero considerare necessario ai fini della determinazione se la società soddisfi le condizioni di certificazione di società esente nel subarticolo (2) dell’articolo 211 della Legge.
20. L’iscrizione delle cessioni potrebbe essere sospesa in tali momenti e in tali periodi come determinato dagli amministratori di volta in volta, sempre ammesso che tale registrazione non dovrà essere sospesa per più di trenta giorni in un anno.
Decesso di un azionista
21. Ogni persona che ha la facoltà ad una partecipazione in conseguenza del decesso di un membro potrebbe, qualora tale evidenza venga prodotta come potrebbe essere imposto di volta in volta correttamente dagli amministratori e subordinatamente a quanto previsto qui di seguito, scegliere di essere iscritto quale titolare della partecipazione o di avere qualche persona da lui nominata iscritta quale cessionario al riguardo, ma gli amministratori dovranno in ogni caso avere lo stesso diritto di rifiutare o sospendere l’iscrizione come avrebbero avuto in caso di cessione della partecipazione da parte del membro prima del suo decesso.
22. Se la persona che di conseguenza ha la facoltà dovrà scegliere di essere iscritta, consegnerà o invierà una notifica per iscritto alla società firmata dalla persona stessa affermando quanto elegge. Se eleggerà di avere un’altra persona iscritta testimonierà la sua elezione eseguendo una cessione di una partecipazione a quella persona.
23. Tutte le limitazioni, restrizioni e disposizioni di questi articoli in relazione al diritto di cessione e all’iscrizione delle cessioni delle partecipazioni dovranno essere applicabili a ogni tale notifica o cessione come summenzionato come se il decesso del membro non si fosse verificato e la notifica o cessione fossero una cessione firmata da quel membro.
24. Una persona che ha diritto ad una partecipazione a motivo del decesso di un titolare avrà diritto agli stessi dividendi ed altri vantaggi a cui avrebbe diritto se fosse il titolare iscritto della partecipazione, tranne che non dovrà avere diritto prima di essere iscritto quale membro in relazione alla partecipazione in relazione ad essa di esercitare il diritto conferito dall’appartenenza in relazione a riunioni della società.
25. Fermo restando le disposizioni del paragrafo 20, gli amministratori potrebbero in ogni momento conferire notifica disponendo di una persona di cui al detto paragrafo al fine di eleggere perché si iscriva o per la cessione della partecipazione, e se la notifica non viene ottemperata entro novanta giorni gli amministratori potrebbero successivamente rifiutare il pagamento di tutti i dividendi, incentivi o altri importi esigibili in relazione alla partecipazione finchè le prescrizioni della notificazione saranno state ottemperate.
Decadenza o riscatto delle azioni
26. Se un membro è inadempiente nel pagamento di ogni opzione o rata di opzione nel giorno designato per il pagamento di esso, gli amministratori potrebbero in ogni momento successivamente durante questo periodo di tempo quando parte dell’opzione o rata rimane non pagata, imporre il pagamento di quanto dell’opzione o rata non sia pagata, unitamente agli interessi che potrebbero aver maturato per mezzo di una notifica che dovrà designare un ulteriore giorno (non prima della scadenza di quattordici giorni dalla data di notificazione dell’atto) alla data o prima della data in cui il pagamento imposto dalla notificazione deve essere effettuato e dovrà affermare che in caso di non pagamento alla data o prima della data designata le azioni in relazione a cui l’opzione era stata richiamata sono suscettibili di essere confiscate.
27. Se i requisiti specificati in tale notifica come summenzionato non sono stati ottemperati ogni partecipazione in relazione alla quale la notificazione è stata conferita potrebbe in ogni momento successivamente prima che il pagamento imposto dalla notificazione sia stato eseguito da incamerare da una delibera degli amministratori in tal senso o altrimenti essere restituito a favore della società dal membro al quale tale notificazione è rivolta, se gli amministratori della società accettano tale restituzione.
28. Una partecipazione confiscata o restituita potrebbe essere venduta o altrimenti ceduta in tali termini e in tale maniera come gli amministratori ritengono adeguato, e la società potrebbe ricevere l’eventuale corrispettivo conferito per la partecipazione su ogni vendita o cessione della stessa e potrebbe eseguire una cessione della partecipazione a favore della persona alla quale la partecipazione è venduta ceduta che sarà iscritta quindi quale titolare della partecipazione. In ogni momento prima di una vendita o cessione la decadenza o la restituzione potrebbe essere cancellata in tali termini come gli amministratori ritengono adeguato.
29. Una persona le cui azioni sono state confiscate o che ha restituito le sue azioni alla società dovrà cessare di essere un membro in relazione alle azioni confiscate o restituite, ma dovrà ciononostante essere tenuto a pagare alla società tutti gli importi che alla data della confisca o della restituzione erano esigibili da esso alla società in relazione alle azioni; ma la sua responsabilità dovrà cessare se e quando la società avrà ricevuto il pagamento integralmente di tutti gli importi in relazione alle azioni.
Conversione delle azioni in capitale azionario
30. La società potrebbe per ordinaria delibera convertire ogni azione liberata in capitale azionario e riconvertire il capitale azionario in azioni liberate di qualsiasi valore.
31. I titolari di capitale azionario potrebbero cedere lo stesso o parte di esso nella stessa maniera e subordinatamente agli stessi articoli come e subordinatamente a quali azioni da cui il capitale azionario si è prodotto possa precedentemente alla conversione essere stato ceduto o il più vicino ad esso quanto le circostanze consentono; e gli amministratori potrebbero stabilire di volta in volta l’importo minimo di capitale azionario cedibile ma così che tale minimo non ecceda l’importo nominale delle azioni da cui il capitale azionario si è creato.
32. I titolari del capitale azionario dovranno, conformemente all’importo del capitale azionario detenuto da essi, avere gli stessi diritti, privilegi e vantaggi riguardo ai dividendi, alla votazione nelle riunioni della società ed altre questioni come se detenessero le azioni da cui il capitale azionario si è prodotto, ma nessun tale privilegio o vantaggio (ad eccezione della partecipazione in dividendi e profitti della società e nei beni in liquidazione) dovranno essere conferiti da qualsiasi importo di capitale azionario che non avrebbero conferito tale privilegio o vantaggio, se esistente in azioni.
33. Tali articoli della società come applicabili a azioni liberate dovranno essere applicabili al capitale azionario, e i termini “partecipazione” e “azionista” ivi menzionati dovranno includere “capitale azionario” e “azionista”.
Convocazione dell’assemblea generale

34. Subordinatamente alle disposizioni della Legge le riunioni dell’assemblea generale dovranno avere luogo in tali momenti e luoghi come gli amministratori designeranno.
Convocazione della riunione
35. Gli amministratori potrebbero convocare un’assemblea generale straordinaria ogni qualvolta riterranno adeguato, e riunioni di assemblea generale dovranno essere convenute su tale requisito o in difetto potrebbe essere convocato da tali requisitori come previsto dall’articolo 129 della Legge.

Con la presente scrittura privata, il Sig. XY , nato a XY (XY) il giorno 9 ottobre XXX, C.F. XXXXX e la Sig.ra XY nata a XY (XY) il giorno 27 gennaio XXX, C.F. XXXXXX, entrambi residenti a XY (XY) in Via Benedetto Croce n. 2, (di seguito denominati “locatore”),
CONCEDONO IN LOCAZIONE
al Sig. ___________________ nato a __________________ (__) il giorno _____________________, residente a _______________________ (__) in Via _____________________ n. __, C.F._______________________, identificato a mezzo documento di identità n. _____________________ rilasciato dal Sindaco del Comune di ___________________________ in data ____________________ (di seguito denominato “conduttore”), che accetta, l'appartamento in villa, arredato come da distinta a parte, posto in XY (XY) Via Benedetto Croce n. 2, al piano terra, con uso del giardino attiguo all’ingresso e composto da soggiorno, cucina, due letto, due bagni, posto auto custodito nel cortile retrostante.
L’immobile è censito al N.C.E.U. di XY al fg. 4, mapp. 320, sub. 303, cat. A/2, cl.3, R.C. Euro 348,61.
La locazione sarà regolata dalle pattuizioni seguenti pattuizioni:
1) Il contratto è stipulato per la durata di 18 (diciotto) mesi, dal 10/06/2018 al 09/12/2019 allorché, fatto salvo quanto previsto dall’articolo 2, cessa senza bisogno di alcuna disdetta.
2) Il conduttore, nel rispetto di quanto previsto dal decreto del Ministro delle infrastrutture e dei trasporti di concerto con il Ministro dell’economia e delle finanze, emanato ai sensi dell'articolo 4, comma 2, della legge n. 431/98 e dall'Accordo territoriale tra SUNIA-SICET-UNIAT e UPPI-APE-ANPE-FEDERPROPRIETA’ depositato presso il Comune di XY (XY), dichiara la seguente esigenza che giustifica la transitorietà del contratto: motivi professionali che documenta, allegando il contratto a tempo determinato.
Il conduttore ha facoltà di recedere dal contratto solo per gravi motivi previo avviso da recapitarsi a mezzo lettera raccomandata almeno 3 (tre) mesi prima. Le spese inerenti la tassa di registrazione del recesso (se dovuta) sono a carico del conduttore.
3) L’immobile dovrà essere destinato esclusivamente ad uso di civile abitazione del conduttore. Per la successione del contratto si applica l’art. 6 della L. 27 luglio 1978 n. 392 nel testo vigente a seguito della sentenza della Corte Costituzionale 7 aprile 1998 n. 404.
4) E’ vietato al conduttore cedere il contratto di locazione, sublocare anche parzialmente l’immobile, concedere a terzi il godimento dello stesso a qualsiasi titolo, anche se gratuito. In caso di inosservanza di tali divieti, il contratto si intenderà risolto di diritto.
5) Il canone di locazione, secondo quanto stabilito dal decreto di cui all’art. 4 comma 3 della L.431/98, è convenuto in Euro __________ (_________/00), che il conduttore si obbliga a corrispondere a mezzo di bonifico bancario, in rate mensili eguali anticipate di Euro _______ (____________/00) ciascuna, scadenti il giorno 5 (cinque) di ogni mese. Il pagamento del canone dovrà essere corrisposto in misura del 50% (Euro 225,00) sul c/c intestato al Sig. XY (IBAN XXXX) e per l’altro 50% (Euro 225,00) sul c/c intestato alla Sig.ra XY (IBAN XXX). Il conduttore dovrà a propria cura e spese provvedere alla voltura prima della consegna dell’immobile dei contatori del gas, luce ed acqua, i cui consumi restano a suo completo carico come pure i rifiuti solidi urbani.
6) Il pagamento del canone o di quant'altro dovuto anche per oneri accessori non può venire sospeso o ritardato da pretese o eccezioni del conduttore, qualunque ne sia il titolo. Il mancato puntuale pagamento, per qualunque causa, anche di una sola rata del canone (nonché di quant'altro dovuto, ove di importo pari almeno ad una mensilità del canone), costituisce in mora il conduttore, fatto salvo quanto previsto dagli articoli 5 e 55 della legge 27 luglio 1978, n. 392 ed è causa di risoluzione automatica del contratto. Il possesso dell’immobile con consegna delle chiavi avverrà alla firma del presente contratto.
7) Il conduttore deve consentire l'accesso all'unità immobiliare al locatore e ai suoi incaricati ove gli stessi ne abbiano - motivandola - ragione.
8) Il conduttore dichiara di aver visitato la casa locatagli e di averla trovata in buono stato locativo, di riconsegnarla come tale e adatta all'uso convenuto e – così - di prenderla in consegna ad ogni effetto col ritiro delle chiavi, costituendosi da quel momento della medesima custode. Il conduttore si impegna a riconsegnare l'unità immobiliare locata e gli impianti nello stato in cui li ha ricevuti, salvo il deperimento d'uso, pena il risarcimento del danno. Inoltre dichiara che l’immobile sarà abitato dal conduttore e dalle persone con lui conviventi.
9) È in ogni caso vietato al conduttore compiere atti e tenere comportamenti che possano recare molestia agli altri abitanti dello spazio comune e di attenersi al regolamento condominiale. Il conduttore si impegna a mantenere il massimo decoro, ordine e pulizia dell’immobile locato. Il conduttore non potrà apportare alcuna modifica, innovazione, miglioria o addizione ai locali locati ed alla loro destinazione, o agli impianti esistenti, senza il preventivo consenso scritto del locatore.
10) Il conduttore esonera espressamente il locatore da ogni responsabilità per i danni diretti o indiretti che dovessero provenire da fatto colposo altrui o potessero derivargli da fatto dei dipendenti del locatore medesimo e segnatamente per furti, nonché per interruzioni incolpevoli dei servizi.
11) A garanzia delle obbligazioni tutte che assume col presente contratto, il conduttore fornisce al locatore (che con la firma del contratto ne rilascia automatica quietanza) una cauzione di Euro 900,00 (novecento/00) non imputabile in conto pigioni e non produttiva di interessi. Sarà restituita al rilascio dei locali, previa verifica dello stato dell'unità immobiliare e dell'osservanza di ogni obbligazione contrattuale.
12) Per gli oneri accessori le parti faranno applicazione della “Tabella oneri accessori”, allegata all’Accordo territoriale di Mantova e denominata allegato. Sono a carico del conduttore le spese per la manutenzione ordinaria dell’immobile, compresa la pulizia (annuale/biennale) della caldaia. Non provvedendovi il conduttore, vi provvederà il locatore prelevando dal deposito cauzionale la cifra spesa per i lavori.
13) Nel caso in cui il locatore intendesse vendere la casa locata, il conduttore dovrà consentire la visita all’unità immobiliare una volta alla settimana per almeno due ore con l’esclusione dei giorni festivi.
14) Il locatore provvederà alla registrazione del presente atto optando per la cedolare secca (art. 3 del D.Lgs 23/2011), restando esonerato dall’obbligo di inviare al conduttore la prevista comunicazione mediante lettera raccomandata. La parte locatrice ha la facoltà di revocare l’opzione in ciascuna annualità successiva a quella in cui è stata esercitata, nei modi e nei tempi di legge. Nelle annualità in cui non viene esercitata l’opzione, la parte locatrice potrà richiedere di aggiornare il canone nella misura di legge e le parti sono tenute al versamento della relativa imposta di registro ripartendo la spesa al 50%.
15) A tutti gli effetti del presente contratto, comprese la notifica degli atti esecutivi, e ai fini della competenza a giudicare, il conduttore elegge domicilio nei locali a lui locati e, ove egli più non li occupi o comunque detenga, presso l'ufficio di segreteria del Comune ove è situato l'immobile locato.
16) Qualunque modifica al presente contratto non può aver luogo, e non può essere provata, se non con atto scritto.
17) Il locatore consegna al conduttore copia della certificazione energetica relativa all’immobile locato (protocollo n. 20045-000197/15).
18) Il locatore e il conduttore si autorizzano reciprocamente a comunicare a terzi i propri dati personali in relazione ad adempimenti connessi col rapporto di locazione (legge 31 dicembre 1996 n. 675).
19) Per quanto non previsto dal presente contratto le parti fanno espresso rinvio alle disposizioni del codice civile, della Leggi n. 392/1978 e n. 431 del 1998 e comunque dalle norme vigenti ed agli usi locali.

With this private agreement, Mr. XY, born in XY (XY) on 9th October XXXX, social security number XXXX and Mrs. XY born in XY (XY) on 27th January XXX, social security number XXXX, both residing in XY (XY) at Street Benedetto Croce no. 2, (hereinafter referred to as “lessor”),

the apartment in villa, furnished as per separated list, situated in XY (XY) Street Benedetto Croce no. 2, groundfloor, with use of the adjoining garden situated beside the entrance and composed of living room, kitchen, two beds, two bathrooms, guarded parking space in the rear courtyard to Mr. ____________ , born in ___________, on __________, residing in XY (XY) at Street XY no. 6, social security number XXXX, identified by means of identity card no. XXX issued by the Mayor of the Municipality of XXXX on ____________ (hereinafter referred to as “tenant”), who accepts it.
The property is registered at the New Urban Housing Land Registry (Nuovo Catasto Edilizio Urbano) of XY on sheet 4, cadastral map 320, cadastral subordinate 303, category A/2, class 3, civil liability Euro 348,61.
The lease shall be governed under the following arrangements:
1) The lease contract is concluded for the duration of 18 (eighteen) months, from 10/06/2018 to 9/12/2019 whenever, without prejudice to the provisions of article 2, it will terminate without the need of termination.
2) The tenant, in accordance with the provisions of the decree of the Minister of Infrastructure and of Transport in liaison with the Minister of the Economy and Finance, issued in accordance with article 4, paragraph 2, of law no. 431/98 and of the territorial agreement between SUNIA-SICET-UNIAT and UPPI-APE-ANPE-FEDERPROPRIETA’ filed with the Municipality of XY (XY), states the following requirement justifying the temporariness of the contract: professional reasons recorded with the attached fixed-term contract.
The tenant is entitled to withdraw the contract solely for serious reasons with prior notice to be delivered by means of registered letter at least 3 (three) months prior. The expenses related to the registration fee of the withdrawal, if appropriate, will be borne by the tenant.
3) The property shall be meant exclusively for residential use of the tenant. For the succession of the contract art. 6 of Law of 27th July 1978 no. 392 will be applied in the text which is in force further to the verdict of the Constitutional Court of 7th April 1998 no.404.
4) It is forbidden for the tenant to transfer the lease contract, sublease even partially the property, grant the enjoyment of it to third parties for any reason, even if free of charge. In case of failure to comply with these restrictions, the contract shall be deemed automatically terminated.
5) The lease fee, as provided by the decree referred to as art. 4 paragraph 3 of the Law 431/98 is agreed at the amount of Euro ___________ (__________/00), which the tenant will be committed to pay by means of wire transfer in advanced equal monthly instalments amounting to Euro ________ (__________/00) each, with expiry date the 5th day of each month. The payment of the lease fee will have to be complied to the extent of 50% (Euro 225,00) on the bank account registered to Mr. XY (IBAN XXXX) and to the extent of the remaining 50% (Euro 225,00) on the bank account registered to Mrs. XY (IBAN XXXXXXXXXX). The tenant at his sole responsibility and expenses will have to provide for the transfer of the contract of the gas, electricity and water meter prior to the handover of the property. Their consumption will be fully borne by him, as well as the municipal solid waste.
6) The payment of the lease fee or of whatever else due even for ancillary charges cannot be discontinued or delayed by claims or exceptions of the tenant, irrespective of the reason. The missed timely payment, for any reason even of one single instalment of the lease fee (as well as of whatever else due, wherever of the amount equal to at least one monthly instalment), constitutes the formal notice of the tenant, without prejudice to what provided for by articles 5 and 55 of the law of 27th July 1978, no. 392 will lead to the automatical termination of the contract. The property possession with handover of the keys will take place upon the signature of this contract.
7) The tenant will have to allow access to the property to the lessor and to his officers wherever they will have a justified point.
8) The tenant states that he has visited the house leased to him and that he has found it in good rent state, that he will hand it back as such and suitable for the agreed use, and – therefore – to take it over in all respects with key collection, establishing himself for that moment as the guardian of that. The tenant will be committed to hand back the property leased and the systems in the state where he has received them, except normal wear and tear, penalty, compensation for damages. Moreover he states that the property will be inhabited by the tenant and by the people cohabiting with him.
9) It is in any case forbidden for the tenant doing things and behaving in a manner that may cause harassment to the other inhabitants of the common area and to stick to the building’s regulations. The tenant will be committed to keep the utmost decorum, order and cleanliness of the rented house. The tenant cannot make any changes, innovation, improvement or addition to the rented rooms and to their destination, or to existing plants, without the prior written consent of the lessor.
10) The tenant expressly exempts the lessor from any liability for direct or indirect damages which may come from culpable acts of others or may come from acts of employees of the lessor himself and particularly for thefts, as well as for blameless interruptions of the services.
11) To ensure all of the obligations assumed under this agreement, the tenant shall pay to the lessor (that with the signing of the contract shall issue a receipt) a deposit of € 900,00 (ninehundred/00), that cannot be imputed as rent account and do not imply any interest. It will be returned at the end of the lease, after checking the condition of the property and the observance of any contractual obligation.
12) For the ancillary charges the parties will apply to the “Table of ancillary charges”, attached to the Territorial Agreement of Mantua and referred to as attachment. The expenses for the ordinary maintenance of the property, including cleaning (yearly / two-yearly) of the boiler will be borne by the tenant. Not providing the tenant, the lessor will provide for it collecting the amount spent for the works from the security deposit.
13) Should the lessor sell the rented house, the tenant will have to allow access to the property once per week for at least two hours excluding public holidays.
14) The lessor will provide for the registration of this deed opting for flat rate tax (article 3 of the Legislative Decree 23/2011), and will be exempt from the obligation of sending the planned communication to the tenant by means of registered letter. The lessor will be entitled to withdraw the option in any annual instalments subsequent to when it was exercised as and when legally. In the annual instalments where the option will be exercised, the lessor will be able to apply to keep up to date the lease fee to the extent of law and the parties are required to the payment of the related registration fee sharing the expense to 50%.
15) For all purposes of this contract including the notification of the implementing acts, and to the purposes of having jurisdiction to give judgement, the tenant will have an address for service in the rented accomodation and wherever he no longer occupies or possesses the rented accomodation, he will have an address for service at the Administration Office of the Municipality where the rented house is situated.
16) Any modification to this contract cannot occurr and cannot have evidence unless by means of a written deed.
17) The lessor will hand over to the tenant a copy of the energy certification related to the rented house (protocol no. 20045-000197/15).
18) The lessor and the tenant shall grant each other the authorisation to disclose their personal data to third parties in connection with accomplishments connected with the lease (law of 31st december 1996 no. 675).
19) In those matters not provided for by this contract the parties expressly make reference to the provisions of the Civil Code, of Law no. 392/1978 and n. 431 of 1998 and in any case to the existing rules and to the local customs.

1 Introduzione
L’economia è un mezzo o un fine per la società? Esiste un agire etico nell’economia? Domande come queste hanno interessato gli studiosi di etica degli affari per molto tempo, fin dalla nascita delle cattedre di economie. Purtroppo, in assenza di pragmatismo e di reali modelli aziendali, in assenza soprattutto della dimostrazione della ‘redditività’ di questi pensieri, molti di questi studi sono stati poi dimenticati negli scaffali impolverati delle librerie, mentre l’etica economica è stata sempre più relegata a ruoli marginali nelle università, quasi sempre ignorata nei programmi di formazione per nuove leve di manager ed imprenditori. Eppure, la malattia del nostro sistema economico è sotto gli occhi di tutti. Facciamo fatica ad uscire da una crisi che è soprattutto valoriale e perdurerà aggravandosi fino a che l’umanità non acquisirà un nuovo livello di consapevolezza del vero senso dell’economia.
Scopo del presente lavoro è provare a portare un po’ di luce su questo tema, presentando il modello di business delle c.d. imprese consapevoli, un modello win-win per l’azienda ed i suoi stakeholder. Nella seconda parte del lavoro, verrà presentato il caso di un’azienda che, fin dalle origini, ha – seppur inconsapevolmente – applicato questo modello con successo. Infine, nella terza parte del lavoro verrà accennato a come qualsiasi azienda possa iniziare a diventare impresa consapevole, ‘guarendo’ così da falsi modelli che hanno reso gravemente malata la nostra società.
2 Il business model delle ‘imprese consapevoli’: il modello delle 5w
Si sente sempre più spesso affermare che la sostenibilità per le aziende non è solo una richiesta crescente da parte del mercato, ma appartiene ad una riflessione molto profonda del fare impresa che, di per sé, è generatrice di valore nel medio-lungo periodo. Tale valore deriva, infatti, da una chiara e forte visione della direzione dell’agire imprenditoriale, quasi sempre oltre gli schemi convenzionali del business, perlomeno quelli dettati dal legislatore che, ad eccezione delle recenti società benefit, ancor oggi prevede come unico obiettivo del fare impresa la divisione degli utili e non, ad esempio, un impatto sociale-ambientale.
Poiché è sempre più evidente che interrogarsi sui perché porta ad un modello imprenditoriale più sostenibile, e quindi più valoriale, anche in termini di risultato,la questione centrale che emerge, a mio avviso, da queste considerazioni è la seguente: questa visione ‘olistica’ dell’agire imprenditoriale appartiene, caso per caso, ad imprenditori creativi e lungimiranti, in un percorso biografico e di valori individuali non ripetibili, oppure esistono delle consapevolezze comuni che possono fare da ‘business model’ di riferimento? Questa questione è stata al centro dei miei studi per almeno un decennio. Voglio qui presentare i risultati delle mie ricerche, tuttora in corso, allo scopo di stimolare una riflessione e con l’auspicio di consolidare il modello con un lavoro di cocreazione di contenuti con studiosi ed interessati a questa tematica. Nella seconda parte del lavoro proverò a dimostrare un’applicazione pratica del modello, esponendo il caso di XXYY. Infine, nella terza parte verrà – seppur sommariamente – presentata un’ulteriore applicazione pratica del modello ad una PMI del Nord-Est.
Normalmente, nell’affrontare un nuovo argomento di cui si ignorano le basi concettuali, le prime domande che sorgono alla mente sono quelle che con termine anglosassone vengono definite le ‘5w’: il what (cosa), il why (perché), il who (chi), il where (dove), il when (quando). C’è una sesta domanda che il genio della lingua inglese definisce con how (come).
Mi è sembrato quindi corretto, parlando di imprese consapevoli, usare la stessa metrica per esplorare il significato di ‘consapevolezza’ applicato all’agire economico. Si può da subito notare che l’how è al centro di questo modello: ne capiremo più avanti le ragioni.

1 Einführung
Ist die Wirtschaft ein Mittel oder ein Zweck für die Gesellschaft? Besteht ein ethisches Handeln in der Wirtschaft? Für lange Zeit, bzw. seit der Entstehung von Lehrstühlen für Wirtschaftswissenschaften, stellen sich Wissenschaftler von Unternehmensethik solche Fragen. Weil es leider an pragmatischem Verhalten und an realen Unternehmenssysteme mangelte, und vor allem, weil keine Darlegung der ‘Ertragskraft’ dieser Gedanken vorhanden war, sind viele von diesen Untersuchungen in den staubigen Regalen der Buchläden in Vergessenheit geraten, während die Wirtschaftsethik in den Universitäten immer mehr in einer Nebenrolle gedrängt wurde und fast immer in den Ausbildungsprogrammen für die angehenden Klassen von Managern und Unternehmern ignoriert wurde. Jedoch entwickelt sich die Krankheit unseres Wirtschaftssystems vor den Augen aller. Wir tun uns schwer damit, uns aus einer Krise zu befreien, die vor allem wertorientiert ist und die so lange anhalten wird, bis die Menschheit eine neue Bewusstseinsebene erreicht, die der wahren Bedeutung vom Begriff Wirtschaft auf den Grund gehen wird.
Zweck dieser Arbeit ist es zu versuchen, dieses Thema mit der Darlegung des Business-Modells der sogenannten bewussten Unternehmen auszugraben, ein win-win Modell sowohl für das Unternehmen als auch für seine Stakeholder. Im zweiten Teil der Arbeit wird der Fall eines Unternehmens dargelegt, das seit den Anfängen dieses Modell erfolgreich genutzt hat, wenn auch unbewusst. Abschließend wird man im dritten Teil der Arbeit darauf eingehen, wie jedes Unternehmen die Möglichkeit hat, sich zu einem bewussten Unternehmen zu entwickeln und somit sich von falschen Modellen zu heilen, die schon unsere Gesellschaft ernsthaft geschadet haben.
2 Das Business-Modell der ‘bewussten Unternehmen’: das Modell der 5Ws1
Man hört immer öfter, dass die Nachhaltigkeit für Unternehmen nicht nur eine steigende Forderung vom Markt ist, sondern auch dass diese zu einer sehr gründlichen Überlegung der Geschäftstätigkeit gehört, die, an und für sich, eine wertvolle zahlungsmittelgenerierende Überlegung auf mittlere bis längere Sicht ist. In der Tat ergibt sich dieser Wert aus der deutlichen und starken Sicht der Richtung des Unternehmensverhaltens, fast immer außerhalb der konventionellen Muster des Business, zumindest die Muster, die vom Gesetzgeber bestimmt wurden. Der Gesetzgeber, mit Ausnahme der aktuellen Benefit-Gesellschaften, hat heute noch als alleinigen Zweck der Geschäftstätigkeit, die Teilung der Gewinne und nicht solche, zum Beispiel, eine sozialökologische Auswirkung.
Da es immer deutlicher wird, dass wenn man das „Warum“ hinterfragt, das zu einen nachhaltigeren bzw. wertvollen Unternehmungsmodell führt – wenn es auch um Ergebnisse geht – ergibt sich, meines Erachtens nach, aus dieser Überlegung eine Hauptfrage, die wie folgt lautet: Angesichts dieser ganzheitlichen Sicht der Geschäftstätigkeit, gehört diese - in einer biografischen Laufbahn mit individuellen unwiederholbaren Werten - den kreativen und weitsichtigen Unternehmern oder bestehen gemeinsame Erkenntnisse, die als Referenzbusiness-Modell eine Rolle spielen können?
Diese Frage ist für mindestens ein Jahrzehnt im Mittelpunkt meiner Untersuchungen gewesen. Ich möchte hiermit die Ergebnisse meiner noch laufenden Forschungen vorlegen, mit dem Zweck zum Nachdenken anzuregen und in der Hoffnung, das Modell mit der Zusammenarbeit zwischen Wissenschaftlern und Beteiligten in der Erschaffung von Inhalten zu stärken. Im zweiten Teil der Arbeit werde ich versuchen, eine praktische Verwendung des Modells durch die Darstellung des Falls XXYY nachzuweisen. Schließlich wird im dritten Teil, wenn auch in kurzer Form, eine weitere praktische Verwendung des Modells von einem kleinen und mittleren nordöstlichen Unternehmen vorgelegt.
Normalerweise sind - in der Bewältigung eines neuen Themas, von dem man die konzeptionelle Grundlage ignoriert - die ersten Fragen, die in den Sinn kommen, die, die im englischem unter dem Begriff ‘5Ws’ bekannt sind: what (Was), why (Warum), who (Wer), where (Wo), when (Wann). Es gibt noch eine sechste Frage, die das Genie der englischen Sprache als how (Wie) bezeichnet.
Deshalb glaube ich, dass es richtig ist, dasselbe Versmaß zu benutzen, um die Bedeutung von auf das wirtschaftliche Handeln angewandtem Bewusstsein zu untersuchen, wenn wir über bewusste Unternehmen sprechen. Man kann sofort bemerken, dass das Wie im Mittelpunkt dieses Modells steht: wir werden später begründen, warum.
