Source text - Spanish Los Fideicomisarios o causahabientes, según corresponda, se obligan a sacar al Fiduciario en paz y a salvo, y lo indemnizarán por concepto de daños y prejuicios, a menos que unos u otros sean consecuencia de actos u omisiones del Fiduciario, provocados por la negligencia inexcusable del mismo, o cuando éste realice algún acto que no le esté autorizado por el presente Contrato, a menos que de no realizarlo peligre el Patrimonio fideicomitido, incurridos por el Fiduciario: (i) en defensa del Patrimonio, o (ii) por deudas de cualquier índole incluso deudas fiscales, reclamaciones, multas, penas y cualquier otro adeudo o liquidaciones de cualquier índole en relación con el Patrimonio fideicomitido incluyendo daños al medio ambiente, o (iii) que deriven de cualquier asunto, en relación al cual, los Fideicomisarios o causahabientes, según corresponda, consciente o inconscientemente, hayan hecho una declaración falsa al Fiduciario o a terceros.
Translation - English The Beneficiaries or successors, as the case may be, are obligated to hold the Trustee harmless and will indemnify the same for damages, unless some be by consequence of actions or omissions of the Trustee provoked by the inexcusable negligence of the same or when the Trustee performs an act which is not permitted it by the present Contract, unless not performing said act would put the trust property in danger; the Beneficiary will hold the Trustee harmless and will indemnify the same for damages incurred by the Trustee: (i) in defense of the estate, or (ii) by debts of any nature including fiscal debts, complaints, fines, sentences, and any other debt or settlement of any nature in relation to the trust property including damages to the environment, or (iii) that derive from any matter, in relation to which the Beneficiaries or successors, as the case may be, consciously or unconsciously, have made a false declaration to the Trustee or third parties.
