Article 3 Consideration
3.1 As consideration for the acquisition of the Company’s Shares, Purchaser will make available to the Seller the Consideration (the “Consideration”).
3.2. The total amount of the Consideration shall be paid by the Purchaser within the term set forth in the present Agreement.
3.3. Any rights to Consideration under the present Agreement should not be assigned or transferred without the permission of the Purchaser.
Article 4 Rights to the Company’s Shares
4.1.The Company’s Shares will entitle Purchaser to the full and beneficial title to the Company’s Shares free from any and all encumbrances or liens of whatever kind. The Company’s Shares will confer other shareholders’ rights on Purchaser at Completion Date.

3.1 В качестве компенсации за приобретение акций Компании, Покупатель предоставляет Продавцу на рассмотрение Встречное Удовлетворение (далее «Встречное Удовлетворение»)
3.2 Общая сумма Встречного Удовлетворения, выплачивается Покупателем в течение срока, указанного в настоящем Договоре.
3.3 Любые права на Встречное Удовлетворение в соответствии с настоящим Договором, не должны назначаться или передаваться без разрешения Покупателя.
Статья 4 Права на Акции Компании
4.1 Акции Компании дают право Покупателю на полное владение на правах собственности Акциями Компании без каких-либо обременений или любого рода залогов. Акции Компании предоставляют Покупателю другие права акционеров на Дату Завершения.
